L'étude de la cession des droits sociaux par un associé minoritaire est axée sur une analyse faite au regard strictement du contrat de société que la volonté de sortie de l'associé minoritaire vient remettre en cause. En nourrissant la réflexion des points de friction les plus classiques comme l'exclusion, la qualité d'associé ou l'intérêt social, l'objectif est de présenter les différentes règles d'organisation de la cession des titres d'un associé minoritaire, les difficultés pratiques et théoriques qui y sont liées et surtout son analyse juridique. Sur ce dernier point, la principale interrogation que l'on se pose est de savoir si la cession minoritaire des droits sociaux est une cession simple ou une cession de contrôle. A travers les grandes questions qui se sont posées lors du débat relatif à la spécificité de la cession de contrôle, nous avons pu démontrer que les réponses qui ont été apportées ou les règles qui ont servies à la spécificité de la cession de contrôle ne sont pas toujours applicables dans le cadre d'une cession minoritaire des droits sociaux. En outre, le sujet pose la question de la protection de l'associé minoritaire. Cette question redonne un réel intérêt au débat relatif à la généralisation du droit de retrait comme solution à l'emprisonnement des associés minoritaires, solution que la frénésie législative de ces dernières années n'a pas pris en compte.

This article casts a critical look at one particular moment of Francoontarian youth's academic life that has heretofore been absent from academic study—the transition from secondary school to postsecondary education. Analysis of results from three studies on the direct access to postsecondary education by graduates of Ontario's French first-language secondary schools, in light of North American research on access to postsecondary education, leads us to two conclusions. Guidance counselors' narrow interpretation of the Politique d'aménagement policy (PAL) (Ministère de l'Éducation de l'Ontario, 2004a, 2004b) may potentially limit the realisation of the full linguistic vitality of Ontario's francophone community. This same narrow interpretation of the PAL, which focuses only on francophones accessing bilingual and francophone postsecondary institutions, cannot reduce or eliminate the under-representation of Ontario francophones in postsecondary education (Rae, 2005), since it does not take into account the impact of distance on access to postsecondary education (Frenette, 2002, 2003; Labrie, Lamoureux et Wilson, 2009; Lamoureux, 2007a). ; Cet article porte un regard critique sur un moment précis du parcours scolaire des jeunes de l'Ontario français qui passe surtout sous silence— la transition de l'école secondaire aux études postsecondaires. L'analyse des résultats de trois recherches sur l'accès direct aux études postsecondaires des diplômés des écoles de langue française de l'Ontario, à la lumière du corpus de recherche sur l'accès aux études postsecondaires en général, mène à deux conclusions. L'interprétation étroite de la Politique d'aménagement linguistique (PAL) (Ministère de l'Éducation de l'Ontario, 2004a, 2004b) par les orienteurs scolaires des écoles secondaires de langue française de l'Ontario n'encourage pas la pleine vitalité linguistique de la communauté francophone. Cette même interprétation étroite de la PAL, qui mise uniquement sur l'accès des francophones aux établissements postsecondaires bilingues et francophones, ne permettra pas d'éliminer ou de réduire l'écart de participation des francophones aux études postsecondaires puisqu'elle ne tient pas compte de l'envergure des obstacles géographiques à la participation aux études postsecondaires (Frenette, 2002, 2003 ; Labrie, Lamoureux et Wilson, 2009 ; Lamoureux, 2007a).

This study focuses on the rights of linguistic and religious minorities in federal States. First, it begins with an exploration of the "internal" (i.e. the protection of fundamental rights in federal States) and "external" (i.e. the status of federal States in international (human rights) law) dimensions of the issue. Then, it analyses interactions between minority rights and the division of powers in these States. For this purpose, it relies on two complementary perspectives. The first one focuses on minority rights and shows that they constitute substantial limits to the federal and federate authorities' exercise of powers. The second perspective concentrates on the constitutional norms dividing legislative powers and emphasizes that the protection of minority rights may represent either the stakes or an object of the division of powers. In the former case, the mere existence of such rights can explain particular aspects of the division of powers, while in the latter the Constitution expressly gives federal authorities the responsibility to protect certain rights. The thesis underlines the various consequences of each of these configurations on the judicial interpretation of minority rights. In order to illustrate these observations, it mainly focuses on two legal orders: Belgium and Canada. ; L'étude porte sur les droits des minorités linguistiques et philosophiques dans les Etats fédéraux. Elle commence par évoquer les dimensions internes – la protection des droits fondamentaux au sein de l'Etat fédéral – et externes – la situation de l'Etat fédéral au regard du droit international des droits de l'Homme – de la problématique. Elle analyse ensuite les interactions entre les droits des minorités et les règles répartitrices de compétences dans ces Etats. [.]Finalizing this research, it sees a long route to follow, which can be structured, among others, on the following questions which remain open: how to ensure legally the social rights to minorities in accordance with the cultural characteristics of each of them; How to harmonize indigenous legal systems with that of the State in order to promote a fair relationships among all citizens?; How to develop legally the rights of minorities without falling into a complex Gigantism? and, how to promote the human rights within the same minority communities without the risk of interfering with their identity and autonomy? In this context one thing is certain, only through genuine pluralistic, committed democracy with respect for and promotion of the rights of man, is possible to reach a lasting peace in Colombie. ; [.]Finalisant cette recherche, l'on entrevoit un long parcours à suivre, qui peut se structurer, parmi d'autres, autour des questions suivantes qui restent ouvertes : Comment garantir juridiquement, d'une manière efficace, les droits sociaux aux minorités en accord avec les particularités culturelles de chacune d'entre elles ? ; Comment harmoniser les systèmes juridiques autochtones avec celui de l'État en vue de favoriser des relations justes parmi tous les citoyens ? Comment développer légalement les droits des minorités sans tomber dans un gigantisme immaîtrisable ? et, Comment promouvoir les droits de l'homme au-dedans des mêmes communautés minoritaires sans tomber dans le péril de porter atteinte à leur identité et autonomie ? Dans ce contexte une chose est certaine, seulement a travers une véritable démocratie pluraliste, engagée avec le respect et promotion des droits de l'homme, est possible arriver à une paix durable en Colombie.
