Le ragioni della delocalizzazione sono molteplici e di differente natura. Si delocalizza, in primo luogo, per ragioni di stampo economico, finanziario eccetera, ma questa spinta naturale alla delocalizzazione è controbilanciata, sul piano strettamente tributario, dall'esigenza di preservare il gettito e da quella di controllare la genuinità della delocalizzazione medesima. E' dunque sul rapporto tra "spinte delocalizzative" dell'impresa, da un lato, ed esigenze "conservative" del gettito pubblico, dall'altro, che si intende incentrare il presente lavoro. Ciò alla luce del fatto che gli strumenti messi in campo dallo Stato al fine di contrastare la delocalizzazione (più o meno) artificiosa delle attività economiche devono fare i conti con i principi comunitari introdotti con il Trattato di Roma e tratteggiati negli anni dalla giurisprudenza della Corte di Giustizia. In quest'ottica, la disciplina delle CFC costituisce un ottimo punto di partenza per guardare ai fenomeni di produzione transnazionale della ricchezza e agli schemi di ordine normativo preposti alla tassazione di codesta ricchezza. Ed infatti, le norme sulle CFC non fanno altro che omogeneizzare un sistema che, altrimenti, sarebbe lasciato alla libera iniziativa degli uffici fiscali. Tale "normalizzazione", peraltro, giustifica le esigenze di apertura che sono incanalate nella disciplina degli interpelli disapplicativi. Con specifico riferimento alla normativa CFC, assumono particolare rilievo la libertà di stabilimento ed il principio di proporzionalità anche nella prospettiva del divieto di abuso del diritto. L'analisi dunque verterà sulla normativa CFC italiana con l'intento di comprendere se codesta normativa, nelle sue diverse sfaccettature, possa determinare situazioni di contrasto con i principi comunitari. Ciò anche alla luce delle recenti modifiche introdotte dal legislatore con il d.l. 78/2009 in un quadro normativo sempre più orientato a combattere le delocalizzazioni meramente fittizie. ; The reasons for a relocation to take place are numerous and of heterogeneous nature. Business entities are naturally inclined to restructure their geographical presence, first of all, for economic, financial or strategic reasons. These "phisiological" reasons are counterbalanced, from the fiscal point of view, by the need of the National administrations to safeguard tax revenues and to verify the genuinity of the relocation itself. It is therefore on the relationship between "relocation forces" of the firms, on one hand, and the needs to avoid fiscal erosion of National taxable bases, on the other, that the present thesis work finds its theorical focus. National legal instrumentations enacted by domestic legislators in order to avoid fictitious relocation have to deal with the EU principles that were introduced originally with the Treaty of Rome and that were time after time developed by the case law of the European Court of Justice. Under this perspective, CFC legislation offers an ideal starting point for examining cross-border production relocation processes in different countries and legal frameworks that are conceived in order to tax income arising therein. Notably, CFC legislation create a common legal basis for the administrative action of Tax Authorities, whose need for consistent action finds another answer in the legal discipline of ruling. Putting again reference to CFC legislation, the freedom of establishment and the principle of proportionality (also in the perspective of the prohibition of abuse of law) come into play. Analysis will be carried, therefore, on Italian CFC legislation in order to understand if such legal discipline, in its different aspects, could eventually result in an infringement of EU Law principles. Recent modifications enacted by the Law Decree 78/2009 will be examined, in a legal context that is more and more devoted to combat merely fictitious and abusive transfers and relocations.

Il lavoro intende proporre una ricostruzione delle formule di collaborazione tra pubblico e privato nella contrattazione pubblica, nonchè delle tendenze di riforma nel diritto comunitario e nei diritti nazionali, secondo una tripartizione, che segua l'attuale logica delle riforme nel diritto amministrativo. La prima parte è dedicata alla disciplina della contrattazione pubblica e della collaborazione pubblico-privata nel diritto dell'Unione Europea. La seconda parte, invece, si occuperà di affrontare il medesimo tema con riguardo al diritto interno italiano, con particolare attenzione al parallelismo con il dibattito e le riforme promosse in sede comunitaria. La terza ed ultima parte è, invece, dedicata allo studio comparatistico, esteso a Regno Unito, Spagna e Francia. L'obiettivo centrale è quello di poter individuare le tendenze riformatrici e comprendere quale sia stato il percorso del diritto amministrativo relativamente all'attività negoziale delle pubbliche amministrazioni. Verrà, conseguentemente, dedicato ampio spazio allo studio dei principi generali e delle procedure, dei modelli contrattuali e degli orientamenti normativi, con particolare attenzione alle recenti riforme adottate dai legislatori nazionali ed alla dimensione necessariamente sovranazionale della contrattazione pubblica negli Stati membri UE. Si è inteso analizzare i vari aspetti connessi al rapporto di collaborazione pubblico-privato, intendendo con questo una nozione più ampia rispetto all'istituto di partenariato pubblico-privato, ritenendo che, alla luce delle recenti direttive e del dibattito svoltosi in sede comunitaria, il rapporto sotteso anche ai contratti tradizionali, su tutti il contratto d'appalto, sia maturato fino a giungere ad una complessa e poliedrica relazione cooperativa e collaborativa tra il soggetto pubblico ed il partner privato, nella convinzione che non vi sia più una netta separazione di ruoli e che l'apporto del privato, soprattutto sotto il profilo qualitativo, sia divenuto essenziale ai fini del concreto soddisfacimento degli interessi pubblici, con ogni conseguenza in termini di disciplina della composizione del rapporto e dell'esecuzione dello stesso. ; This paper intends to propose a reconstruction of collaboration formulas between public and private in public procurement, as well as the reform trends in EU law and national laws, according to a tripartite division, which follows the current logic of the reforms in administrative law. The first part is devoted to the regulation of public procurement and public-private partnership in European Union law. The second part, however, will face the same issue with regard to Italian national law, with particular attention to the parallels with the debate and the reforms promoted by the EU. The third and final part, however, is devoted to the comparative study, extended to UK, Spain and France. The central objective is to be able to identify the reforming trends and understand what has been the path of administrative law regarding the negotiating activity of public authorities. Consequently, ample space will be dedicated to the study of the general principles and procedures, contractual models and regulatory guidelines, with particular attention to recent reforms adopted by national legislators and the necessarily supranational dimension of public procurement in EU member States. It was intended to analyze the various aspects related to public-private partnership, meaning that a broader notion than the contract of public-private partnership, believing that, in light of recent guidelines and the discussion held by the EU, the underlying report also to traditional contracts, has matured to achieve a complex and multifaceted cooperative and collaborative relationship between the public entity and the private partner, in the belief that there is no longer a clear separation of roles and that the contribution of the private, especially in terms of quality, it has become essential for the concrete fulfillment of public interests, with all the consequences in terms of regulation of the rapport and of its implementation.

Soft law, as law not legally binding in the traditional sense, can be approached in a systematic perspective. Particularly, soft law raises two central issues: the mechanisms of compliance to soft law and its relationship with the law, or, better, with hard law, that is law legally binding. In European Union order the systematic perspective emerges with greater clarity: European soft law regulates relations between the European institutions; it is halfway between the sources of law and institutional gover nance. In the European dimension, soft law is a particular tool that removes an original "vice of competence" of the Union. In this way soft law recalls the implied powers of the European institutions, as it erodes in the same way the spheres of competence of the Member States. But even at national level, the lack of binding force in the traditional sense hides the political force of soft law: soft law represents a typical source for legal order which asks for instruments other than the formal procedures of constitutional institutions.

Die nationalen Verwaltungssysteme stehen angesichts einer sich ausdehnenden und weiter differenzierenden Unionsrechtsordnung unter steigendem Anpassungsdruck. Sie reagieren darauf jeweils unterschiedlich. Die aus einer deutsch-italienischen Zusammenarbeit hervorgegangenen Beiträge nähern sich dem Thema unter drei Gesichtspunkten: Zunächst werden die Wirkungszusammenhänge bei der Europäisierung bzw. Internationalisierung der nationalen Verwaltungen in den Blick genommen, verbunden mit der Frage, inwieweit die feststellbaren Konvergenzen tatsächlich zu einer tiefergehenden Transformation der Verwaltungssysteme führen. Sodann geht es um Modernisierungsimpulse, die von einem durch die Verwirklichung des europäischen Binnenmarktes beförderten Wettbewerb der nationalen Verwaltungen ausgehen, und schließlich um die Frage, wie trotz unterschiedlicher Rechts- und Verwaltungstraditionen der EU-Mitgliedstaaten eine effektive europäische Rechts- und Implementationsgemeinschaft verwirklicht werden kann. / »Europeanization and Internationalization of National Administrations Compared« -- The volume tackles the reaction of EU-Member States to the pressure that stems from EU-law regarding the adaptation of national administrations. The contributions discuss the multi-level interdependencies and their effects on the underlying structures of national administrations, the impulses of modernisation deriving from the competition between national administrations and the possibilities to put into effect a community of law and of implementation despite the different legal and administrative traditions
The aim of this article is to offer a general overview about how the Globalization is changing the evolution of the National Public Financial Systems. In fact, Financial Law - either for expenditures or for revenues - is not more a domestic topic. According with the globalization of the economic and social relationships, the classical expending and taxing powers, nowadays, are not possible to be exercised under the sole sovereignty of National Parliaments and Governments. A lot of financial rules, finally adopted by the States, arrive to their legal systems through soft law instruments produced on international, public and even private, institutions. The analysis of this phenomenon is here tackled with three practical examples: the so-called cooperative compliance approach to the tax relationships between States and taxpayers, particularly multinational enterprises (sec. 2); the Transfer Pricing regulations (sec. 3); and the Public Debt Measurement in European Union (sec. 4).
