Der Verfasser behandelt zunächst den Wandel von Government zu Governance und die Institutionen lokaler Politik und Verwaltung. Vor diesem Hintergrund werden zwei Ansätze der Thematisierung von Meta-Governance nachgezeichnet: zum einen der staats- und steuerungstheoretisch ausgerichtete Ansatz von Bob Jessop, zum anderen die demokratietheoretisch geprägten Überlegungen der dänischen Governance-Schule um Eva Sörensen. In beiden Ansätzen erhält die Vorstellung eines ubiquitär gewordenen Wettbewerbsmechanismus eine zentrale Rolle. Während der radikalisierte Wettbewerb bei Jessop durch die sich der nationalstaatlichen Regulierungsweise entziehende globale Wissensökonomie und die daraus folgende Ausbildung regionaler und städtischer Regime repräsentiert wird, handelt es sich bei Sörensen um einen Wettbewerb demokratischer Politik durch unterschiedliche Akteure und zwischen institutionellen Arenen im Zuge der Fragmentierung staatlicher Organisation und der Verwischung von Grenzen zwischen Staat und Gesellschaft. Der Beitrag versucht durch die "Vornahme begrifflicher Probebohrungen" die in der Literatur auffindbare Vielfalt der Begriffsangebote für "Governance" einander gegenüberzustellen. Diese Sichtung kommt zu einem großen Konsens über unverzichtbare Grundbausteine eines zumindest als Arbeitsinstrument tauglichen Governancebegriffs. In einem weiteren Schritt werden diese "Begriffsbausteine" in folgende Abfolge gebracht: Actors - Interaction - Communication - Coordination - Zusammenwirken staatlicher und gesellschaftlicher Akteure - Social Ordering. Aus dieser Übersicht geht hervor, um was es bei Governance eigentlich geht: es geht um die Koordination von Handlungsbeiträgen miteinander interagierender und kommunizierender staatlicher und nicht-staatlicher Akteure, wobei als Koordinationsmodus die so genannten Regelungsstrukturen deutlich im Vordergrund stehen. Aus diesen Grundbausteinen des Governancebegriffs wird dann der Kommunikationsaspekt herausgegriffen, um Governance als Kommunikationsprozess zu thematisieren. (ICA2)
Corporate governance (CG) needs to acknowledge the intentional part of governance, where an actor of governance uses the set of corporate governance mechanisms in order to influence the agent to create a performance that will satisfy the interest of the principal. This paper offers a conception of this activity through the concept of governance strategy. The concept is derived within the context of agency theory and applied to two empirical organisations seldom investigated in CG research: the organisation of a riding school in a democratic not-for-profit association and the organisation of multinational corporations in a business group. ; The project is financed by The Bank of Sweden Tercentenary Foundation. Die sozialwissenschaftliche Diskussion zum Governance-Begriff wird auf den rechtswissenschaftlichen Begriff des "Gewährleistungsstaats" bezogen. Dieser Begriff soll eine Veränderung der Verantwortungsübernahme durch den Staat zum Ausdruck bringen: staatliches Handeln soll sich auf Vorkehrungen zur Sicherung der Verfolgung und Erreichung von gemeinwohlorientierten Zielen durch Private konzentrieren. Die Bewältigung sozialer Probleme soll in erster Linie in gesellschaftlicher Selbstregulierung erfolgen. Im Einzelnen wird auf folgende Themen eingegangen: Governance-Forschung im Bezug zur rechtswissenschaftlichen Analyse, Gestaltwandel von Staat und Recht, Aufgabenwandel des Staates, der Staat als Akteur, Attraktivität der Einsichten über Governance für die Rechtswissenschaft, die "Richtigkeit" des Regierens und Verwaltens sowie das Machtproblem. Purpose Growing social concerns and ecological issues accelerate firms' environmental, social and governance (ESG) engagement. Hence, this study aims to advance the existing literature by focusing on the interplay between institutional and firm governance mechanisms for greater ESG engagement. More specifically, the authors investigate whether public governance stimulates excessive ESG engagement and whether corporate governance moderates this relationship.
Design/methodology/approach Using a sample of 43,803 firm-year observations affiliated with 41 countries and 9 industries, the authors adopt a country, industry and year fixed-effects regression analysis.
Findings The authors find that public governance strength via its six dimensions stimulates excessive ESG engagement. This implies that firms in countries with strong voice and accountability, political stability, government effectiveness, regulatory quality, rule of law and control of corruption are more motivated for ESG engagement. Furthermore, corporate governance negatively moderates the relationship between all public governance dimensions (except political stability) and excessive ESG engagement. This implies that public governance and corporate governance are substitutes for encouraging firms to commit to ESG. Further tests reveal that whereas these results in the baseline analyses are valid for developed countries, they are not valid in emerging markets.
Research limitations/implications The findings support the interplay between institutional and agency theories. In countries with strong (weak) institutional mechanisms, corporate governance becomes weak (strong) in inciting greater stakeholder engagement. This implies that the public governance mechanism alleviates agency costs, rendering internal mechanisms of corporate governance noncompulsory for ESG engagement.
Practical implications The findings suggest that emerging countries need to reinforce their institutions for greater accountability, regulatory quality and control of corruption, which will have a domino effect on firms in addressing stakeholder expectations. The results also advise emerging country firms to augment their internal monitoring mechanisms for greater stakeholder engagement, such as structuring boards and establishing corporate social responsibility mechanisms, committees and policies.
Originality/value This study contributes to the recent literature investigating the role of corporate governance mechanisms in excessive ESG engagement. The study also explores whether public governance is associated with greater ESG involvement and provides a comprehensive analysis of the association between six indicators of public governance quality and excessive ESG practices in developed and emerging economies.
