Leistung der Stammeinlage auf ein Treuhandkonto der GmbH

Abstract

Am 12. April 2017 trat das Deregulierungsgesetz 2017 in Kraft, welches sich eine "Entbürokratisierung und Deregulierung" in mehreren Rechtsbereichen zum Ziel setzte. Im Rahmen dieses Gesetzes wurde unter anderem § 10 GmbHG geändert. Im Gegensatz zur bisherigen Gesetzeslage, ist es nunmehr ausdrücklich möglich, das Stammkapital einer GmbH im Zuge des Gründungsverfahrens auf ein Anderkonto des Notars, welcher als Treuhänder fungiert, zu erlegen. Zweck dieser Regelung ist es, die Bearbeitungsdauer für die Bestätigung der Erklärung des Geschäftsführers durch die kontoführende Bank zu vermeiden und somit den Gründungsvorgang zu beschleunigen.Sowohl der Wortlaut der Norm als auch die dazugehörigen Materialien vermögen es nicht, die Vorgehensweisen im Zusammenhang mit der "treuhänderischen" Kapitalaufbringung abschließend zu klären. Die gegenständliche Diplomarbeit behandelt in drei Hauptteilen, die Rechtslage vor dem Deregulierungsgesetz 2017, Fragestellungen welche sich in der Umsetzung der Neuregelung in § 10 GmbHG ergeben, sowie etwaige Auswirkungen über den Gründungsvorgang einer GmbH hinaus. ; On the 12th of April 2017, the Deregulation Act 2017 came into force, the main purpose of this legislation is to eliminate bureaucracy and deregulation in several legal areas. Within the implementation of the law, § 10 GmbHG was amended, among other things. Contrary to the previous legal situation, under the current law it is explicitly possible to deposit the share capital of a GmbH in the course of the formation procedure on an escrow account of the notary acting as a trustee. The purpose of this regulation is to avoid the procedure time for the confirmation of the declaration of the managing director by the account-holding bank and thus to accelerate the foundation process. Neither the wording of the regulation nor the associated information is able to conclusively clarify the procedures in coherency with the "fiduciary" raising of capital.
