The objective of this article is to analyse the incentives of Member States as well as of companies in order to establish whether or not the EU can expect to experience a situation in which there is competition for company incorporations. In the European literature on competition between company law regimes, it has been argued that if conditions for competition were established in the EU then there would not be competition to the same extent as in the USA, primarily because the European Member States lack a financial incentive to compete. However, the financial incentive can not stand alone, and the full range of the Member States' incentives is therefore examined in the context of interest group theory. Whether or not a company will forum shop for the most favourable company law depends on whether the decision-makers of the company have a personal incentive to do so. It is examined who the decision-makers are in different situations and it is concluded that regardless of who may be considered to be the actual decision-maker, it is likely that both the promoters of companies and companies themselves will have a number of incentives, varying in kind and intensity, to forum shop.

"Die Autorin unternimmt eine theoretische und empirische Analyse des Regulierungswettbewerbs im Umweltschutz. Die Theorie des Regulierungswettbewerbs sagt voraus, dass unter Bedingungen der Globalisierung mit einem regulativen Abwärtswettlauf gerechnet werden muss. Bisherige empirische Studien konnten diese Theorie aber nicht bestätigen. Im Beitrag wird zunächst gezeigt, dass durch die Modifikation einiger Annahmen der Theorie die Prognosen differenzierter werden: Je nach den herrschenden Bedingungen ist mit 'races to the bottom', 'races to the top' oder der Koexistenz verschiedener Standards zu rechnen. Zieht man die realistischen Bedingungen auf den globalen Märkten in Betracht, ist ein allgemeines 'race to the bottom' unwahrscheinlich. Diese Vermutung wird mittels Daten zu 21 umweltpolitischen Maßnahmen überprüft, deren Entwicklung über 30 Jahre in 24 Ländern beobachtet wurde. Die Daten zeigen erstens, dass es eine generelle Aufwärtsbewegung des Regulierungsniveaus gibt, und zweitens, dass die Politiken der 24 Länder im Verlauf der Zeit deutlich konvergierten. Drittens zeigt ein multivariates Erklärungsmodell für die Konvergenz, dass diese Bewegung vor allem durch internationale Harmonisierung und transnationale Kommunikation erklärt werden kann, nicht aber durch Regulierungswettbewerb." Nach einer kurzen Darstellung der Theorie des Regulierungswettbewerbs und des empirischen Forschungsstands im Bereich des Umweltschutzes wird mit Hilfe einer spieltheoretischen Analyse gezeigt, dass ein Regulierungswettlauf "nach unten" nur unter speziellen Bedingungen zu erwarten ist. Realiter wird eine ganze Reihe von Faktoren wirksam, die die Umweltpolitik in beide Richtungen treiben können. In einem nächsten Schritt werden empirische Ergebnisse zur Entwicklung von Umweltschutzstandards in 24 Ländern zwischen 1970 und 2000 präsentiert. Internationale Kooperation und rechtliche Harmonisierung haben hier dazu geführt, dass in diesem Zeitraum eine ständige Aufwärtsbewegung der Schutzstandards zu konstatieren ist - motiviert auch durch einen drohenden Regulierungswettbewerb. Proponents of federal environmental standards argue that competition for industrial development creates a "race to the bottom" in which states relax their own environmental standards to avoid losing businesses to states with more "business‐friendly" regulations. This article presents results from a unique survey of state clean air programs that show—contrary to the race to the bottom—a substantial number of states exceed federal EPA standards in a broad variety of clean air programs. Multivariate analyses of these state policies indicate that states strengthen their environmental programs in response to citizen demands rather than weaken their programs in deference to economic pressures.

We explore four decades of cyclical and long-run dynamics in income distribution and economic activity for a panel of thirteen OECD countries, as measured by the wage share and the output gap. When modeled as a Goodwin model, our results suggest that economic activity is weakly profit-led and that the wage share is pro-cyclical. Our estimated model is dynamically stable and has a long-run equilibrium in distributionutilization space. An extension of the model suggests that this equilibrium has been shifting south-west towards a lower wage share and a loss of economic activity. This finding is suggestive of a coordination failure among industrialized nations; it could be that the governments of these countries are engaging in a race to the bottom in terms of the wage share; it may even be that this race has the undesirable consequence of decreasing economic efficiency.
