Le séminaire juridique organisé par Coop FR en 2009 sur la simplification du droit coopératif, avait conclu à une profusion des dispositions du droit coopératif français engendrant un manque de lisibilité. Dans la droite ligne de ces travaux, une recherche a été initiée par un petit groupe de juristes coopératifs, en leur nom propre, sous la houlette de David Hiez, Professeur de droit privé à l'Université du Luxembourg, débutée en 2015 et achevée fin 2017. Elle a porté sur l'élaboration d'un droit commun coopératif plus lisible et mieux adapté aux développements du XXIème siècle. L'objet de cette recherche est de concevoir une loi coopérative idéale, non pas dans le sens où elle serait déconnectée des réalités vécues par les diverses familles, mais en ce qu'elle doit s'extraire des considérations politiques. Son ambition n'est pas d'enclencher un processus législatif mais de produire une loi coopérative plus aboutie qui pourra servir à la réflexion des chercheurs et de tous ceux qui s'intéressent au droit coopératif et, le cas échéant, de boîte à outil et être utilisée par le mouvement coopératif dans ses futures réflexions. Techniquement, l'objet de la recherche consiste dans le recensement des questions communes à toutes les familles coopératives qui seraient utilement intégrées dans la loi commune, et donc à limiter les dispositions exceptionnelles aux aspects qui révèlent une spécificité significative. La loi de 1947 est naturellement le point de départ du travail mais l'hypothèse est qu'elle mérite d'être enrichie, non seulement en intégrant des détails qu'elle ne contient pas aujourd'hui, mais aussi des questions qu'elle ne traite pas, par exemple l'organisation interne, le régime des titres de capital, la notion de groupe, le multi-sociétariat. La question de l'autonomie du droit coopératif a fait l'objet d'une attention particulière, avec l'ambition d'accroître l'autonomie par rapport au droit des sociétés, en faisant la part des liens qui méritent d'être conservés. The legal seminar organised by Coop FR in 2009 on simplifying cooperative law concluded that the provisions of French cooperative law were profusion, leading to a lack of readability. In line with this work, research was initiated by a small group of cooperative lawyers, in their own name, led by David Hiez, Professor of Private Law at the University of Luxembourg, starting in 2015 and completed at the end of 2017. It focused on the development of a common cooperative law that is more readable and better adapted to developments in the 21st century. The purpose of this research is to design an ideal cooperative law, not in the sense that it would be disconnected from the realities experienced by the various families, but in that it must be taken out of political considerations. Its ambition is not to initiate a legislative process, but to produce a more mature cooperative law that can be used to reflect upon researchers and all those interested in cooperative law and, where appropriate, a toolbox and be used by the cooperative movement in its future reflections. Technically, the purpose of the research is to identify issues common to all cooperative families which would usefully be included in the common law, and thus to limit the exceptional provisions to those aspects which reveal a significant specificity. The 1947 Law is of course the starting point for the work, but the assumption is that it deserves to be enriched, not only by including details which it does not contain today, but also issues which it does not deal with, for example internal organisation, the system of capital securities, the concept of a group, the multi-company profession, etc. Particular attention has been paid to the issue of the autonomy of cooperative law, with the aim of increasing autonomy from company law, highlighting the links that deserve to be maintained. The Principles of European Cooperative Law (PECOL) focus on the ?ideal? legal identity of cooperatives. Drafted by a team of legal scholars, the PECOL aim to describe the common core of European cooperative law. They are based on both existing cooperative law in Europe and the EU regulation on the societas cooperativa europaea. The Principles are accompanied by commentaries which illustrate the rationale and legislative background of each principle, and link them to the key features of co-operative identity. The PECOL are articulated into five chapters corresponding to the main aspects around which a cooperative?s identity may be structured, namely the purpose pursued, internal governance, financial structure, external control and cooperation among cooperatives. The second part of the book presents the national reports upon which the PECOL were based. The reports offer a detailed overview of the cooperative law of seven European jurisdictions (Finland, France, Germany, Italy, Portugal, Spain, and the UK), and thus provide a unique opportunity for law-makers, practitioners and researchers to compare, circulate and apply best practices of cooperative legislation
