Penyelenggaran Negara dan pemerintah dewasa ini tidak dapat dilepaskan dari perubahan yang sangat cepat dan dramatis yang terjadi dalam skala gobal. Munculnya konsep "governance" merupakan salah satu jawaban perubahan tersebut. Dalam konsep "governance" ini terdapat pergeseran paradigma penyelenggaraan negara dan pemerintah dari "government" ke "governance", sebagai konsekwensi dari perubahan ini adalah pemerintah tidak lagi memegang monopoli dalam penyelenggaraan Negara, tetapi harus berbagi peran baik dengan sektor swasta maupun dengan civil society (masyarakat). Perubahan ini juga berakibat pada pola hubungan antara pemerintah, sektor swasta dan masyarakat menjadi lebih sejajar dan demokratis. Current state and government delivery cannot be separated from the very rapid anddramatic changes that occur on a global scale. The emergence of the concept of "governance" is one of the answers to these changes. In the concept of "governance" there is a paradigm shift in the administration of the state and government from "government" to "governance", as a consequence of this change that the government no longer holds a monopoly in the administration of the State, but must share roles with both the private sector and civil society community). This change also resulted in a pattern of relations between the government, the private sector and society becoming more equal and democratic.

AbstractNon-state actors are increasingly assuming an active part in the design and construction of the institutional framework of global governance. The introduction of the concept of private authority in the literature has provided us with an insightful analytical tool for a deeper understanding of the role of private actors in the context of global governance. However, in order to achieve this objective the concept of private authority needs to be defined accurately and applied consistently in the examination of non-state governance schemes. This article aims to delineate the concept of private authority in the context of global governance first, by outlining the main characteristics of authority and identifying instances of inconsistent and loose application of these characteristics in the private authority literature and secondly, by offering a starting point for an analytically consistent typology of non-state authority. Following this analysis, a more thoroughly defined and analytically consistent concept of transnationalinauthority is presented. This new conceptualisation locates non-stateinauthority in the amalgamation of public authority and private power in the context of complex transnational governance structures, and can hopefully helps us gain a deeper understanding of the increasing institutionalisation and legitimation of transnational non-state governance.

Over the past few decades, new types of private governance arrangements arose which increasingly shape outcomes in global governance. The object of this dissertation is a specific form of private governance arrangement which emerged in the early 2000s in response to sustainability challenges regarding agricultural commodities: the so-called Roundtables. These Roundtables are global multi-stakeholder platforms that aim to promote and steer change of an entire agricultural commodity chain towards a more sustainable direction. Their decision-making processes include business actors from all links in a commodity chain, developmental nongovernmental organizations (NGOs) and environmental NGOs, while state actors are formally excluded from these processes. Roundtables use certification as main instrument to ensure compliance with their regulation. The proliferation of private actors in governing issues regarding sustainable development has given rise to extensive academic and political debates. Many of these debates are related to what constitutes legitimate private governance. This dissertation therefore focusses on issues of legitimacy related to private governance arrangements. The vast majority of the academic literature focuses on democratic legitimacy related to private governance and uses a specific conception of legitimacy which makes the distinction between input and output legitimacy. The scope of such approaches is rather limited for three reasons. First, these approaches are normative and as a consequence hardly inform us about the different ways legitimacy might actually develop. Second, these approaches are originally state-oriented. Private governance arrangements, however, differ essentially from traditional state regulation. Third, evaluating arrangements on 'rigid' criteria presents a rather static approach. Verbindende Klammer der vorgelegten kumulativen Dissertation sind die Interessenkonflikte im Unternehmen, die annahmegemäß Effizienzverluste bzw. Agency-Kosten zur Folge haben. Das Ausmaß von Interessenkonflikten bzw. resultierenden Agency-Kosten wird wesentlich durch die unternehmensspezifische Corporate Governance bestimmt. Die vorgelegte Arbeit umfasst vier Beiträge, die sich vor dem Hintergrund deutscher Besonderheiten mit der oben skizzierten Problematik bzw. dem Einfluss der Corporate Governance beschäftigen. Der erste Beitrag untersucht, ausgehend von der Grundhypothese einer Veränderung der deutschen Corporate Governance und einem relativen Erstarken des Typ-I Konflikts, den Einfluss Corporate Governance Faktoren auf Proxygrößen einer typischerweise mit opportunistischem Verhalten assoziierten Unternehmenspolitik. Im Ergebnis legen die Befunde nahe, dass sich der Typ-I Konflikt möglicherweise in der Vergütungspolitik manifestiert, was eine Erweiterung der üblichen Charakterisierung des deutschen Corporate Governance Systems darstellt. Die Befunde zur Präsenz von Blockholdern stehen im Einklang mit der diesen im deutschen System üblicherweise zugeschriebenen Rolle. Der zweite Beitrag wendet sich der seit den 1990er Jahren untersuchten Frage der der Integration von externer und interner Unternehmensrechnung unter Rückgriff auf die Überleitungsrechnung von Segmentergebnisgrößen auf das Gesamtunternehmensergebnis gemäß IFRS 8 zu. Es wird gezeigt, dass Organisationskomplexität sowie eine Integration positiv legitimierende Umfeldfaktoren die Integration befördern. Höhere Informationsasymmetrien zwischen Eigentümern und Management sorgen demgegenüber eher für Abweichungen zwischen externer und interner Rechnung. Somit liefern die Ergebnisse dieses Beitrags erstmalig empirische Befunde zu einer bislang weitgehend konzeptionell geführten Diskussion. Der dritte Beitrag setzt am Spannungsverhältnis von Relevanz und Verlässlichkeit am Beispiel der Behandlung der Ausgaben für (Forschung und) Entwicklung (FuE) gemäß IAS 38 an. In der empirischen Untersuchung zeigt sich für generelle FuE-Tätigkeit durchweg ein positiver Wertbeitrag, während für aktivierte Entwicklungsausgaben keine Wertrelevanz festgestellt werden kann. Dieses Ergebnis scheint möglicherweise durch eine mangelhafte Glaubwürdigkeit des Aktivierungssignals getrieben. In der Untersuchung des Einflusses von Corporate Governance Mechanismen auf o.g. Zusammenhang zeigt sich, dass "stärkere" Corporate Governance bei Unternehmen, die FuE-Ausgaben durchweg aufwandswirksam verbuchen, zu einer höheren Wertrelevanz führt; bei Unternehmen, die Entwicklungsausgaben zum Teil aktivieren, zeigen sich hingegen uneindeutige Effekte, was u.a. durch verschiedene Interessenkonflikte begründet scheint. Der vierte Beitrag widmet sich einer empirischen Betrachtung der Berichterstattung zur Rolle von Geschäften mit nahe stehenden Personen nach IAS 24. Die empirische Evidenz zeigt eine starke Verbreitung dieser Transaktionen sowie eine hohe Heterogenität und teils geringe Transparenz der Berichterstattung; zudem liefern, im Einklang mit der bestehenden internationalen Evidenz, Corporate Governance-Charakteristika einen wesentlichen Erklärungsbeitrag für das Auftreten von RPT mit Personen. In der Gesamtbetrachtung gibt dieser Befund gewissen Anlass zur Sorge, da der IAS 24 als reiner Offenlegungsstandard seine Rolle nur bei hinreichend detaillierter und transparenter Berichterstattung erfüllen kann.

Introduction By any measure, John Carver has had a substantial impact on thinking about governance in nonprofits. He has authored three books, 14 monographs and over 160 separate articles, as well as a regular newsletter, audiotapes and a videotape (Carver 2002, pp. xli-xlii). His first book Boards that make a difference was reprinted 10 times before going into its second edition. He has consulted in over 19 countries. He has trained over 150 consultants (including the author) and other nonprofit leaders in his advanced Academy workshop, some of whom went on to form the International Policy Governance Association. His influence in Canada in particular has been profound, with one report noting that many Canadian organisations had debated whether 'to Carver, or not' (Panel on accountability and governance in the voluntary sector 1998, p. 15). His work has inspired books by other authors (Oliver 1999; Walters & Richardson 1997). Probably no other writer on governance has attracted so much publicity, or such controversy, as Carver. As Fletcher (1999, p. 437) notes, Carver's approach has been 'both lauded and demonized'. After explaining the basic principles and structure of Policy Governance, this paper briefly summarises the advantages of the model. It then examines how poorly the model is understood by some of its critics. The paper then explores in detail the negative critiques of Carver's writing on governance and of his Policy Governance model. Most of the critics are explicit in their comment on Carver's work, although one or two critiques have been implied from the general management literature. It should be noted that some of the negative critiques contradict others. Conclusions in relation to practice and research are then drawn.
