Código de gobierno corporativo ; Corporate governance code
La Corporación Universidad Autónoma de Bucaramanga, en adelante "UNAB" o la "Universidad", es una institución sin ánimo de lucro de carácter privado dedicada al servicio de la educación. Tiene como propósito la formación en el marco de principios democráticos y liberales y propende por el mejoramiento del país. En su calidad de Institución de Educación Superior desarrolla funciones de docencia, investigación y extensión en áreas que incluyen educación técnica, tecnológica, de pregrado y posgrados, así como la investigación científica o tecnológica y la producción, desarrollo y transmisión del conocimiento y la cultura. Para la UNAB el gobierno corporativo, entendido como el conjunto de principios y reglas a través de las cuales se asignan derechos y responsabilidades a los órganos de gobierno y se definen sus marcos de actuación, es un instrumento para mejorar su desempeño misional, y generar valor para sus grupos de interés. El presente Código de Gobierno Corporativo es un documento de carácter autorregulatorio que refleja el compromiso de la UNAB con el fortalecimiento de su modelo de gobierno. El Código describe de manera general los principales elementos del sistema de dirección y control de la Universidad. En este sentido, actúa como articulador de todos los elementos de gobierno corporativo definidos por la Universidad que se desarrollan de manera más detallada en otros documentos internos tales como: los Estatutos, los reglamentos de los órganos de gobierno, y el Código de ética. Its purpose is to train within the framework of democratic and liberal principles and aims for the betterment of the country. As an Institution of Higher Education, it develops teaching, research and extension functions in areas that include technical, technological, undergraduate and postgraduate education, as well as scientific or technological research and the production, development and transmission of knowledge and culture. For UNAB, corporate governance, understood as the set of principles and rules through which rights and responsibilities are assigned to the governing bodies and their frameworks of action are defined, is an instrument to improve their missionary performance, and generate value for your stakeholders. This Corporate Governance Code is a self-regulatory document that reflects UNAB's commitment to strengthening its governance model. The Code describes in a general way the main elements of the management and control system of the University. In this sense, it acts as an articulator of all the elements of corporate governance defined by the University that are developed in more detail in other internal documents such as: the Bylaws, the regulations of the governing bodies, and the Code of Ethics. This document is structured based on the Political Constitution, the Law, the Bylaws of the Corporation and local and international standards of corporate governance.

Corporate governance and reform of the banking system in the Russian Federation.
The establishment of a healthy and effective supervisory system for enterprises is running into considerable difficulties in the Russian Federation. Enterprises are controlled by insiders, and this constitutes a major obstacle to restructuring. Investment funds and banks ought to figure as major actors in the monitoring of enterprises, but in order to achieve this, they will require to upset the pattern of their relationship with the enterprise. They will need to free themselves of the dominance which the enterprise maintains over them, and introduce appropriate supervisory mechanisms. This involves complex changes, which, it is thought, will lead to the establisment of a new, and doubtless unique, model of corporate governance.

This document provides a look at The Colombian Corporate Governance System, from the promulgation of the Law 275 of 2001. The guidelines of international standards on corporate governance are commented and compared with the Colombian legislation. Features of the Code of Good Governance in Colombia are evaluated in which look for get competitiveness, sustainability, and deepening of the stock market, according to the principles of the OECD. It is presented a comparative study make in the country during 2002 and 2007 where there were deficiencies in the codes of the company's investor protection, the role of boards and transparency of information. The author shows a study about the annual penetration in adopting good governance practices in Colombia and concludes that the private financial sector is concerning to adopt them. That study present that 60% of companies have made no changes to the code since its inception. ; La Ley 275 de 2001 determinó el sistema de Gobierno Corporativo colombiano. El presente documento permite una mirada desde su entrada en vigencia. Se comentan los lineamientos de los estándares internacionales en esta materia y se comparan con la legislación nacional. Se evalúan las características del Código de Buen Gobierno en Colombia donde se promueve el logro de la competitividad, sostenibilidad y profundización del mercado accionario con base en los principios de la OCDE. Se cotejan estudios realizados en el país (2002, 2007) donde se observa deficiencia en los códigos de las empresas en cuanto a la protección del inversionista, el papel de las juntas directivas y la transparencia en la información. Se expone también cómo ha sido la penetración anual en la adopción de prácticas de buen gobierno en Colombia y la preocupación de empresas privadas del sector financiero por adoptar dichas prácticas. El 60% de las organizaciones no han efectuado modificaciones al código desde su puesta en marcha.

This article gives an account of the theoretical and epistemological approach of two topics of wide and very important attention in the business and academic world, such as Corporate Government (CG) and Corporate Social Responsibility (CSR). The concept of Corporate Social Responsibility in the field of business has become one of the competitive advantages of the modern world; likewise, Corporate Governance has been accentuated as one of the best practices in relation to the medium where modern companies develop. In this sense, CSR refers to Stakeholders (interest groups) and CG has a seat in the organs of senior management, which in this case refers to the partners of the company. Regarding methodology, the type and method of study was descriptive - explanatory; the technique used for information gathering was documentary review. ; El presente artículo da cuenta del acercamiento teórico y epistemológico de dos temas de amplia y muy importante atención en el mundo empresarial y académico, tales como son el gobierno Corporativo (GC) y la Responsabilidad Social empresarial (RSE). El concepto de la responsabilidad social empresarial (RSE) en el ámbito de los negocios se ha convertido en una las ventajas competitivas del mundo moderno, así mismo, el Gobierno Corporativo (GC) se ha venido acentuando como una de las mejores prácticas en relación con el medio donde se desarrollan las empresas modernas. En tal sentido la RSE se refiere a los Stakeholders (grupos de interés) y el GC tiene asiento en los órganos de alta dirección, que para este caso se refiere a los socios de la compañía. En relación al tema metodológico, el tipo y método de estudio fue el descriptivo – explicativo; la técnica de recolección de información fue la revisión documental.
