Liberalizzazioni : una lezione giuridica
This paper aims to study liberalization from a strict judicial perspective, warning legislator of bonds and ties which deregulation must respect. The elected point of view will be the central relation in economy law between free enterprise - economic liberty, on one side, and bonds related to social utilities, on the other. Article 41 of Italian Constitution as well as article 3 paragraph 3 of European Union Treaty clearly refer to a social market economy. The analysis will examine the main liberalization experiences in net services and local public utilities, where liberalization means disappearance of administrative power and control. The deficit of effectiveness and difficulty of legislative power in achieving liberalization goals are the main common denominator in all the liberalization experiences examined. The conclusion is the axiom that liberalization is helpful for the economic growth must be reconsidered and assessed together with the conditions of a social affordable liberalization. Le reti di impresa nel mercato: prospettive di qualificazione giuridica ; Business networks in the market: legal classification perspectives
Le reti d'impresa sono un fenomeno di matrice economica che può essere collocato all'interno dell'ampio quadro delle strutture aggregazionali tra imprese: il cd. Networking. Le reti sono forme ibride di organizzazione, un modello intermedio che si colloca fra le categorie generali dello scambio contrattuale e delle strutture gerarchiche integrate e che tende a sfuggire alle categorie giuridiche tradizionali. Il predetto fenomeno reticolare, è stato oggetto di positivizzazione da parte del Legislatore italiano attraverso la L. 9 aprile 2009 n. 33, art. 3 comma 4-ter. Il contratto di rete di cui alla citata normativa si pone, quale strumento di disciplina e d'incentivazione dei rapporti cooperativi tra imprese alternativo alle forme di aggregazione tradizionali. Esso rappresenta una figura flessibile di contratto plurilaterale con comunione di scopo, ad effetti obbligatori, di natura formale e connotato da una responsabilità limitata. ; Business networks represent a new way of partnership through which knowledge flows, propagates and regenerates, fuelling the processes of production and consumption. They may be qualified, from an economic point of view, as a free association between enterprises with the aim of increasing their competitiveness and innovativeness This reticular phenomenon was regulated for the first time by the Italian lawmaker through the L. 9 April 2009 n. 33, article 3 comma 4-ter. The network contract is a new legal norm also in the international spectrum, as a tool of discipline an incentive of networking between enterprises. This tool acts as an alternative to traditional relationships that affect each company (consortium, holdings). Therefore, the main goal of the research project is analysing business networks from an economic and legal point of view. My investigation is focussed on the features of the structure and the organisation of the companies involved in the network.

La proiezione energetica cinese negli scenari capitalistici globali
2006/2007 ; LA PROIEZIONE ENERGETICA CINESE NEGLI SCENARI CAPITALISTICI GLOBALI Dottorando: Dr. Fabio Massimo Parenti Relatore: Prof.ssa MARIA PAOLA PAGNINI RIASSUNTO L'analisi dei cambiamenti economico-politici al livello globale ha costituito una sfida costante alla quale gli scienziati sociali sono stati chiamati a rispondere. Ciò ha portato, nel corso del tempo, allo sviluppo di molteplici approcci interpretativi, capaci di volta in volta di fornire modelli esplicativi più o meno efficaci. L'emergere della cosiddetta globalizzazione ha poi accelerato, in una certa misura, il bisogno di proseguire tali studi, che malgrado la loro diversità sono confluiti il più delle volte nell'ambito disciplinare delle "Relazioni Internazionali" (RI). La tesi sulla proiezione energetica cinese negli scenari capitalistici globali tenta di entrare in questo ampio dibattito, partendo innanzitutto dall'adesione alle analisi più accreditate sui principali cambiamenti geoeconomici e geopolitici in corso - la ricomparsa dell'Asia al centro del sistema produttivo/commerciale mondiale, il declino dell'egemonia statunitense e l'emerge della Cina come nuovo centro di accumulazione capitalistica3 - e nel contempo dalla dissociazione da quelle sulla riduzione dell'importanza dello Stato-nazione e sull'emergere di una nuova "guerra fredda". La crescente integrazione cinese al modo di produzione capitalistico svela sia la centralità dello Stato-nazione dietro i nuovi processi di accumulazione asiatici, sia le crescenti interdipendenze economico-finanziarie fra gli USA e la Cina, sia infine l'emergere di un modello di sviluppo cinese sui generis, che abbiamo definito del free State (in confronto a quello del free trade britannico e del free enterprises statunitense). Le strategie energetiche cinesi, incentrate su una serie di accordi bi/multilaterali, regionali ed intersocietari, rendono conto dell'ampiezza dei processi di accumulazione capitalistica in alcuni poli asiatici, della spinta verso l'integrazione macroregionale e delle conseguenze geopolitiche prodotte da tali movimenti. Ricordandoci, in ultima istanza, la dipendenza delle dinamiche di cambiamento dalla dimensione energetico-materiale. Sottolineando dapprima i limiti interpretativi delle RI, in particolare delle analisi più influenti dell'approccio realista (Huntington, 1996; Bernstein e Munro, 1997; Mearsheimer, 2001, e altri), la tesi proposta rivendica la centralità dello sguardo geografico nella comprensione della natura dei cambiamenti in fieri, nonché l'adeguatezza degli strumenti analitici della disciplina geografica (l'articolazione scalare degli spazi umani) nella interpretazione della dinamica capitalistica globale (Harvey) e dei correlati sviluppi geopolitici. Il ricorso a un'analisi energetica e interscalare, che ha messo al centro dell'attenzione la regione mobile e l'infrastruttura, ha consentito di svelare la parziale trasformazione degli Stati nazione in "entità regionali mobili" (imbrigliate in un sistema sempre più interdipendente e competitivo), nonché la capacità degli Stati stessi di produrre regionalità. Da questa angolazione, il cambiamento degli equilibri del sistema internazionale è stato desunto proprio a partire dall'analisi degli sviluppi che occorrono nelle principali regioni strategiche (geo-energetico-minerarie) e dalla costruzione di sistemi di controllo economico-finanziario, direttamente influenzati dalle politiche dei principali attori statuali. Nello specifico, la tesi ha cercato di rispondere alla seguente domanda: perché la rivalità sul controllo delle risorse petrolifere (USA/Cina) si sta ponendo in forme nuove rispetto al passato? In condizioni geoeconomiche in profondo mutamento, e nell'ambito di una competizione capitalistica Ovest/Est, la Cina si moverebbe con approccio diverso dagli USA, inserendosi nei processi di globalizzazione con una diversa soggettività politica e un compromesso sui generis fra lo Stato e gli interessi economici capitalistici. Il Beijing consensus è il frutto di una strategia alternativa a quella degli USA (basata sul sostegno alle private corporations e ai loro interessi immediati), che possiamo riassumere in tre elementi distintivi: l'uso prevalente delle State-owned enterprises per scopi strategici; la costruzione di rapporti di lungo periodo, tramite investimenti in perdita o con ritorni minimi; e infine, ma non meno importante, l'attenta elaborazione di politiche macroeconomiche (monetarie, fiscali e industriali) tese a ridurre le ripercussioni negative indotte da un eccessivo affidamento agli aggiustamenti di mercato. Mentre l'approccio unilaterale degli USA sembra essere il risultato di un progressivo declino di legittimità e consenso (Washington consensus), l'azioni cinese nel mondo non ha come obiettivo l'egemonia, ma il consolidamento di uno status di grande potenza, garante di un ordine mondiale multipolare. Una strategia che è coerente con alcuni principi guida scritti nella costituzione del 1982, e che riguardano il rispetto della sovranità e dell'integrità territoriale, la non aggressione, la non ingerenza negli affari interni, l'eguaglianza e la coesistenza pacifica. Nella sostanza, la Cina si oppone all'imperialismo e all'egemonismo e si impegna a sostenere le nazioni oppresse, la pace e il progresso nel mondo (Rinella, 2006). Tuttavia, non è l'ordine unipolare in sé che viene contestato, quanto piuttosto la posizione egemonica degli USA nei confronti della Cina, la quale è preoccupata degli effetti che l'unilateralismo statunitense possa avere sulla stabilità di regioni del mondo da cui dipende il suo sviluppo (Foot, 2006). L'obiettivo di costruire un mondo multipolare si traduce in un'estesa strategia di cooperazione bilaterale e regionale con quegli Stati asiatici, come la Russia e l'Iran, che condividono lo stesso bisogno cinese di rimarginare gli squilibri prodotti dall'unilateralismo statunitense (Domenach, 2003; Garver, 2006). Inoltre, l'emergere di un'architettura energetica asiatica più indipendente dall'Occidente, nonché di un sistema economico-finanziario multipolare, dipende anche dal ruolo ricoperto dall'India e da altri Stati asiatici (tra cui soprattutto il Pakistan, le Repubbliche Centro-Asiatiche, l'Iran e l'Arabia Saudita), le cui interdipendenze geoeconomiche e politiche con la Cina stanno aumentando sia nell'ambito di rapporti bilaterali, sia nella sfera d'influenza della Shanghai Cooperation Organization (SCO) (cioè uno spazio regionale riconosciuto de jure e in continua espansione). L'evoluzione di questa organizzazione va avanti e si rafforza sul piano di accordi economici ed energetici, che sono finalizzati, in ultima istanza, a costruire un tessuto di infrastrutture capaci di "vestire" la macroregione asiatica. Le ambizioni della Cina sono concretamente sostenute dalla sua performance economica, molto significativa sul piano quantitativo e qualitativo, dal connesso sviluppo di tecnologia militare (missili, satelliti, nucleare etc.) e dalla sua abilità diplomatica, che in ultima istanza si rifà ai principi originari dell'Organizzazione delle Nazioni Unite. Tutte carte da grande potenza che gli consentono di giocare un ruolo sempre più importante sull'arena internazionale, in cui l'emergere di una nuova Guerra Fredda non sembra essere un esito compatibile con i nuovi sistemi di organizzazione economico-politica capitalistica al livello mondiale. Se lo sviluppo cinese e statunitense dipende in modo crescente da ampi sistemi di approvvigionamento energetico che possono entrare in competizione, entrambi i Paesi sono sempre più legati sul piano economico-finanziario. ; XX Ciclo

Economic growth in China is impressive, but underlying weaknesses may erode in time its potential unless measures are taken to further liberalise the economy & reduce the costs of growth. While the contribution of the private sector to growth is becoming dominant, the interference of the party/state with the economy is still an impediment to a better allocation of capital. That is needed to eliminate waste & free resources for both private use & social needs, in particular those of the rural areas whose incomes do not keep up with the pace of growth. On the basis of official data, China has been able to contain state debt & reduce the general public deficit, but the macroeconomic picture suffers from lack of transparency. Recurrent needs of bank consolidation in the near past, the persistence of a large state-dominated banking sector & a more than opaque capital market together with a long established practice of easy credit to state enterprises as well as fiscal engineering on the part of the provincial governments raise the problem of how solid are the financial foundations for growth & how long will the contingent liabilities of the public sector remain tolerable. Excessive capacity built in several sectors could badly suffer from a possible slow down in the world economy. China needs to contain the costs of growth, improve equity & efficiency of public spending, limit growing income disparities & last, but not least, enhance the role & autonomy of the Central Bank in support of stabilisation. More clarity is also needed on the exchange rate regime policy & possible move to managed floating from gradual capital movements' liberalisation. Tables, References. International audience ; The essay aims to analyze the phenomenon of corporate social responsibility, which originated in the United States in the fifties but became a reality widespread in recent decades, from a philosophical-economic point of view and as the Socratic question "how to live ? ", Reproposed by the Nobel Prize winner for economics Amartya Sen, as well as his reflections on the ethical origins of the economy, lead us to reflect on new ways through which the company influences social values. From crowdfunding to the experiences of free-form enterprises, where time and space are decentralized. The phenomenon is interesting from an economic point of view: in fact, new forms of competitiveness are sought in the knowledge that the ultimate goal of the company remains profit, but also and above all ethical and social where new ways of doing business are changing society , while society itself requires innovative models in the way of doing business in its liquid and globalized variability. The need to find new measures of quality of life is also linked to these reflections. In 2008, a commission set up by the then President Nicolas Sarkozy and composed of some Nobel prizes including Amartya Sen, Jean Paul Fitoussi and Joseph Stigltiz, despite not having had a large following, began studying alternative measures to GDP that took into account happiness and of the welfare of the population. The order of economic indices so far known is therefore to be confronted with the disorder of a society that is reorganizing according to renewed models and desperately seeking new certainty, in the economic and political fields; starting from the crisis of homo oeconomicus, of overcoming the mere rationality about human choices in the economic field, if the request of society is that of a greater attention to ethics, to the responsibility in the consumption of resources and in respect of human rights, the governments that in the future will have the objective of guiding the economy and, in turn, not being guided, will have to take it into account and identify new answers to these questions, in order to put the economy back to the full service of man. ; Il saggio mira ad analizzare il fenomeno della responsabilità sociale d'impresa, che ha avuto origine negli Stati Uniti negli anni Cinquanta ma divenuta una realtà diffusa negli ultimi decenni, da un punto di vista filosofico-economico e come la domanda socratica «come bisogna vivere?», riproposta dal premio Nobel per l'economia Amartya Sen, nonché le sue riflessioni sulle origini etiche dell'economia, ci inducano a riflettere su nuove modalità attraverso cui l'impresa influenza i valori sociali. Dal crowdfunding alle esperienze della free-form enterprises, in cui il tempo e lo spazio sono decentrati. Il fenomeno è interessante da un punto di vista economico: si cercano infatti nuove forme di competitività pur nella consapevolezza che il fine ultimo dell'impresa resta il profitto, ma anche e soprattutto etico-sociale laddove i nuovi modi di fare impresa stanno cambiando la società, mentre la società stessa richiede, nella sua variabilità liquida e globalizzata, modelli innovativi nel modo di fare impresa. A queste riflessioni si collega anche la necessità di trovare nuove misure della qualità della vita. Nel 2008, una Commissione istituita dall'allora Presidente Nicolas Sarkozy e composta da alcuni premi Nobel tra cui Amartya Sen, Jean Paul Fitoussi e Joseph Stigltiz, malgrado non abbia avuto grande seguito, iniziò a studiare misure alternative al PIL che tenessero conto della felicità e del benessere della popolazione. L'ordine degli indici economici fino ad ora conosciuti si trova quindi a doversi confrontare con il disordine di una società che si sta riorganizzando secondo modelli rinnovati e che cerca disperatamente nuove certezze, in campo economico e politico; a partire dalla crisi dell'homo oeconomicus, del superamento della mera razionalità circa le scelte umane in ambito economico, se la richiesta della società è quella di una maggiore attenzione all'etica, alla responsabilità nel consumo delle risorse e nel rispetto dei diritti umani, i governi che in futuro avranno come obiettivo quello di guidare l'economia e, non esserne a loro volta guidati, dovranno tenerne conto e individuare nuove risposte a queste domande, al fine di porre di nuovo l'economia al pieno servizio dell'uomo.

Stabilità economica e sostenibilità nel diritto internazionale
The study reconstructs the conceptual category of economic stability in its different forms (monetary, tax and financial) within the regulatory framework of international economic law, focusing, in particular, on the relative legal nature of global public good for the supply of which a plurality of public and private subjects and actors (states, international economic organisations, rating agencies, sovereign funds, multinational enterprises, hedge funds) are involved, operating on bases, perspectives and aims that do not always coincide and sometimes are even in potential conflict. A public good that — because of the properties that characterize it and the positive externalities it is able to produce — is in the common interest of all the subjects of international law and its various actors that make up the international economic community to commit themselves to its pursuit and supply, thus ensuring its widespread enjoyment for the benefit of all, while at the same time preventing dangerous opportunistic phenomena of free riding and moral hazard, which are at the root of many of the situations of instability that have occurred in recent decades. The research, in following the approach whereby international economic law is an area of public international law, i.e. of the part that regulates the economic nature of relations between states and other subjects of international law and whose sources can only belong to public international law, can only follow — in dealing with the issues related to this figure — a macro -economic approach of the problems in question, by firstly reconstructing the very complex contents of the above-mentioned category for which there is no legal concept at international level. We will then linger over the policies and stabilization mechanisms adopted at international and european level to overcome the current serious economic uncertainty, most of which are inspired by a strict conditionality. Solutions that have entailed and still entail significant costs if we consider the social repercussions that those choices have determined. Inevitably, many doubts and critical issues have been raised not only about the effective compatibility of those instruments with regard to the protection and promotion of economic and social human rights, but also about the limitations they have imposed on states, especially those most in need of economic and financial support in terms of exercising their (economic) sovereignty. This has also raised the question of how to reconcile democratic methods and technocratic solutions, especially when certain choices that have a decisive impact on the lives of individuals and the various national communities have been taken — partly because of the urgency of the moment — within fora and decision-making centers that lack effective democratic legitimacy. However, burden sharing that the production of the stability good imposes can only take place — as the study tries to demonstrate - through cooperative and multilateral strategies and based on the principle of differential treatment between developed and less developed countries, a concept that strongly influences international economic law. In fact, it reflects the need to consider not only the different material conditions that characterize the numerous situations involved, through a "gradation" of the obligations incumbent on them or through a better contextualization of these obligations, but also and above all it intends to recognize the different level of responsibility of the various countries and economic actors in determining the conditions of economic instability and the direct and consequential damages that can derive from the latter situation for the international economic order considered as a whole. Succeeding in implementing this aspect and, at the same time, combining economic reasons — especially those related to the balance of public accounts — with social reasons related to the defence of human rights is a very important challenge for states, for the international community and for humanity as a whole. The need to go beyond gross domestic product and other economic variables that work around that figure to measure economic growth, development in general and, above all, the well-being of a society, is becoming increasingly necessary without, however, chasing utopian models of happy degrowth. In fact, the use of new indicators and the achievement of new goals and targets as set out in the United Nations 2030 Agenda for Sustainable Development go in this direction. For these reasons, the study, in reconstructing the legal dimension of the principle of sustainable development, wants to emphasise how it can represent an opportunity to come to a method that is used to achieve an effective balance between political and economic interests and social interests, in some cases, as noted, opposed to each other. It expresses not only a new vision in terms of behaviour and method of action, but above all it can represent the means by which to reach a fair compromise at international legal level between the need to ensure a stable economic and financial system and the defence of the economic and social rights of the person, at least of those rights considered essential.This is the only way to prevent new crises and above all to protect the interests of future generations, as the Brundtland Report — which has given impetus to the principle of sustainable development — urges us to do.
