The article presents legal solutions of the European Union (EU) and Member States (MS) with respect to the digitalisation of company law. We analyse and evaluate the EU's efforts to overcome the backlog of legislation concerning technological development, with legal solutions in the field of the electronic formation and registration of companies and in shareholders' communication with company board members. The analysis shows that company law in the EU is lagging behind technological development. Despite ongoing dynamic efforts to modernise it on the EU level, the MS reveal differences in their speed of implementing the EU's directives. The case of Slovenia shows that while digital tools are in wide use for ensuring transparent data disclosure and publication, along with the realisation of basic corporate governance functions, big differences remain between the minority of companies traded on the regulated market and the majority of companies for which such regulation is deficient. Book, written in Slovene, discusses the legal content and scope of the concept of discriminatory harassment, which is deemed to be an unlawful discrimination under modern EU non-discrimination law, in the context of implementation of provisions of relevant EU directives in legal systems of the United Kingdom and Ireland. the two most important EU non-discrimination directives, adopted under Article 13 of the Treaty Establishing the European Community (now Article 19 of the treaty on the Functioning of the European union) - Racial Equality Directive (Directive 2000/43/EC) and Employment Framework Directive (Directive 2000/78/EC) - explicity mention harassment as prohibited form of discrimination. Legal definitions contained in these two directives define harassment as discriminationdiscrimination itself. Prior to the transposition of the EU non-discrimination directives into their laws, while few member states tackled this issue either within the context of the law on equal treatment (e.g. Denmark, the United Kingdom and Ireland) or outside this context (e.g. France), that is in the framework of criminal, civil, health and safety or employment legislation. As a result of the implementation of relevant provisions of the two main non-discrimination directives (Directives 200/43/EC and 200/78/EC) a definition of harassment has been included in legislations of all EU member states. In most member states such legislative definition is a literal copy of the definition of harrasment that can be found in the Directives 2000/43/EC and 2000/78/EC. The approach to the definition of harassment that appears to be the most "generous" from the perspective of victims of discriminatory harrasment is the one that was taken by British legislator. Such legal position in respect of the prohibition of discrimination has been developed in British case law and is based on the extensive interpretation of non-discrimination laws.
The concept of "hidden payout of profit" is characteristic for tax law, but inappropriate for corporate law, although it became deep-rooted in this field by practice. Within the context of corporate law it is not only about the problem of profit payouts, but also about the protection of the so-called tied up assets of a capital company within the so-called principle of capital preservation. The purpose of the corporate legislation is to prevent inadmissible interferences of shareholders or associates in the company's assets. Unlike corporate law, the purpose of tax law is to protect (fiscal) interests of the state, primarily to protect the tax base of the company as an independent and only subject to taxation, therefore the payouts of profit don't have an effect on the amount of the tax base, irrespective of whether the company pays out the profit in an open or hidden way. Hidden payouts of profit - as the open ones - do not reduce the tax base for income. The subject of the discussion are both aspects - the corporate aspect of hidden transfers of assets and the tax aspects of hidden transfers of assets within the law of joint-stock companies and limited liability companies.
Abstract. The challenge of ensuring the space environment's long-term sustainability in the context of the exploration and commercialisation of outer space raises several important issues and dimensions with respect to both international environmental law and sustainable development. The research question analyses the extent to which such exploration benefits humanity and expands the province of all humankind. In this article, historical achievements of the international legal framework governing the area of space exploration are presented. Opportunities for further developing and strengthening this framework to ensure the cooperative, transparent, inclusive and equitable development of space exploration are deliberated, notably those that do not limit the interests and opportunities of space-faring countries. The key finding and proposition of this article is that while discussing the need to improve and strengthen the international regulatory framework, developing countries' needs and interests should also be effectively incorporated. More equitable, inclusive and sustainable development is as much in the interest of developed countries as it is of developing countries. Although the new international economic order (NIEO) has mostly been assessed as a failure, its ideas still seem relevant in today's crisis environment. The new context clearly shows that the existing liberal international order is ineffective and calls for deep changes like in the times of the developing countries' fight for the NIEO. The article considers whether its principles remain of relevance today, which ones have been amended and which should be newly introduced, all based on NIEO-related lessons. Dilemmas between international law or a rules-based order as a framework for global governance and whether the proposed new inclusive global economic order is to be based on values (and if so, which) are evaluated. The decision by the Council of Europe to ter minate the Russian Federation's membership of the Council of Europe on 16 March 2022 makes the issue of legal certainty for aliens actively participating in the war in Ukraine as part of the Ukrainian Armed Forces completely unpredictable. The academic literature and the case law of the European Court of Human Rights in the field of the legal status of alien combatants is limited, and the International Criminal Court has not complet ed any cases on this topic. This article addresses the prin ciple of case law and, above all, the principle of legality with regard to aliens and their active participation in the armed forces of Ukraine. This issue has become cen tral since the Russian Federation may or may not grant these persons the status of prisoner of war according to the Third Geneva Convention, relating to Protocol I, or may characterise them as criminal offenders or terro rists. Risk in banking business can not be avoided because the latter is strongly embedded in the very nature of it and banks should therefore be aware of the importance of effective risk management, encompassing the identification, measurement and assessment of each type of risk. Risk management can be important source of gaining competitive advantage and a way to survive in the world of banking. One of the most important risk in bank is the credit risk. Credit risk can be defined as the potential that a bank borrower or counterparty will fail to meet its obligations. The goal of credit risk management is to maximise bank´s risk-adjusted rate of return by maintaining credit risk exposure within acceptable parameters. Banks need to manage the credit risk inherent in the entire portfolio as well as the risk in invidual credits of transaction. Banks should also consider the relationships between credit risk and other risks. The effective management of credit risk is a comprehensive component of a comprehensive approach to risk management and essential to the long-term success of bank. Risk management is usualy regulated by bank directives, prescriptions, where the most important in Slovenia is the Law about banking with under law acts.
Listina o temeljnih pravicah Evropske unije predstavlja osrednji dokument varstva temeljnih pravic v Evropski uniji, ki so se razvila skozi prakso Sodišča Evropske unije. Kot deklaracija je bila najprej slovesno razglašena 7. decembra 2000, pravna veljava in status primarnega prava Evropske unije pa ji je bil podeljen devet let kasneje z Lizbonsko pogodbo. Vsebina Listine o temeljnih pravicah Evropske unije temelji na skupnih ustavnih tradicijah in mednarodnih obveznosti držav članic, Evropski konvenciji o varstvu človekovih pravic, socialnih listinah Evropske unije in Sveta Evrope, sodni praksi Sodišča Evropske unije ter Evropskega sodišča za človekove pravice. Kljub temu pa je njena vsebina tudi inovativna in v nekaterih primerih širša. Tako je z Listino o temeljnih pravicah Evropske unije, zagotovljena pravica do azila, kar predstavlja redkost v mednarodnih dokumentih varstva temeljnih pravic. V praksi jo tako Sodišče Evropske unije kot nacionalna sodišča velikokrat uporabljajo na področju migracij in azila. Sodišče Evropske unije igra pomembno vlogo pri harmonizaciji Skupnega evropskega azilnega sistema in zagotavljanju minimalnih standardov varstva pravic prosilcev za mednarodno zaščito skozi interpretacijo skladnosti določb sekundarne zakonodaje Evropske unije na področju azila in nacionalne zakonodaje z Listino o temeljnih pravicah Evropske unije. ; "Charter of Fundamental Rights of the European Union" represents a core bill of rights document within the European union which developed through the case law of the European Court of Justice. The Charter of Fundamental Rights of the European Union was solemnly announced on 7 December 2000 as a Declaration, only becoming legally binding nine years later with the entry into force of the Lisbon treaty, which granted it the status of primary law of the European Union. The contents within the Charter of Fundamental Rights of the European Union is based on the constitutional traditions and international obligations common to member states, the European Convention for the Protection of Human Rights, Social Charters of the European union, and the Council of Europe, the case law of the European Court of Justice, and the European Court of Human Rights. However, it is also innovative and broader in some cases. Charter of Fundamental Rights of the European Union provides a right to be granted asylum, which represents a rarity in international instruments of fundamental rights. It is often used in practice by the European Court of Justice and national courts in the field of migration and asylum. The European Court of Justice plays an important role in harmonization of the Common European Asylum System and in setting of minimum standards for protection of the rights of applicants for international protection through its interpretation in compliance of secondary legislation of the European Union and national legislation with the Charter of Fundamental Rights of the European Union.
Spinoza, Pufendorf and Locke all championed freedom of thought (including freedom of religion) and of speech; all three thinkers deserve credit for having forged the fundamental principles of the liberal tradition. Spinoza, in particular, was the first writer in modern times to articulate a systematic defence of democracy. He believed that the state should promote the welfare of its citizens, while maximising their freedom. Although he equated right with power, he also advocated respect for the moral law, stressing the importance of being good to other people. Avtorica v magistrskem delu obravnava vpliv Listine Evropske unije o temeljnih pravicah na upravni postopek v državah članicah. V začetku prikaže razvoj varstva temeljnih pravic v okviru Skupnosti, zatem podrobneje predstavi temeljne značilnosti Listine ter povzame ugotovitve o uporabi Listine v državah članicah, ki izhajajo iz poročil o temeljnih pravicah Agencije Evropske unije za temeljne pravice. Že v začetnih poglavjih na relevantnih mestih opozori na prednosti in slabosti Listine, ki bi utegnile vplivati na upravni postopek. V nadaljevanju se posveti kritični obravnavi vpliva, ki ga imata na nacionalni upravni postopek dve najbolj procesno naravnani pravici iz Listine, in sicer pravica do dobrega upravljanja (41. člen Listine) in pravica do učinkovitega pravnega sredstva in nepristranskega sodišča (47. člen Listine). Nato na primerih iz sodne prakse Sodišča Evropske unije in nacionalnih sodišč prikaže, kako Listina vpliva na ugotovitveni postopek, obveznosti upravnih organov pred izdajo odločbe, možnost sodne kontrole nad upravnimi akti ter na pravnomočno zaključene zadeve. ; The thesis examines the impact of the Charter of Fundamental Rights of the European Union on the administrative procedure in Member States. In the introductory chapters, the developments in the protection of fundamental rights within the European Communities are outlined and the main features of the Charter are presented in greater detail. The key findings on the application of the Charter in the Member States are drawn from the annual fundamental rights reports that are prepared by the European Union Agency for Fundamental Rights. Throughout the entire thesis, strengths and weaknesses of the Charter that would have a significant impact on the administrative procedure are referenced where relevant. Further on, the Author critically examines the impact of the right to good administration (article 41 EU Charter) and the right to an effective remedy and to a fair trial (article 47 EU Charter), both of procedural character, on the national administrative procedure. Finally, referring to examples acquired from the recent case law of the Court of Justice of the European Union and national case law, the Author demonstrates how the Charter impacts the fact assessment procedure, the obligations of administrative bodies throughout the proceeding, the possibility of judicial review of administrative action and the impact on final administrative decisions.
Cepljenje otrok je v Sloveniji po zakonu obvezno in starši nimajo možnosti za svobodno odločitev glede tega. Področje obveznega cepljenja po teoriji Foucaulta spada v biopolitično oblast s primesmi disciplinarne oblasti. Ta vrsta oblasti ima nadzor nad vsemi biološkimi procesi, kot so razploditev, rodnost in smrtnost, nivo zdravja, trajanje življenja, dolgoživost, hkrati pa vrši tudi nadzor nad vsemi pogoji, ki na te procese vplivajo. Gre za celoten sistem intervencij in urejevalnih kontrol, biopolitika populacije. To je oblast vzpodbujanja, usmerjanja, reguliranja in nadzora, preko katere se upravlja telesa in življenja. Šole, vojašnice, zapori, psihiatrične institucije so se razvili kot instrumenti regulacije populacije, prav tako pa med te instrumente spadata javno zdravstvo in obvezno cepljenje, ki omogočata podvrženje teles in nadzor populacije. Obvezno cepljenje je v zahodnem delu Evrope večinoma prostovoljno, medtem ko v Sloveniji in državah južne in vzhodne evrope vlada obvezno cepljenje. V primeru neupoštevanja zakona o obveznem cepljenju so starši v prekršku, zaradi česar je zagrožena denarna globa. ; In Slovenia immunisation of children is mandatory by law and parents do not have the freedom to make the decisions regarding it. In Foucault's theory compulsory immunisaton falls under the biopolitical power with elements of the disciplinary authority. This type of authority has power over all human biological processes, such as procreation, fertility and mortality, level of health, length of life, and longevity, while at the same time posessing the power of control over all the conditions, that influence these processes. This is a complete system of interventions and regulatory controls, the biopolitics of the population. This is the authority of encouragement, guidance, regulation and control, through which bodies and lives are managed. Schools, barracks, prisons, psychiatric institutions have been developed as instruments of population regulation as well as public healthcare and mandatory vaccinations, which enable subjection of bodies and population control. In western European coutries vaccination is mostly voluntary, while in Slovenia and other southern and eastern European countries immunisation is mandatory. Failure to comply with the law is a misdemeanor with the threat of a monetary fine.
Abstract. The author assesses the relevance and analytical significance of authoritarian liberalism and interprets it as one of the modern conceptual models of ordoliberalism and European integration. The basic concepts of authoritarian liberalism and ordoliberalism emphasise the political and ideological connection between the authoritarianism of the strong state and the economic liberalism of market rationality. As a flexible market-oriented form of authoritarian liberalism, ordoliberalism means a rational strategy for maintaining and promoting the European integration project towards which the market economy and the technocratic elite are moving to contain crises. Due to the presence of the values of political liberalism, pluralism and the rule of law, authoritarianism in this structure is not repressive or monocentric, but subject to democratic criticism in relation to the supranational regulation of European integration. Cilj magistrske naloge je prikaz manifestacije družbene moči skozi pravo, specifično v demokratičnih procesih ; demokracija je temelj razvitih družb ter točka, iz katere naj bi dandanes izviralo vso pravo, zato sem se osredotočila nanjo kot na izvor razlikovanja posameznikov na podlagi sposobnosti (abstraktne) artikulacije interesa v volilnih procesih. Obstajajo namreč določene skupine bitij, ki niso sposobne artikulirati svojega interesa abstraktno, na način, ki je značilen za današnje institucionalizirane volilne procese, zato so iz njih izključene. V tej nalogi sem se osredotočila na primere otrok, mentalno manj sposobnih posameznikov in nekaterih drugih subjektov, katerih interes se ne upošteva na enaki ravni kot interes drugih. Demokracija kot vladavina ljudstva se po mojem mnenju dandanes sprevrača v vladavino tistih, ki imajo golo fizično ter mentalno sposobnost oditi na volišče, brati, pisati, in abstrahirano, torej ne konkretno, izraziti svoj interes ; ne gre torej za vladavino, utemeljeno na ideji temeljne enakosti oziroma neizpodbojno jasnih ter enakovrednih interesov, temveč za vladavino tistih, ki so sposobni artikulirano ter dejavno delovati v družbi, ter zahtevati uveljavitev svojih interesov. Gre torej za neke vrste procesno, ne materialno enakost, zaradi katere tisti, ki niso sposobni artikulacije interesov v družbi, postanejo objekti prava. Ogledala sem si različne poglede na demokracijo, predpise, ki urejajo položaje omenjenih skupin, ter vprašanje (objektivnega ter subjektivnega) interesa, ki je ključno za mojo tezo, saj idejo obstoja diskriminacije utemeljujem na podlagi konkretnega interesa napram abstraktnemu. Poudarjam pa, da gre za pravno-sociološko, ne za primarno filozofsko delo, ki skuša torej zgolj naslikati dejanskost družbe in prava, ne pa ju tudi predpisovati. ; The goal of this paper is to showcase the manifestation of power within a society, specifically in democratic processes ; democracy is the foundation of developed societies and the supposed source of all of today's law, which is why I focused on it as the source of discrimination of individuals based on their ability to abstractly articulate their interest in voting processes. There are certain groups of people who are incapable of abstractly articulating their interest, in a way which is typical of today's institutionalised voting processes, which is why they are excluded from them ; I have focused on children and mentally handicapped individuals, who's interest isn't taken into account as much as other people's is. Democracy as the rule of the people is in my opinion now turning into the rule of those who have the mere physical and mental capacity to go to a voting booth, write and read, and abstractly (as opposed to concretely), formulate their interest ; it is therefore not a rule based on an idea of fundamental equality or clear and equal interests, but a rule of those who are capable of functioning in a society in an articulate and active way, and demand that their interests are enforced. It is therefore a procedural, not a material equality, because those who aren't capable of (abstractly) articulating their interests in this society become an object of the law. I have examined different views of democracy, regulation which deals with the status of the before mentioned groups, and the question of interest, which is crucial for my thesis, because I base my idea of the existence of discrimination on concrete interest versus the abstract one. I would like to point out that this is a legally-sociological, not a philosophical work, which therefore primarily tries only to paint the reality of society and law, not to prescribe them.
V članku je prikazan poskus ureditve mednacionalnih odnosov na istrskem polotoku v letih pred prvo svetovno vojno v širšem kontekstu reševanja nacionalnih konfliktov v avstrijski polovici Habsburške monarhije. Poseben poudarek je na predstavitvi in analizi moravskega kompromisa leta 1905, ki je temeljil na osebnem načelu in je postal nekakšen model za urejanje mednacionalnih odnosov v Cislajtaniji ter na analizi istrskega kompromisa leta 1908, ki je temeljil na teritorialnem načelu. ; The Habsburg monarchy was an absolutist monarchy before 1848, and from the Theresian-Josephine period there was a tendency to introduce a centralised unitary state. However, this was resisted by Hungary, which was able to maintain its special position under constitutional law. In 1867, the Habsurg Monarchy accepted the Austro-Hungarian compromise to be organized as a dual monarchy, as a personal and real union of two equal and more or less centralized states. The Monarchy was renamed to Austro-Hungary, however, in both parts of the states, this caused various national groups to experience a sense of discomfort and threat and consequently revoked their historical rights and national law. After the establishment of the Dual monarchy, the Wienna governments first favoured the correctional measures plans leading to federalism, after the affirmation of the dualism and the centralization, however, the idea of compromises became the central focus of solving the national disputes in Cisleithania. In 1905, German and Czech politicians in Moravia managed to reach an agreement on how to regulate the national situation in the country. The Moravian Agreement, which was conceived by the Regional Committee, was not based on territorial but on personal principles and became a model for the regulation of international relations in Cislaitania. The Istrian peninsula was also a focal point of national conflict, where Slavic deputies, especially after 1883, strongly advocated the realisation of linguistic equality in the country. The Italian majority in the Istrian Regional Assembly consistently rejected linguistic equality in the Regional Assembly. The Italian side became more receptive to Slavic demands only after the introduction of universal male suffrage for the National Assembly (1907), when it became clear that the process of political democratisation was working in favour of the emancipation of the majority Slavic population. In 1908, the Istrian Agreement, or the Regional Electoral Reform, was signed. The Slavs on the Istrian peninsula have thus won a victory. The Istria Agreement was based on the territorial division of electoral districts according to the principle of nationality and ensured that neither side majorised the other.
Magistrska naloga je posvečena poglobljeni obravnavi evropskih vrednot. Vrednote demokracije, pravne države in svobode na samem začetku evropske integracije niso bile popolnoma pozabljene, niso pa tudi zavzemale osrednjega mesta v razpravah o evropski unifikaciji. Večja pozornost jim je bila posvečena šele v devetdesetih letih, ko jih prvič posredno zasledimo v členu F Maastrichtske pogodbe in nekoliko kasneje v 6. členu Amsterdamske pogodbe. Svoboda, demokracija, vladavina prava in človekove pravice so bile sprva omenjene kot načela Evropske unije in so bile šele z novo terminologijo v 2. členu Lizbonske pogodbe (PEU-Liz) preimenovane v vrednote Evropske unije. V okviru naloge sem raziskala, v katerih evropskih dokumentih zasledimo omembo vrednot, kako so se te vrednote skozi čas razvijale in kakšen je njihov pomen v evropskem prostoru. Nadalje sem vrednote, zapisane v 2. členu PEU-Liz, nekoliko bolj podrobno razčlenila, pri tem pa nisem pozabila tudi na vrednoto miru, ki sicer ni našteta med vrednotami 2. člena, a predstavlja temelj evropskega povezovanja, brez katerega nadaljnji razvoj evropskih vrednot ne bi bil možen. Na koncu sem se poglobila še v zunanjo politiko Evropske unije in preučila, kako evropske vrednote učinkujejo v razmerju s tretjimi državami, ki niso članice Evropske unije. Analizirala sem tako pozitivno kot negativno plat širjena evropskih vrednot pod okriljem univerzalnosti in v tem kontekstu ovrednotila različne teorije o razvoju evropskih vrednot preko skupne in zunanje politike EU. ; This master's thesis is dedicated to an in-depth examination of European values. At the beginning of the European integration, values of democracy, the rule of law and liberty were not completely forgotten, but neither did they occupy a prominent position in discussions on European unification. More attention was paid to them later in the 1990s, firstly indirectly acknowledged in Article F of the Maastricht Treaty and later in Article 6 of the Amsterdam Treaty. Freedom, democracy, the rule of law and human rights were originally referred to as the principles of the European Union and were renamed as values only later in the new terminology of Article 2 of the Treaty of Lisbon (TEU-Liz). As part of my assignment, I reviewed in which European documents we can find the notion of values, how they evolved over time and what is their special significance in the European area. Furthermore, I comprehensively analysed the values laid down in Article 2 of the TEU-Liz, among which I also mentioned the value of peace which, incidentally, is not mentioned in Article 2, but represents the foundation of European integration without which further advancement of European values would not be possible. Finally, I expanded my research into the area of EU common foreign and security policy, where I investigated the impact of proliferation of European values in relation to third countries, states which are not members of the European Union. I analysed positive as well as negative aspects of the spread of European values under the auspices of universality and in this context, I examined the various theories regarding the expansion of European values through EU's common foreign and security policy.
