自20世纪90年代起,金融及法律界学者逐渐提出到境外发达资本市场上市可以发挥其 "捆绑"作用:企业可以通过跨越本国薄弱的法律机制,受制于发达国家的法律以及监管,实现公司治理的提高。"捆绑理论起源于美国, 但随后也被运用于全球市场的其他角落。 问题关键在于本国市场与境外市场之间是否存在一个"质量差距", 因为只有在"质量差距"存在的情况下,"捆绑"的作用才有可能产生。 ; 源于"香港"英文拼写中的第一个字母H,到香港上市的中国企业被统称为H-股公司。自"青岛啤酒"于1993成功于香港上市,至今香港联交所已有169 间H-股公司。其中,2002至2006 是到港上市的高峰期. 此期间,中国资本市场混乱,难以发挥为企业融资的作用。鉴于此,中国政府鼓励国内企业到香港上市,寄予通过香港更好的治理机制,实现对本土企业治理实践的提高。 ; 当前,人们普遍认为香港上市可以顺利提高中国企业的治理实践。如若事实如此,我们有理由相信中国本土市场与香港市场之间存在明显的"质量差距"。也就是说香港市场的治理体系优于国内市场。此文以中小股东保护为出发点,于以下几个方面探讨两地之间是否存在"质量差距":信息披露,独立董事,金融中介机构的"看门人"作用,证券法的公力救济,以及公司法,证券法的私力救济。 ; In the 1990s, finance and legal scholars gradually proffered the view that cross-listing in a developed market functions as a "bonding" mechanism: a firm may improve governance practices in spite of the home country's weak legal institutions by subjecting itself to the legal and regulatory regime of the developed market. Initially developed in the context of overseas companies listed in the US, this bonding effect has been applied to other places of the global market as well. Critical to this scenario is the existence of a "quality gap" between the home and the foreign markets, which must exist for generating the bonding effect. ; Chinese companies listed in Hong Kong are known as H-share companies for the first letter of the listing locality. Since the birth of the first H-share company, Tsingtao Beer, in 1993, a total of 168 H-share companies have floated on the Stock Exchange of Hong Kong. A majority of these companies were listed between 2002 and 2006. Around this period, the two domestic exchanges were highly volatile and failed to provide an efficient fund-raising device for Chinese companies. 自1989 年以来,中国独立电影在国家电影体制的管控之下,已经发展二十余年。随着数字摄影、非线性编辑、互联网应用等技术的不断提升,今天的独立电影与以往相比,拍摄成本更低、制作方式更便捷、影像质量更高、传播手段多样化;但其创作力和艺术水准并没有大幅提升,反而呈现停滞,甚至下降趋势。究其原因,当然包括官方压制、国内电影市场冲击、海外影展关注度降低等多方面外界因素的影响,但中国独立电影内部环境和中国独立电影人自身所存在的问题则往往被人们忽略掉了。本研究正是通过对中国独立电影二十余年历史的梳理,力图描述其内部生态环境的变化,提出中国独立电影在原有国家电影体制之外建构了一个新的体制--"亚体制",并分析"亚体制"对于当前独立电影创作和独立电影评论的影响。 ; 国家电影体制对中国独立电影的管控由来已久,尤其表现在对其传播、发行、放映的控制上。在此情况下,"前DV 时代(1989-2000 年)的独立电影人经历了从体制中逃离、与体制合作、回归体制的路线。而同时,一些民间电影放映社团逐渐搭建起了自己的独立电影放映管道,并培养了一批帮助独立作者进行影片推广的"中间人"。在"后DV 时代"(2000 至今),各地放映社团发展壮大,开始举办独立电影节,"中间人"也由此获得了更多的权力和威信,变为具有较强话语权的"关键人。就这样,以民间放映社团为单位,独立电影节为支柱,"关键人"为核心,独立电影基金、学校、资料馆、公司为分支的独立电影"亚体制"框架基本形成。本研究主要通过人物采访、田野考察、影像文本分析等方法,结合布迪厄(Pierre Bourdieu)"场域"的相关理论分析这一"亚体制"的结构关系、经济链条和体制化表象。 ; 经过论证,本研究认为在独立电影"亚体制"的场域中,"关键人"通过积累文化资本、经济资本和社会资本的方式来获得权力,并在此基础之上建立其评价体系,形成"非主流"中的主流标准。如果这种状况得不到改善,"阶级"、"霸权"、"垄断"等问题将会愈演愈烈,独立电影界也会重蹈原有体制的覆辙,其内部会逐渐丧失"独立性",最终导致抑制独立电影多元化发展的结果。 ; Since 1989, the independent film in China, under the control of national cinema institution, has already had a history of more than 20-year development. With the continuous improvement of technology in the fields of photography, editing and internet application, today's Chinese independent film has lower producing cost, quicker production methods, higher image quality, and more diversified transmission methods. However, instead of a substantial improvement, the creativity and theartistic criteria of the films tend to stagnate and even have a tendency to decline, for which the main reasons might be government control, the impact of the domestic film market, the reduced attention of abroad film festivals and other external factors, but we cannot ignore the internal problems in the ecosystems of the independent film and the filmmaker themselves. The article points out that the current expansion of the semiotic focus from signs and texts to whole cultures needs the development of a coherent method. It therefore proposes to establish it through an application of the topological theory of fractals to the analysis of different kinds of symmetries in the semiosphere. Having defined fractals as resemblance between two topological structures, the article first dwells on what "resemblance" means in the comparison of both visual and conceptual patterns; it then proposes a typology of fractal similarities, based on the topological operations of rotation, translation, and reflection. Examples of each typology are given from the fields of cultural and political analysis. The article concludes by hypothesizing that cultural semiotics might evolve into a "pattern science", challenging the customary disciplinary barriers between the study of regularities in nature and in culture.

Despite the differences in our cultural, economic, and political systems China and Australia are societies sharing rapidly urbanising futures. This presents significant challenges for urban planning, placemaking, and the sustainability of livable, urban communities. Using Chongqing as a case study, metaPLACE is an experimental project investigating how participatory urban media (large and small interactive screens, installations, façades, and devices) can act as a co-designed interface between diverse community, industry, and government stakeholders. The empirical data gathered from a co-design workshop held in Chongqing in 2019 indicates there are a range of opportunities and concerns related to equitable placemaking, the environment, the nature of interfaces and participation, ownership and management of data, large and small screens, and cultural and generational considerations. Our critical and comparative analysis of the research design and cultural factors influencing the co-design process, reveal deficiencies in widely accepted models of user experience design and design process used across industry and design research. This has significant implications for transcultural and interdisciplinary co-design and the establishment of a viable Sino-Australian design ecosystem.

Dr. Hu Shih (1891-1962) was one of China's top scholars and diplomats and served as the Republic of China's ambassador to the United States during World War II. As early as 1941, Hu Shih warned of the fundamental ideological conflict between dictatorial totalitarianism and democratic systems, a view that later became the foundation of the Cold War narrative. In the 1950s, after Mao's authoritarian regime was established, Hu Shih started to analyze the development and nature of Communism, delivering a series of lectures and addresses to reveal what he called Stalin's "grand strategy" for facilitating the International Communist Movement. For decades--and today to a certain extent--Hu Shih's political writings were considered sensitive and even dangerous. As a strident critic of the Chinese Communist Party's oligarchical practices, he was targeted by the CCP in a concerted national campaign to smear his reputation, cast aspersions on his writings, and generally destroy any possible influence he might have in China. This volume brings together a collection of Hu Shih's most important, mostly unpublished, English-language speeches, interviews, and commentaries on international politics, China-U.S. relations, and the International Communist Movement. There has been a misconception that there was no political party in Hong Kong before the 1980s, and that the Hong Kong people cared less about political reforms before the 1990s. This misconception is reinforced by various discourses such as the "lifeboat" theory, the "administrative absorption" theory, and the national characteristic of the Chinese people. Through a historical study of the Reform Club of Hong Kong and the Hong Kong Civic Association in the early postwar period, we come to a clear picture of the history of political development in Hong Kong. First, Hong Kong people were not indifferent to politics, although constitutional reforms made little progress before the 1980s. Second, early form of political party did exist before the 1980s. ; The Reform Club of Hong Kong and the Hong Kong Civic Association were more than pressure groups but could be defined as political parties to pursue political, economic and social reforms in Hong Kong. Serving as the bridge between the Government and the people, they were particularly interested in such social issues as the urban development, housing, medicare, economy, education, crime, and hawking. Although the two parties often took a critical stance towards the Government, the Government used them to communicate with the people and to balance of interest of different political forces. The historical role of the Reform Club of Hong Kong and the Hong Kong Civic Association is largely forgotten and little-studied. This is the first academic treatment of these two earliest political parties in postwar Hong Kong. It aims to give a better understanding of the intricate relationship between the Colonial Government and the staff in London, the nature of colonial politics in early postwar Hong Kong, and the legacy of the Reform Club of Hong Kong and the Hong Kong Civic Association in today's Hong Kong. ...
