The aim of the research is to analyse the connections between agreements under Company law and the study of legal consequences of such bonds. The research is organized in three main sections. The first part is dedicated to reconstruct the theories of linked contracts and economic operations. It emerges the tendency of the legislator to legislate hypothesis of linked contracts in Business Law in order to achieve more certainty in business transactions. The second section is concentrated over hypothesis of linked contracts in Company Law provided by the legislature. It is therefore analysed the relationship between Company's Agreements and Shareholders' Agreements, the relationship between Cooperative's Agreement and Agreements with its own shareholders, the leveraged buy-out operations, the regulation of funding in relation to a specific transaction and the payment for share capital secured in Limited Liability Partnerships (In Italian Company's Law defined as «società a responsabilità limitata»). The third part concentrates on the analysis of a series of court judgements regarding hypothesis of linked contracts created pursuant to the power of autonomy of the parties: the connection between a Company's Agreement and the agreement to sell a property to the same company; the connection between a Company's Agreement and a contract between the company and his own shareholder; the connection between a Company's Agreement and the stipulation of a shared property agreement with a shareholder. The analysis proceeds by focusing on three situations in which the connection is set up in a way to circumvent the law: in the first it is violated the rule to protect the integrity of the share capital, in the second the proper fulfilment of taxes and in the third one the pre-emption clause. The conclusions point out the characteristics of linked contracts in Company Law.
The article offers an analysis, on the one hand, of legislative decree 21-5-2004 no. 171, containing the law giving effect to directive 3-12-2001 no. 95 relating to general product safety and now incorporated in the consumer code, following legislative decree 6-9-2005 no. 206, and, on the other hand, attemps to give a full account of the system of consumer protection in regard to defective products by means of a comparison between the preventive protection offered by the penal provisions of 171/2004 and the compensatory regime contained in d.p.r. 24-5-1988 no. 224 on producer's liability. These two legal measures are complementary inasmuch as the law on general product safety does not turn on establishing damage, but rather imposes prior duties on the producer in terms of guaranteeing the safety of products brought onto the market and of measures (withdrawall, recall, etc.) to be undertaken once the product is on the market in order to counteract those risks not previously eliminated; penal and administrative sanctions are provided. The producer liability rules, by contrast, presuppose establishing damage and aim to make restitution by way of compensation, according to objective criteria. Judgments place particular importance on an appraisal of the risks to product safety arising from uses to which the goods can reasonables expect to be put, taking account of the kinds of consumers involved, especially minor and old people. The two regimes overlap, however, in terms of measures to eliminate those product risks that were unknown to producer when the product was put into circulation and of the obligation that arise once the consumer has adverted the producer, violation of which can lead to additional liability in the form of sanctions for illegal omission, not contemplated in d.p.r. 224/1988, where the wrongfull conduct has occasioned damage to the consumer.
La Suprema Corte offre un'interpretazione dell'art. 33 c. cons. che sotto vari profili non appare condivisibile. La clausola contrattuale che preveda solo in capo al professionista il diritto di pretendere il pagamento di una somma di danaro in caso di recesso del consumatore determina effettivamente un significativo squilibrio tra le posizioni contrattuali a discapito del consumatore, ma risulta difficilmente riconducibile alla fattispecie dell'art. 33, 2° comma, lett. g), c. cons., come invece ritiene la Corte di cassazione. Più in generale la posizione ermeneutica assunta dalla sentenza Cass. civ. n. 10910/2017 pone la necessità di definire il corretto ambito di applicazione dei primi due commi dell'art. 33 c. cons. e di riconoscere in particolare l'esatto funzionamento del congegno presuntivo disegnato dal legislatore con la c.d. "lista grigia" delle clausole abusive.
PACTUM DE NON PETENDO: PROFILI CRITICI E RICOSTRUTTIVI. ABSTRACT Malgrado i patti di inesigibilità del credito non abbiano ancora avuto nel nostro ordinamento una specifica regolamentazione, non può dubitarsi l'istituto, pur così storicamente datato, giochi un ruolo di centrale importanza nella realtà contemporanea. In particolare proprio la crisi epocale delle economia in cui attualmente si versa sembra destinata a rendere ancora più attuale la funzione espletata dall'istituto sia con riguardo all'attività di impresa sia con riferimento a rapporti obbligatori insorti al di fuori di tale perimetro. Svariate sono le applicazioni dell'istituto che si sono diffuse nella prassi per come è dato desumere dalla rilevanza che le stesse hanno avuto in sede giudiziaria. La versatilità del pactum spazia, a titolo meramente esemplificativo, dagli accordi coniugali in sede di separazione, al pactum de non exsequendo, o al pactum de non petendo utilizzato per prevenire una situazione di insolvenza di imprese. L'analisi prende le mosse da una ricostruzione storica, imprescindibile per la comprensione dei problemi sottesi all'istituto, cui è dedicato il capitolo primo. Il pactum de non petendo per il diritto romano classico individuava un negozio informale, con cui il creditore si impegnava nei confronti del debitore a non richiedere, mai più o per un certo tempo, l'adempimento della prestazione. Fu il diritto pretorio ad attribuire rilevanza giuridica al pactum. L'istituto del pactum de non petendo, nel diritto romano classico, non rappresentava un modo di estinzione delle obbligazioni. Esso aveva in comune con il contiguo istituto dell'accepitlatio il fine di rimettere il debito, ma se ne distingueva in quanto appunto la prima estingueva direttamente l'obbligazione, mentre il pactum era destinato ad operare sul piano processuale a mezzo di una exceptio, che consentiva al debitore di paralizzare l'azione del creditore. La contrapposizione appena evocata, fondata sulla effettiva diversità degli effetti del pactum e dell'acceptilatio, venne a perdere, nel periodo successivo, il proprio significato in ragione soprattutto del venir meno del dualismo tra diritto civile e diritto pretorio, che giustificava, sia pur su piani diversi (sostanziale e processuale) l'affiancamento dei due istituti. Una delle principali sfide della dottrina contemporanea è dunque l'individuazione della natura giuridica del patto di inesigibilità, resa ardua da un lato dalla citata contiguità con l'istituto della remissione, e dall'altro dalla mancanza di una disciplina legislativa dell'istituto. Al tema della natura giuridica del pactum de non petendo è dedicato il secondo capitolo, che esamina le varie posizioni dottrinali espresse sull'argomento, a cominciare proprio da quella che riconduce il pactum perpetuo alla remissione del debito. L'analisi procede con la tesi che nega al pactum un'efficacia estintiva del preesistente rapporto obbligatorio, attribuendogli un'efficacia meramente obbligatoria. Secondo tale impostazione, il patto sarebbe fonte di un'obbligazione negativa ( a non chiedere l'adempimento) gravante sul creditore, che si aggiunge all'obbligazione originaria cui esso accede. Altra dottrina, di contro, ha negato che il patto di inesigibilità possa costituire fonte di una nuova obbligazione, qualificando il patto come mero "atto di tolleranza" concesso al debitore per permettergli l'adempimento tardivo. Infine, si prendono in esame le due posizioni dottrinali più recenti espresse sul punto: la prima, che qualifica il patto come fattispecie riduttiva del rapporto obbligatorio; e la seconda (alla quale si aderisce) che lo considera alla stregua di negozio regolamentare, ovvero vicenda modificativa del rapporto obbligatorio. Il capitolo terzo esamina i principali problemi di disciplina relativi al pactum de non petendo, disciplina che non essendo approntata dal legislatore dev'essere necessariamente ricostruita dall'interprete. La disamina prende le mosse dal problema della forma dei patti di inesigibilità, che si pone nel caso in cui essi incidano su obbligazioni che trovano la loro fonte in negozi formali. Si procede poi con il giudizio di meritevolezza del patto, e con l'analisi dei suoi effetti, problema quest'ultimo strettamente correlato a quello della natura giuridica. Inoltre, viene esaminata l'incidenza del patto sull'obbligazione solidale, con particolare riferimento al problema dell'applicazione analogica dell'art. 1301 c.c., che disciplina l'incidenza sul rapporto solidale della remissione del debito. Infine viene trattato il rapporto del patto di inesigibilità con altri istituti con cui presenta tratti di contiguità: la donazione, la novazione, la transazione, la prescrizione. Il quarto capitolo, infine, tratta degli ambiti applicativi del pactum de non petendo, che come si è detto si manifesta nei settori più disparati. Lo studio prende le mosse dal ruolo del negozio nell'ambito della crisi d'impresa, ed in particolare negli accordi di ristrutturazione dei debiti di cui all'art. 182-bis l. fall. Procede poi con la disamina del settore della crisi coniugale, in relazione al quale si rende necessaria un'analisi del divieto di disposizione di cui all'art. 160 c.c. Infine, viene esaminato il ruolo del pactum de non petendo nel processo, trattando di una delle sue manifestazioni: il pactum de non exsequendo. ; Pactum de non petendo: a critical reconstruction of the legal framework. Abstract Despite the fact that agreements by which a bad debt is declared unpayable have not yet been specifically regulated by our legal system, such a legal structure—that has always been known as pactum de non petendo—although old still plays a relevant role in contemporary economy. More specifically, the current economical context seems to make the agreement's function more relevant, both with regard to business activity and with other kind of contractual relationships. There are many applications of such an agreement as testified by the case law. The versatility of the pactum the non petendo is declined in various forms, such as, e.g., the spousal agreements at the time of separation or the agreements used to prevent an insolvency. The analysis starts from an historical reconstruction, essential to understanding the problems connected with this kind of agreement, to which the first chapter is devoted. The pactum de non petendo, for the classical Roman law, was an informal contract, with which the creditor committed not to require from the debtor, for some time or forever, the fulfillment of the performance. The Praetorian law attributed legal significance to the pactum. This agreement, in classical Roman law, was not an instrument for extinguishing contractual obligations. It had in common with the similar institution of "acceptilatio" the purpose of waiving the debt, but it was different from it, because the acceptilatio immediately extinguished the obligation, while the pactum was intended to operate on a procedural basis by means of an exceptio, which allowed the debtor to paralyze the creditor's action. The distinction between pactum de non petendo and acceptilatio lost its significance in the following period, primarily because of the disappearance of a dualism between civil law and Praetorian law. Therefore, one of the major challenges of contemporary scholars is the identification of pactm de non petendo's nature, made difficult by the contiguity with the remission of loan, and also by the lack of a legislative discipline of the institute. The second chapter deals with this topic, starting by examining the various doctrinal positions expressed on the subject. It starts the theory according to which the perpetual pactum de non petendo is a remission of loan. The analysis proceeds with the thesis that denies an extinctive efficacy to this agreement, i.e. the effect of extinguish the previous obligation. According to this approach, the pact would be the source of a negative obligation (not to claim fulfillment) imposed on the creditor, which is added to the original obligation to which it accedes. Other scholars, on the other hand, has denied that the pact of non-performance could be the source of a new obligation, qualifying the covenant as a mere "act of tolerance" granted to the debtor in order to allow it a belated fulfillment. Finally, the chapter examines the two most recent doctrinal positions on the subject: the first, which sees the covenant as a "reduction" of the obligations; and the second (to which it adheres) that considers it as a contract that modifies the previous contract. Chapter three examines the most important regulatory issues regarding the pactum de non petendo. A normative regulation is not given by the legislator, so it must necessarily be reconstructed by the interpreter. The first problem regards the form of this agreement, which arises in the event that it has as an object obligations that find their source in formal contracts. In addition, chapter three examines the incidence of the pactum the non petendo on the obligation, with particular reference to the problem of the application of art. 1301 c.c. Finally, the chapter considers the relationship between the pactum the non petendo and other similar legal structures, such as donation, novation, transaction, prescription. Finally, the fourth chapter addresses the application areas of the pactum de non petendo, which is manifested in the most disparate sectors. The study is based on the role of the agreement in the business crisis, and in particular in the debt restructuring agreements referred to in art. 182-bis r.d. n. 267/1942. It then proceeds with the examination of the sector of the family crisis, in relation to the spousal agreements at the time of separation. Finally, the role of the pactum de non petendo in the process is examined, dealing with the agreement called "pactum de not exsequendo".
The thesis deals with the main legal issues relating to the end of life and is projected to enhance the fundamental right to therapeutic self-determination.The undersigned defends the thesis in favor of the recognition of the freedom of the person to conform his life plan to his convictions and sensibilities, coming to consider desirable a legislative reform oriented to the acceptance in Italy of euthanasia practices.
La tesi tratta il tema del riuso delle donazioni materiali (indumenti ed altri beni durevoli) nel mondo non profit con particolare riferimento alle organizzazioni non profit (ONP) del contesto ecclesiastico, da un doppio punto di vista: analizzando le dinamiche reali del settore e approfondendo i profili giuridici connessi. Dopo una prima contestualizzazione del fenomeno all'interno del tema del riuso di beni ed indumenti con finalità sociali, la ricerca si concentra sul settore degli indumenti usati (emblematico per la compresenza di elementi sociali, ambientali ed economici). Si analizzano quindi le dinamiche del settore: il ciclo di gestione degli indumenti, il riuso come aiuto diretto agli indigenti, il riuso per la raccolta fondi per progetti sociali. La principale criticità del settore è la discrepanza tra percezione dell'opinione pubblica e reali dinamiche riscontrate sul campo: mentre per gran parte dell'opinione pubblica il settore si esaurisce nella distribuzione gratuita agli indigenti in realtà il settore si sviluppa su logiche commerciali; la necessità di commercializzare gli indumenti è un dato strutturale dati gli enormi volumi raccolti. Dalla discrepanza tra percezione e realtà del settore si originano criticità come: servizi inefficienti, mancanza di trasparenza, basse performance sociali, ambientali ed economiche. Tali problematiche sarebbero superabili attraverso lo sviluppo di logiche commerciali con finalità sociali, facendo gestire cioè la commercializzazione alle stesse ONP che compiono la raccolta. Un esempio di tale impostazione è il caso dei charity shop anglosassoni: nel contesto del Regno Unito il settore del riuso è gestito in grande parte dalle ONP (tramite più di 11000 charity shop) seguendo logiche orientate alla raccolta fondi, con importanti risultati in termini di performance e trasparenza. L'analisi giuridica viene quindi svolta in un'ottica applicativa cercando di capire in che modo la cornice normativa ha influenzato il contesto italiano e quali interventi potrebbero essere introdotti ai fini del superamento delle criticità osservate e del miglioramento del settore. Si analizza quindi l'istituto della donazione nel codice civile qualificando il conferimento di indumenti presso le ONP prevalentemente come un "atto gratuito con scopo di solidarietà". Viene poi approfondito uno specifico riferimento normativo sulla donazione di indumenti usati con fini di solidarietà sociale: l'art. 14/ 166; in relazione a tale norma si critica la distinzione effettuata tra "donazione" e "rifiuto" in relazione al luogo di conferimento: nella realtà infatti i materiali conferiti in varie modalità finiscono per avere simili caratteristiche e vengono gestiti con simili logiche, pertanto la distinzione appare poco solida. Si analizza poi la normativa relativa alla raccolta fondi nel non profit prima e dopo la Riforma del terzo settore: si nota come parte delle criticità riscontrate sul campo provengano anche da fattori normativi (oltre che da elementi culturali e di prassi). Si argomenta quindi in favore di una chiarificazione della normativa e di agevolazioni fiscali rispetto alla rivendita di materiale donato: tali agevolazioni potrebbero avvenire in relazione alla decommercializzazione delle entrate derivanti dalla vendita del materiale donato equiparando le stesse a entrate di natura non commerciale (come avviene nel contesto anglosassone dove le agevolazioni sono bilanciate da controlli sulla trasparenza e l'impatto sociale raggiunto dalle ONP). In questo contesto sono necessari importanti cambiamenti culturali, normativi e di prassi da parte del legislatore e da parte degli stakeholder con particolare riferimento al ruolo degli enti ecclesiastici; questi ultimi, data la loro centralità nel riuso delle donazioni materiali, lavorando ad una ristrutturazione delle loro attività, potrebbero contribuire ad importanti miglioramenti per l'intero settore. ; The research explores the subject of gift in kind donations (clothes and goods in general) towards Dioceses and connected non profit organizations (NPO) from a double perspective: analysing dynamics on the field and the legal framework deduced. Unlike the UK, where gift in kind donations are mostly seen as a way for NPO to raise money for their charitable causes, in Italy, gift I kind are seen (by public opinion and most of the stakeholders) as way to directly help poor people. Extensive field research on clothing second hand sector has shown that the volumes collected hugely overcome poor people needs. The misconceptions about the sector in Italy lead to many problematic aspects: social services inefficiencies, lack of transparency, low social, environmental and economic performances. In contrast with the Italian situation UK context (with NPO active in the sector with more than 11000 charity shops) shows better performances and level of transparency. The difference between the two contexts is given by the interrelation of common practice, cultural and normative aspects. Juridical analysis is therefore conducted in an applied perspective: how legal framework has influenced the Italian context and which changes and policies should be implemented in order to improve the sector? The research examine the legal institute of "donation contract" in the Civil code and the article 14/ 166 about donations of clothes for solidaristic purposes. The law makes a clear-cut distinction between "donation" (related to the idea of giving as a gift) and "waste" (related to the idea of disposal) whereas in reality there the two concepts are closely connected in the donor behaviour: most people donate to NPO the clothes and goods they need to dispose of. Moreover the study observes the fundraising legislation before and after the Third Sector Reform of 2017: some problematic aspects identified on the field appear to be rooted in the vagueness of the legal framework about trading activities in non profit sector. Policies in support of charity retailing should be implemented in Italy as it is done in the UK where tax reliefs are balanced by controls on transparency and social impact of NPO. Summing-up the investigation has shown that many changes need to be done in Italy, by the legislator and stakeholders, about the legal framework, the cultural approach to the sector and the related common practices. Given their historical and wide presence in the reuse of gift in kind donations, catholic NPO play a crucial role in the transformation of the sector: working towards reorganizing and enhancing their activities could contribute to the improvement of the entire sector.
The global landscape of mediation could be observed as an uneven picture represented by the variety of denominations, styles and approaches, modes of access and the varied nature of the institution of mediation. These differences have an impact on the way mediation is considered and applied in both theory and practice. National legal and political structures, cultural attitudes towards conflict and dispute resolution, and the solutions adopted vary greatly from one nation to another. Despite the path towards universality and recognition of the benefits of mediation at national and international levels, it is too early to say what the future of mediation will be and whether it will be possible to ensure a synergistic implementation of mediation in the global context. The relationship of mediation with the courts and its integration into the justice system, although an issue subject to much debate and evaluation, does not constitute a common framework and remains a point of reference for ongoing scientific research aimed at developing the best strategies and practices best suited to the needs of the parties. Despite criticism of the legitimacy of compulsory referrals to mediation, the reality today is that compulsory mediation cases make up the majority of mediation initiated through the judicial system. The last two decades can be characterised as a continuous encouragement for the use of mediation coming from international organisations that attempted, and still attempt, to provide a basic legal framework, based on the values and potentials of mediation encapsulated in its ability to reform a legal system of justice. Mediation, being a little-known method of dispute resolution, has received considerable attention from the main "players" in the international market (UNCITRAL, EU, WIPO, Council of Europe) which has influenced the national path of mediation towards "mobilisation". The revival of mediation, as well as the method of dispute resolution, has attracted my attention focusing on a subject that has often challenged the problems and effectiveness of civil law and common law systems in the development of the European and international internal market. The structures and environment, the practical (the nuances of the language of the norm used) and legal context of mediation, as well as the results of mediation have yet to be explored from a global and comparative perspective. At the same time, many critical or undefined issues remain on the mediation process. Post-Soviet countries (Ukraine, Georgia, Russian Federation) have been my primary interest in identifying strengths and weaknesses of the regulatory regime for national and cross-border mediation and have become a starting point for further research. I used a benchmarking methodology within a system called "Regulatory Robustness Rating System" ("Regulatory Robustness Rating – RRR", Kluwer Law International, 2017). The RRR system is elaborated in a detailed and explanatory manner by N. Alexander and is aimed at providing potential legal advisors and other actors in cross-border/international mediation processes with a quicker knowledge of the main features of the regulatory environment in which mediation will take place, stressing the importance of accessibility and predictability of the Mediation Law. Part I of the Thesis discusses the approaches of the regulative regimes and the principal foundations of mediation process and its increase popularity Part II describes the dimensions of legal mediation's in Russian Federazione, and in the alternative and comparative perspective Part III and part IV analized the mediation regimes and principle in Georgia and Ucraine.
In the judgment discussed in this paper, the Court of Cassation endorsed a broad interpretation of Art 44, para 1, letter d), legge 4 May 1983 no 184, such as to allow 'adoption in special cases' to homosexual couples. The legal recognition of the parental relationship developed between the child and the partner of the biological parent is rooted in a constitutionally-oriented interpretation, which is not hindered by the silence of the legislature on the reform of civil unions (legge 20 May 2016 no 76), thereby ensuring the realisation of the child's right to have a family, regardless of preliminary assessments of the sexual orientation of the prospective adoptive parents.
Tort liability for environmental damages and historical pollution The work explores the issue of tort liability for environmental damages, with specific reference to the cases of liability for the so called "historical" pollution, where such term indicates events of long standing environmental deterioration. The starting point is the analysis of a lawsuit decided by the Court of Milan in 2012, relating to damages, either or not of environmental kind, claimed by certain government authorities against the last owner of an industrial site for the production of chemical products. Such industrial site had remained active over the entire twentieth century under the ownership and management of different entities who contributed, to different extent, to the whole status of environmental deterioration identified on the spot. Moving from the case at stake, the work recalls the laws governing the compensation of environmental damages under the Italian legal system, from law 349/86 until the so called Environmental Code (legislative decree 152/06), and the EU legal system, in such last respect with specific reference to EU Directive 2004/35/CE. The analysis of the case has guided the verification, in the application stage, of the solutions created by scholars and case law, and the debate on the different functions that the institute of tort liability holds in respect of the issue of environmental damage. A particular attention has been reserved, on the basis of the scholars' and case law's arguments developed over the years, to crucial issues in the scholars' debate: the legal notion of environment and environmental damage, the question of identifying the persons liable, the role of the cause-to-effect relation, the criteria for allocating the liability, the relationship between the regulation governing the environmental damage and the one governing the recovery, the methods of compensation.
All'esito di una vicenda che ha avuto anche un risalto mediatico, Trib. Palermo 12 marzo 2014 condanna il Comune di Palermo a risarcire € 22.201,55 alla casa di produzione cinematografica che nel 2008 ha realizzato il film Palermo Shooting, diretto dal noto regista tedesco Wim Wenders. La sentenza presenta molteplici profili di interesse. Essa, in primo luogo, afferma la responsabilità precontrattuale del Comune di Palermo per avere lo stesso assicurato e poi invece non concesso un finanziamento, senza interessi, di circa € 250.000 per la realizzazione del film "Palermo Shooting". Il Comune di Palermo ha infatti bruscamente interrotto la trattativa relativa alla concessione del finanziamento, documentata da un formale carteggio intercorso tra le parti, senza alcuna giustificazione, o meglio adducendo motivazioni diverse da quelle reali e lesive dell'affidamento riposto dalla casa produttrice sulla conclusione del contratto di finanziamento. Dalle risultanze istruttorie, emerge infatti che il recesso del Comune di Palermo sarebbe stato motivato non già da formali ragioni di bilancio e contenimento di spesa, quanto piuttosto dalla circostanza che la produzione ed il regista di Paris, Texas avevano previsto la realizzazione di una scena in cui compariva uno storico avversario politico dell'allora sindaco del capoluogo siciliano. Accertato lo stato avanzato delle trattative relative alla concessione del finanziamento, l'assenza di giustificazioni rispetto alla interruzione delle stesse, ed anzi le futili motivazioni "politiche" che avevano segnato il repentino rifiuto, il Tribunale individua la sussistenza dei presupposti di una responsabilità precontrattuale in capo al Comune di Palermo. La decisione merita di essere segnalata anche per la ferma riconduzione della responsabilità precontrattuale alla più ampia categoria della responsabilità contrattuale: il Tribunale, sul punto, discostandosi dall'impostazione aquiliana attorea, ritiene di condividere l'orientamento inaugurato da Cass. 20 dicembre 2011 n. 27648, Rel. Ceccherini (in Europa e diritto privato, 2012, con nota di Castronovo, La Cassazione supera se stessa e rivede la responsabilità precontrattuale) che, dopo alcune timide ma coraggiose pronunce di giudici del merito, ha finalmente accolto la nota tesi di Luigi Mengoni (Sulla natura della responsabilità precontrattuale, in Riv. dir. comm, 1956, 267). La decisione contribuisce così a consolidare l'idea che la responsabilità precontrattuale non è un'ipotesi di responsabilità extracontrattuale, come a lungo sostenuto dalla giurisprudenza e, con argomenti poco condivisibili, da una parte anche autorevole della dottrina (Sacco, De Nova, Il contratto, in Tratt. dir. civ. diretto da Sacco, Torino, 1993, p. 236; Bianca, Diritto civile, III, Il contratto, 2000, Milano, p. 157; Navarretta, in Diritto civile, diretto da Lipari e Rescigno, IV, t. 3, La responsabilità e il danno, Milano, 2009, p. 239; Roppo, Il contratto, Milano, 2011, p. 177). In sostanza, quello della responsabilità precontrattuale, altro non è che un caso di "contatto sociale" tipizzato dal legislatore attraverso la previsione di un obbligo specifico di buona fede (art. 1337 c.c.), prototipo delle altre ipotesi di "contatto sociale" individuate di recente dalla giurisprudenza a partire da Cass. 589/1999 (medico, insegnante): con la precisazione, forse non superflua, che l'affidamento non è in questi casi fonte dell'obbligazione, come invece talora si scrive, ma è presupposto di fatto che attiva l'obbligo di comportarsi secondo buona fede; la fonte dell'obbligazione è sempre la legge, ex art. 1173 c.c. La qualificazione in termini contrattuali della responsabilità in questione implica che l'onere di provare di essersi comportata secondo buona fede, grava sulla parte che avrebbe violato l'obbligo di correttezza. Del tutto condivisibile, allora, il passaggio della sentenza in cui si rileva: "Nella specie, le parti convenute non hanno dimostrato di essersi comportati in buona fede ed è, piuttosto, emersa una condotta complessivamente scorretta, per tutti i profili dinanzi evidenziati". Sin qui, la sentenza appare convincente. Infatti, almeno a partire dal momento in cui le Sezioni Unite nel 2001 hanno alleggerito l'onere probatorio gravante sul creditore nella responsabilità contrattuale, la riconduzione della responsabilità precontrattuale alla categoria della responsabilità contrattuale non è affatto questione nominalistica: se, infatti, per una parte è sufficiente dimostrare l'esistenza di una trattativa, limitandosi ad allegare la scorrettezza del comportamento tenuto dalla controparte, quest'ultima ha l'onere provare di aver agito secondo buona fede (Roppo, Il contratto, Milano, 2011, p. 174; ma vedi D'Amico, in Trattato del contratto Roppo, V, Rimedi, t. 2, a cura di Roppo 2006, p. 117, secondo il quale invece la prova della contrarietà a buona fede del comportamento di una parte graverebbe comunque sull'attore).
During the last years European legislation has strongly focused on environmental matters. In particular, the latest European directives on public contract law have considerably increased environmental policy instruments - green public procurement – in order to favor the development of a market for products and services with a reduced environmental impact. The paper analyzes the influence of the European directives on the Italian new legislation on public procurement contracts and, in a broader prospective, the influence that the principle of sustainable development will have - in future - also on the private contact law.
The purpose of this paper is to examine the Italian regulations that already provided for divorce from the Ages of Codifications to 1970. In this perspective, the Author argues that the Italian legislator, although in a fragmentary and discontinuous manner, already provided for divorce since 1806. Furthermore, the Author focuses on cases in which foreign divorce judgments have gained the civil recognition ("delibazione") before the Italian divorce legislation came into force.

A partire dall''analisi della copiosa letteratura di diritto privato si conclude con una definizione esplicativa di "clausola generale" in grado di mettere in luce le peculiarità semantiche, interpretative e applicative delle stesse clausole generali.
This work proposes an updated interpretation of the norms dedicated to the regulation of the foundations in the Civil Code. A specific attention is devoted to the regulation of the controls over the administration of the foundation (art. 25 Civil Code), which suffers of a dated tradition of interpretation, no more aligned to the streams of the legislative reforms of the last 10 years and the case law. The role of the statutory autonomy in designing the structure and the functioning of the foundation is the key to understand the future developments of the foundations, and to decipher the recent legislative proposal to restructure the part of the Civil Code dedicated to the non-profit organizations.
