The article is devoted to the study of click-wrap license agreements as a type of wrap license agreements and to the elucidation of the offer and acceptance features in such agreements. The author analyzes the evolution of wrap license agreements in the context of the click-wrap license agreements formation. Careful attention is given to the research of foreign judicial practice concerning a range of issues related to the validity of click-wrap license agreements, the procedure for their conclusion. At the same time, the provisions of national legislation on the outlined topics, as well as a number of scientific works of domestic and foreign legal scholars were studied. It was found that click-wrap license agreements are a special contractual structure with a simplified conclusion procedure, which means that click-wrap license agreements are adhesion contracts, so their terms are set in standard forms and the agreement can be concluded only by joining to its conditions as a whole. Taking into account that click-wrap license agreements are electronic contracts, certain features of the offer to enter into an agreement and the acceptance of such an offer or its rejection are highlighted. It is concluded that pressing a certain button, clicking on a special field, etc. is considered to be an acceptance of the offer to enter into an agreement if the content of these actions is clearly described in the proposal. Based on the findings, the author has developed recommendations for optimizing the functioning of click-wrap license agreements as a regulator of relations of the intellectual property rights disposal. Moreover, the research creates a framework for further study of wrap license agreements in general.
The article is devoted to the study of the most significant features of the terms of wrap license agreements. In the domestic civil law science, the outlined topics are not properly developed. At the same time, the process of Ukrainian Civil Law recoding, attempts to reform both the Contract Law general principles and the provisions on disposal of intellectual property rights agreements, as well as globalization and European integration processes strengthening require intensification of scientific efforts. The author considers the features of wrap license agreements that directly affect their content. The contract theory and practice of the USA, Canada and the United Kingdom in the relevant field are analyzed and generalized. On this basis, the subject of wrap license agreements is formulated as the permission to use the objects of copyright and (or) related rights. It is proposed at the Civil Code of Ukraine level to consolidate the possibility of granting only non-exclusive licenses under the studied agreements. It is emphasized that under these agreements only the right to use the object of intellectual property rights could be provided. It is proved that the use of the object of copyright and (or) related rights for functional purposes coexists with its proper legal use. It is pointed to the need to ensure the possibility of temporary use of such an object outside Ukraine, if there is no term concerning the territory in the agreement. It is noted that when the licensor establishes the auto-prolongation of wrap license agreements, the licensee must be duly warned about this and provided with a transparent possibility to refuse the prolongation. The importance of establishing the non-paid presumption of wrap license agreements is substantiated. The most common in the software and databases mass markets payment models for the use of copyright and (or) related rights are named. Finally, it is concluded that it is necessary to conduct further research of the wrap license agreements and to enshrine them into the civil legislation of Ukraine.

Информационный потенциал писем населения дает возможность выделить и интерпретировать типичные и специфические формы репрезентации советской власти в трансформировавшихся социально-политических условиях в СССР во второй половине 1960-х гг. В историографии письма граждан рассматриваются исследователями как неотъемлемая часть советской политической культуры. Анализ писем населения в областную газету предлагает характеристику системы и структуры представлений жителей Кировской области о власти столичного, областного и местного уровней в широком социально-политическом контексте. Интерпретируя представленные в письмах оценки местных руководителей, автор обращает внимание на социально-политические условия в СССР во второй половине 1960-х гг. Особое внимание уделено откликам жителей Кировской области на отставку Н. С. Хрущева, определявшую, по мнению автора, оценки местной власти. На конкретных примерах показывается, что в письмах при характеристике власти население апеллировало к официальному дискурсу. Дается сравнительная характеристика форм репрезентации власти разных уровней — от воспроизводства ее символических («революционных», идейных) образов до определения ее утилитарных значений. Жители Кировской области, обращаясь к власти для решения личных бытовых вопросов и общих социальных проблем, определяли «полезность» ее действий. Автор делает вывод, что в письмах население воспроизводило патерналистскую модель взаимоотношений с советской властью, указывая на то, что характеристика власти определялась региональной социально-политической ситуацией. ; This article examines the regional peculiarities underlying the representation of Soviet power in letters to a newspaper which are viewed as a means of communication between the public and the authorities and as an example of the political activity of the population of Kirov Region. The author refers to previously unpublished letters sent to the Kirovskaya Pravda newspaper by its readers between 1964 and 1970. The information potential of the population's letters makes it possible to single out and interpret typical and specific forms of representation of Soviet power in the transforming socio-political conditions of the USSR in the second half of the 1960s. Historiographers consider citizens' letters an integral part of Soviet political culture. An analysis of the population's letters to a local newspaper suggests a characteristic of the system and structure of Kirov Region's inhabitants' idea of the capital, regional, and local authorities in a wide socio-political context. While interpreting the assessments of the local authorities present in the letters, the author pays attention to the socio-political conditions in the USSR in the second half of the 1960s. In the article, special attention is paid to the Kirov Region's population's response to Khrushchev's resignation, which, according to the author, determined the evaluation of the local authorities. Referring to particular examples, the author proves that when characterising the authorities in their letters, the population appealed to official discourse. The article provides a comparative characteristic of forms in which the authorities of different levels were represented — from their reproduction in symbolic images (revolutionary and ideological) to the definition of their utilitarian meanings. Turning to the authorities in order to resolve their personal everyday problems and common social problems, the inhabitants of Kirov Region determined the usefulness of the authorities.
