Cette décision, si elle rappelle que le juge administratif a toujours retenu une approche libérale de l'intérêt à agir, interpelle en ce qu'elle fragilise (à nouveau) le régime juridique de la SPL.

Les relations des collectivités territoriales avec les sociétés d'économie mixte locales sont ambivalentes. Actionnaires majoritaires, les collectivités territoriales en sont également les principaux partenaires contractuels. L'appropriation des sociétés par les collectivités territoriales est réussie dans les relations institutionnelles. Les collectivités s'intègrent aux sociétés et s'adaptent progressivement à leur rôle d'actionnaire, tant en ce qui concerne les modalités de leur représentation par les élus locaux qu'en matière de financement en marge de la réglementation sur les aides publiques. Mais, les collectivités ne se limitent pas au simple rôle d'actionnaire. Le législateur les dote de pouvoirs leur permettant de dominer tous les aspects de la vie sociétale : elles déterminent l'objet social, en maîtrisent l'organisation interne et bénéficient des contrôles renforcés exercés sur les sociétés. L'utilisation des sociétés d'économie mixte locales par les collectivités territoriales au stade des relations contractuelles demeure en revanche perfectible. La prévalence d'une approche organique de l'économie mixte locale conduit le juge à soumettre la passation des contrats à une procédure de mise en concurrence. Alors même que les relations institutionnelles sont un facteur d'attractivité de l'économie mixte locale, les relations contractuelles deviennent une source de désintérêt. Une approche fonctionnelle souligne cependant la complémentarité des relations. Il importe de tenir compte, au stade contractuel, de la nature des relations institutionnelles. Parce que les premières sont marquées du sceau de la domination, la passation des contrats devrait être exemptée de mise en concurrence. - Local authorities have an ambiguous relationship with local public companies. As far as institutional relations are concerned, the possession of these companies by local authorities is a success. Local authorities tend to be integrated in the companies and to be progressively adapted to the shareholding functions: the status of the local elected officials has been modified to let them represent the authorities in the board meetings of the companies; the financial regulations prevent any requalification in illegal state aid. However, the local authorities are not only shareholders : they also have powers enabling them to control the company: they determine the business objectives, the composition the board of administration and of the executive committee. As far as contractual relations are concerned, the use of the local public companies by the local authorities remains perfectible. Thus, contractual relations are much less attractive than institutional relations.
