Cet article analyse la manière dont un modèle financier de valorisation conduit à influencer le futur effectif des entreprises dans la perspective de leur revente. Mobilisant deux enquêtes de terrain, il montre comment, afin de pallier les risques liés à la volatilité des cours boursiers, le futur financiarisé d'une entreprise cotée se concrétise au terme d'un jeu perpétuel de renégociation enracinée dans le présent. Dans le cas de l'entreprise non cotée, le futur financier, intégrant un plus fort taux de rentabilité attendue, scelle à moyen terme le futur productif, en conformité avec les projections de l'investisseur-analyste.

International audience ; This article analyses the structures put in place by government at the Libération to manage its holdings in the four nationalized deposit banks. Pointing out the discrepancies between stated intentions, particularly government's capacity to manage productively, and actual achievements, this article highlights the difficulties encountered in implementing this control. These tensions were linked to the diversity of bankers' interests and were felt up to the very highest echelons of the state. They emerged as soon as the scales of analysis were compared: the macro scale of the law and its nationwide application and the micro scale of a bank (Société Générale) that had come under state control. To understand some of the reasons behind these reforms, we have placed them in their historical perspective, pointing out the continuities and breaks. It is shown that government as a new shareholder sends down its roots into the imperfections of the previous system, that of the "unobtrusive state", that lasted from the beginning of the twentieth century to the outbreak of the Second World War and then into a declared political intent to install a "state partner" from 1940 to 1945. The state settled into place, not without difficulty until the 1960s, alongside the banking industry. ; Cet article analyse les structures mises en place par l'État, à la Libération, pour gérer ses participations dans les quatre banques de dépôt nationalisées. The required alliance of these two pillars takes shape, according to countries and periods, into the existence of some actors which represent these two kinds of legitimacy and the implementation of some process. This paper aims to deepen this question under the way of linking expertise and politics, as thought by Habermas, by placing it at the supranational level of the European Union. The European accountant regulation is studied through the look of the distinctive feature of its "political field" of insertion by pointing out analysis of both E.U institution's, public and private actors and their interactions. ; La régulation comptable repose sur le socle bicéphale d'une légitimité tant technique que politique. La nécessaire alliance de ces deux piliers se concrétise, selon les pays et les périodes, par la présence de certaines catégories d'acteurs, représentatifs des deux types de légitimité ainsi que par la mise en oeuvre de divers processus. Cette communication propose d'approfondir cette question sous l'angle de l'articulation de l'expertise et du politique, telle que conceptualisée par Habermas, en la situant au niveau supranational de l'Union européenne. Although France, unlike the English-speaking countries, came late to the capital market economy, the phenomenon of financialisation of companies - or 'private equity' - has now gained considerable ground. Yet the fact that the procedures and choices governing its operation are confined within the managerial sphere makes it difficult to gain any clear idea of how the various dimensions of labour, and in particular the social dialogue, are affected by this new business model. The article sets out to gain deeper insight into this dialectic through a series of semi-directive interviews of worker representatives intended better to understand aspects that are difficult to quantify. Analysis of the interview findings reveals a shared awareness of changes in practices and in the underlying business model that determines corporate operations; the resulting changes in the rules of the game governing interaction between the two sides of industry prompt a serious reconsideration of the methods and purposes of trade union action.
