Corporate Social Responsibility (CSR) gehört zu den großen Gegenwarts- und Zukunftsthemen des Aktien-, Bilanz- und Kapitalmarktrechts. Der vorliegende Band erschließt den aktuellen Forschungsstand in Deutschland, Österreich und der Schweiz. Er sichtet und systematisiert die verstreuten Einzeldiskurse rund um die gesellschaftliche Verantwortung von Unternehmen und schlägt Brücken zur CSR-Diskussion in benachbarten Disziplinen. Behandelt werden aktienrechtliche Grundfragen der CSR, die internationale Regel- und Standardsetzung in diesem Bereich und die CSR-Berichterstattung im Bilanzrecht. Außerdem finden sich Beiträge zur Haftung inländischer Unternehmen für Menschenrechtsverletzungen im Ausland, zu CSR und Arbeitnehmerbeteiligung sowie zur nachhaltigen Managervergütung und zum politischen Engagement im Spiegel von CSR.
This volume is based on presentations delivered at a symposium held in March 2016 at the University of Tokyo. It seeks to reinvigorate the scholarly exchange which can be traced back to the late 19th century between company law academics in Germany, China, Japan and South Korea. Contributions from all four jurisdictions include papers on corporate divisions and valuation of shares and its procedure as well as studies on the civil liability of the company and its directors for false financial statements and the corporate law rules on the squeeze-out of minority shareholders.
Dieser Band unternimmt eine Bestandsaufnahme der Protagonisten im deutschen, österreichischen und schweizerischen Gesellschafts- und Kapitalmarktrecht. Er erläutert, wer zu den Gesellschaftsrechts-Honoratioren unserer Zeit zählt und welche Gestaltungskräfte den innerdisziplinären Fachdiskurs prägen. Erörtert werden die Rolle der Gerichte, Firmenbuchgerichte und Handelsregisterämter, der Einfluss von Rechtsberatern und Wirtschaftsprüfern sowie die Tätigkeit der österreichischen und schweizerischen Übernahmekommission. Schließlich wird auch die gewachsene Bedeutung der Politik für das Gesellschaftsrecht unter die Lupe genommen.

This guide was adopted by the UNIDROIT Governing Council at its 96th session (Rome, 10-12 May 2017). It is the third instrument resulting from UNIDROIT's work in the area of capital markets law, which has sought to promote legal certainty and sustainable growth in this area of economic activity. The Guide is intended to complement and promote the first instrument - the UNIDROIT Convention on Substantive Rules for Intermediated Securities, which was adopted at the final session of the diplomatic Conference to adopt a Convention on Substantive Rules regarding Intermediated Securities (Geneva, 5-9 October 2009) - by summarising the Convention's key principles and rules and by offering guidance on choices to be made and matters to be addressed or clarified in establishing an intermediated securities holding system or evaluating an existing one. The Guide also complements and promotes the second instrument - the UNIDROIT Principles on the Operation of Close-Out Netting Provisions, which were adopted by the UNIDROIT Governing Council at its 92nd session (Rome, 8-10 May 2013) - by offering guidance consistent with those Principles and incorporating references to them.
