APPROVED ; This thesis is concerned with the operation of shareholder democracy across the European Union and especially in relation to Irish public listed companies and Irish institutional investors and asset managers. More specifically, the thesis is concerned with how shareholder engagement operates and how this important practice interacts with the law of the European Union and Ireland. Public listed companies will be impacted by the obligations that the revised Shareholder Rights Directive imposes upon them and institutional investors will be impacted by the actions of their own shareholders that are subject to the Directive. The thesis analyses the Directive, using a descriptive approach, supplemented by an empirical analysis in the form of a survey of both Irish and international asset managers, who are invested in Irish public listed companies. The thesis identifies the theoretical background with regard to shareholder democracy and the importance of shareholder engagement in paradigms of shareholder democracy. In particular, a description is given of agency theory, how it is related to shareholder democracy and the role that shareholder engagement is expected to play in these theoretical frameworks.

In the twentieth century, the "Chicago School" became a primary paradigm of urban studies. The demise of city machine governments, coupled with the changing settlement and business patterns, have rendered the "Old Chicago School" as outmoded but not irrelevant. Cities are multiracial metropolitan regions immersed in a global economy and are either not governed by machines or by radically different machines, even in Chicago. Nonetheless, similarities remain between the old machines and machine-like governance of today. The New Chicago School may be a template for global cities just as New York and Los Angeles provide models for others. This new school raises questions for scholars: (a) Is an autocratic mayor and a machine required to govern a twenty-first century city? (b) Will racial politics continue to be key? and (c) Can effective governance be created for a metropolitan region?

We describe the successes and challenges faced by federal and local government agencies in the United States as they have attempted in recent years to connect public and environmental health, housing, community development, and building design with environmental, housing, and building laws, codes, and policies. These policies can either contribute to or adversely affect human physical and mental health, with important implications for economic viability, research, policy development, and overall social stability and progress. Policy impediments include tension between housing affordability and health investment that causes inefficient cost-shifting, privacy issues, unclear statutory authority, and resulting gaps in responsibility for housing, indoor air, and the built environment. We contrast this with other environmental frameworks such as ambient air and water quality statutes where the concept of "shared commons" and the "polluter pays" is more robust. The U.S. experiences in childhood lead poisoning prevention, indoor air, and mold provide useful policy insights. Local programs can effectively build healthy homes capacity through local laws and housing codes. The experience of coordinating remediation for mold, asthma triggers, weatherization, and other healthy housing improvements in Cuyahoga County, Ohio, is highlighted. The U.S. experience shows that policymakers should adopt a prevention-oriented, comprehensive multi-disciplinary approach at all levels of government to prevent unhealthy buildings, houses, and communities.
