Abstract: Should the laws of the world dealing with cross-border transactions be unified? Such unification presupposes an agreement on what we understand by 'law' and what its sources are. The drafters of uniform laws and lawyers who are preoccupied with comparative law often ask themselves: Is there, among the nations, a common core of legal values? If there is, this will facilitate legal unification. It will also make the international law-making easier if, in exceptional cases, a court is permitted to disregard a legal rule. Résumé: Faut-il unifier les droits nationaux en matière de transactions transfrontières? Une telle unification présuppose une convergence de vues relativement à ce qu'il faut entendre par 'droit' et à l'identification de ses sources. Les rédacteurs de lois uniformes et les autres spécialistes de droit comparé se demandent souvent s'il existe un noyau de valeurs juridiques communes à toutes les nations du monde. Si c'est le cas, l'entreprise d'unification en sera facilitée. Cela rendra aussi plus aisée l'élaboration d'une règle internationale lorsque, dans des hypothèses exceptionnelles, un tribunal a la possibilité de s'affranchir d'une règle juridique.

Abstract: This article is a critical assessment of and some questions relating to the European Commission's Proposal for a Regulation on a Common European Sales Law (CESL). Being an opt-in instrument that applies to cross-border sales and contracts for the supply of digital content and related services, the Regulation, if adopted, will be a step forward towards a unification of European Contract Law but only a modest step. The greater part of the Proposed Regulation appears as if it applies to contracts in general, and it would have been preferable had the European Commission prepared a proposal for a Regulation covering the general part of the law of contacts. The CESL contains some improvements on United Nations Convention on Contracts for the International Sale of Goods (CISG). If, in Europe, the Regulation will replace CISG, the EU should attempt to organize a revision of the 31-year-old CISG so that CESL and CISG could be coordinated. The target groups of the CESL are the consumers and the small and medium-sized enterprises (SMEs). To some extent, the rules of the Proposed Regulation protects the target groups. However, on some points, it contains 'social dumping' vis-á-vis the SMEs, who are often in an as weak position as are the consumers. However, is there a point in limiting the scope of this opt-in Instrument to cross-border sales and to exclude sales between big enterprises? Résumé: Le présent article est une évaluation critique de la Proposition de la Commission Européenne pour un Réglementsur un Droit Commun Européen de la Vente (CESL) et sur quelques questions s'y rapportant. Etant un instrument optionnelqui s' applique á des ventes et contrats transfrontaliers pour le commerce électronique et les services y relatifs, le Réglement, s'il est adopté, représentera un pas en avant dans la direction d'une unification du Droit Européen des Contrats, mais un pas modeste seulement. La plus grande partie du Réglement proposé apparaît comme s'il s'appliquait aux contrats en général, et il aurait été préférable que la Commission Européenne ait préparé une proposition pour un Réglementcouvrant la partie générale du droit des contrats. La CESL contient quelques améliorations par rapport au CISG. Si, en Europe, le Réglement venait á remplacer la CISG, l' UE devrait tenter de réviser la CISG , qui a 31 ans d' ancienneté, de telle sorte que la CESL et la CISG puissent être coordonnées. Les groupes visés par la CESL sont les consommateurs et les petites et moyennes entreprises (PME). Les régles du Réglement proposé protègent les groupes visés jusqu'á un certain niveau. Cependant, sur certains points, elles contiennent un ''dumping social'' vis-á-vis des PME, qui se trouvent souvent dans une position aussi faible que celle des consommateurs. Mais y a-t-il une raison de limiter la portée de cet Instrument optionnelaux ventes transfrontalières en excluant les ventes entre grandes entreprises?

ABSTRACT: This article deals with the rules of the Draft Common Frame of References (DCFR) on foreseeability of damages in contracts between business people. It examines which approaches with regard to this topic can be found in various legal systems. Discussed is the type of damages that can be recovered, the difference between liability arising out of tort and out of contract, and to what extent fault can be relevant.
RÉSUMÉ : Le présent article porte sur les règles du Draft Common Frame of References (DCFR) relatives à la prévision des dommages dans les contrats entre contractants professionnels. Sont exposées les approches suivies dans différents systèmes juridiques, concernant en particulier les types de dommages couverts, la différence entre responsabilité délictuelle et contractuelle et dans quelle mesure la faute a une influence.

The article treats the impact of the Principles of European Contract Law (PECL), which were published in 2000 and 2003. They have had a considerable influence on law reforms in various European Countries, and has prompted the Commission of the EC to sponsor the bringing about of a Common Frame of Reference which is being prepared by the Study Group of a European Civil Code and other groups, and which is intended to operate as soft law. However, the author's ambition that the PECL would bring about a binding European Civil Code of Contract applicable in the European Union and replacing the national laws will probably not be realised for a long time to come.

Abstract: In this article, O. Lando investigates if good faith can be considered an overarching principle in European contract law. It looks at the principle from a historical and comparative law perspective. In all continental European countries a general principle of good faith can be found. The principle is also encountered in the Principles of European Contract Law, the Unidroit Principles of Commercial Contracts and, to some extent, in the Vienna Convention on the International Sale of Goods. However, in English law good faith is not treated as an over-arching principle, although the principle can be found incidentally in specific regulations and cases. O. Lando concludes that, in spite of logical and technical arguments to the contrary made by H. Beale, good faith is an over arching principle.
Résumé: Dans cet article, O. Lando étudie si la bonne foi peut être considérée comme un principe primordial du droit européen des contrats en l'analysant du point de vue historique et du point de vue du droit comparé. Le principe de bonne foi se retrouve dans tous les pays continentaux européens et est également présent dans les Principes du droit européen des contrats, les Principes d'UNIDROIT relatifs aux contrats du commerce international, et dans une certaine mesure, dans la Convention de Vienne sur les contrats de vente internationale de marchandises. Le droit anglais cependant ne traite pas la bonne foi comme un principe primordial, bien que le principe puisse incidemment être trouvé dans des législations spécifiques et dans la jurisprudence. O. Lando conclut qu'en dépit des arguments techniques et logiques contraires exposés par H. Beale, la bonne foi est un principe primordial.
Zusammenfassung: In seinem Beitrag untersucht O. Lando, ob das Institut des Treu und Glaubens als allumfassender Grundsatz innerhalb des europäischen Vertragsrechts angesehen werden kann. Der Beitrag stellt diesen Grundsatz sowohl in einem historischen als auch in einem vergleichenden Zusammenhang dar. In allen Staaten des europäischen Kontinents ist ein allgemeiner Grundsatz des Treu und Glauben wiederzufinden. Dieser Grundsatz ist ebenfalls in den Principles of European Contract Law, den Unidroit Principles sowie zum Teil auch im Übereinkommen der Vereinten Nationen über Verräge über den internationalen Warenkauf aufgenommen. Im englischen Recht wird der Grundsatz des True und Glaubens nicht als ein allumfassender Grundsatz angesehen, obwohl er gelegentlich in einigen spezifischen Bestimmungen und gerichtlichen Entscheidungen wiederzufinden ist. O. Lando folgert, dass der Grundsatz des Treu und Glaubens trotz einiger logischer und technischer Gegenargumente, die insbesondere durch H. Beale vorgetragen wurden, im Ergebnis als ein allumfassender Grundsatz angesehen werden kann.
