Cent years after its publication, Henri Fayol, Industrial and General Administration, has become one of the founding books of management sciences. It marks the birth of the modern enterprise, with the recognition of the new entrepreneur's figure. One century later, this issue of Enterprise and History, coordinated by Blanche Segrestin, aims to better characterise the turning point that Fayol was seeking to thrive: what breaks did he see as requiring a new government doctrine and training for leaders? How to link in particular his theoretical effort to his practical experience as an engineer and director, but also as a geologist and creator of an innovative research laboratory? The articles in this issue show that Fayol needed to use new terms to describe the industrial and strategic upheavals of the time, but also to introduce original concepts to cope with the integration of scientific research and innovation into the course of business. Le salariat n'a cessé d'être mis en cause de manière récurrente depuis plus de cent ans. Mais paradoxalement, c'est à l'inverse sa possible disparition qui est crainte aujourd'hui, dans la mesure où elle entraînerait celle de nombreux mécanismes de protection sociale. Ce paradoxe invite à réinterroger la représentation du salariat. Dans cet article, nous suggérons que la lecture économique classique du salariat comme la condition de celui qui loue ses services ou sa capacité de travail a pu enfermer la représentation du salariat. La reconnaissance du rôle et des effets réels du management moderne conduit au contraire à renouveler la lecture du contrat de travail. Et elle invite à envisager de nouvelles formes de contrats d'engagement qui ordonneraient le travail autour d'un futur désirable au lieu de le subordonner.

La loi sur le devoir de vigilance introduit un mécanisme de responsabilisation atypique et insuffisamment conceptualisé. En faisant porter l'obligation des sociétés sur l'élaboration d'une gestion prévisionnelle des risques tout au long de la chaîne d'approvisionnement, la loi recourt à une « norme de gestion ». L'article analyse les fondements de cette notion et montre qu'elle a été mobilisée à plusieurs reprises dans l'histoire du droit, pour accompagner les dynamiques de l'entreprise et responsabiliser ses relations avec les sociétés et les États. Il montre que le droit puise dans les connaissances et les méthodes en gestion de chaque époque, pour qualifier ce qu'est une action collective raisonnablement responsable, c'est-à-dire une action qui limite les risques encourus par les parties concernées. Prendre en compte les normes de gestion permet de repenser le statut des dirigeants et la responsabilité des entreprises. Cela ouvre aussi des perspectives théoriques nouvelles pour les sciences sociales.

En reconnaissant la notion de harcèlement moral institutionnel dans l'affaire France Telecom, ce jugement constitue une rupture épistémologique dans l'approche du phénomène de harcèlement moral. En effet, il ne s'agit plus de l'appréhender dans le cadre de rapports interindividuels entre un manager et son subordonné mais comme le produit d'une politique d'entreprise systématique générateur d'agissements harcelants. Pour la première fois en France, la responsabilité de l'entreprise et des dirigeants est reconnue en droit en matière de harcèlement moral, justifiant ainsi son caractère « institutionnel ». La rupture épistémologique, que la lecture de ce jugement passionnant de 343 pages permet de révéler, est à la mesure de l'ampleur de la tâche qui était assignée aux juges. Si l'instruction proposait de reconnaître la responsabilité des dirigeants, la défense avait beau jeu de rappeler que l'accusation de harcèlement moral institutionnel aurait constitué une violation de l'impératif de prévisibilité de la norme légale, la jurisprudence ne reconnaissant qu'un harcèlement moral « direct » entre managers et subordonnés. Il faut dire que les juges ont toujours eu du mal à appréhender les phénomènes managériaux et organisationnels. Ces derniers échappent en effet à la logique judiciaire classique, qui repose sur la recherche d'une responsabilité individuelle fondée sur faits matériels étayés. Introduite en 2002, la notion de harcèlement moral ne déroge pas à cette règle : jusque-là, elle a été mise en évidence dans le cadre de relations interindividuelles. Pour établir une responsabilité d'entreprise, il est nécessaire d'entrer au coeur de la mécanique managériale. Or celle-ci ne se laisse pas aisément attraper. Car, pour paraphraser Michel Foucault, la logique managériale est « capillaire » : elle se fonde sur une multitude de dispositifs qui visent à agir à distance sur la conduite des subordonnés. Dans les grandes organisations, entre le directeur et l'opérateur de base, toute une chaîne de subordination est mise en place qui rend particulièrement difficile l'établissement d'une responsabilité directe et sans ambiguïté. Dès lors, comment établir de façon rigoureuse et nette une chaîne les ayant conduit à des agissements harcelants ? Comment démontrer que ces politiques ont des effets indirects avérés sur les conditions de travail des salariés victimes de harcèlement moral ? C'est ici qu'il faut revenir sur l'enquête et la nature de la démonstration apportée par les juges. A cet égard, la théorie de la performativité permet d'éclairer le raisonnement et la méthode d'investigation employée par les juges.

This interpretation, which is consistent with the comments that Fayol later presented about his 'General and industrial administration' treatise, brings out his pioneering contribution to management studies. Fayol made the 'unknown' introduced by science into industry the central tenet of modern administration. He foreshadowed major aspects of today's innovation management. More fundamentally, Fayol laid new foundations for the field of management sciences. He drew from the political and philosophical works of the Enlightenment to develop a series of original concepts (in French: prévoyance, perfectionnement, programme, inconnu, corps social) that were difficult to interpret and to translate. We maintain that Fayol's administrative science is a theory of a 'creative/political' rationality that still, today, offers better theoretical and explanatory support for management science than economic and bureaucratic theory.

International audience ; In this article we present the main lineaments for a reform of the business corporation introducing the purpose of the firm. In France, a report commissioned by the government recommends that two new concepts should be introduced in law: the raison d'être of the firm and "purpose-driven enterprises." This reform partly originated in a research program carried out in France after 2009. The legal articulation of a so-called "purpose-driven enterprise" has now taken off, first in the US and now in France and elsewhere. It paves the way to introducing sustainability issues and new valuations processes in corporate governance.
