The article is devoted to the study of the peculiarities of the exercise of corporate rights under the civil law of Ukraine in order to identify their specific characteristics. Through a documentary methodology, close to legal hermeneutics, it was concluded that the participant of a legal entity (company) may have not only corporate rights but also other rights over this legal entity (company). Therefore, it is not enough to say that the rights of a person whose participation is defined in the authorized capital are corporate. It is important that the content of these rights is due to the ownership share (share, number of shares) in the authorized capital of the legal person (company). It was also found that intangible corporate rights must be distinguished from the personal intangible rights of the individual. The concepts of "non-economic rights" and "non-economic personal rights" are not identical. In relation to a person, intangible rights should be divided into two types: non-economic rights that are not closely related to a person (e.g., non-economic corporate rights); intangible rights that are closely related to a person and are inseparable from a person (personal intangible rights).
The article is devoted to analysis of the legal norms of the Civil Code of Ukraine, which regulate the acquisition, changing and termination of the rights of business partnership participants. Systematic interpretation of the law gave grounds to a number of conclusions that may affect on the practice of its application.The consent to the transfer of its share (part thereof) in the share capital of a member of the full partnership can be provided in various ways. For the transferring by the full member of a limited partnership of his share to other participants or third parties may be required the consent of contributors. Contributors of limited partnership may be excluded from it. There are no legislative bans to full participant to give his share for the depositor and to depositor - for a full participant.The need for the consent to the assignment of its share by participant of limited or additional liability company is stipulated by the circle of people whom participant of the partnership intends to withdraw his share. Additional limits of the share assignment in authorized capital can be installed in the contract on implementation of the rights limited and additional liability company participants. The Civil code of Ukraine stipulates preferential right to purchase the share of limited and additional liability company participants. However, this does not mean that in the charter cannot be provided other preferential right of acquisition of shares, not connected with its purchase. Civil Code of Ukraine provides the general rule, under which property and other rights of participants of limited and additional liability companies are transferred to the heirs – individuals (successors – legal entities), regardless of the consent of other participants. The heir (successor) becomes a member of the limited liability company with the adoption of inheritance (completion of reorganization). The entry in the company is not fulfilled under the rights transition of the participant of limited liability company in the process of inheritance (reorganization) to his heir (successor).The court's decision may be the reason for leaving of the participant from the limited liability company.Preemptive rights acquisition of shares of the private placement can be applied not only to contracts of sale. Through the protection of preemptive right of purchase of shares, the court must be guided by the requirements of the law, and in cases stipulated by it, also by the charter of company. Alienation of the shares by the shareholder of private joint-stock company with the violation of the preemptive right of purchase may lead to the invalidity of the transaction. ; Розглянуто правовий аналіз норм чинного Цивільного кодексу України, які регулюють набуття, зміну та припинення прав учасників господарських товариств. Системне тлумачення цих правових норм дало підстави зробити низку висновків, що можуть вплинути на практику їх застосування.Згода на передання учасником повного товариства своєї частки (її частини) у статутному капіталі може бути надана різними способами. На передання повним учасником командитного товариства своєї частки іншим учасникам або третім особам може бути потрібна згода вкладників. Вкладники командитного товариства можуть бути виключені із нього. Цивільним кодексом України передбачено загальне правило, згідно з яким майнові та немайнові права учасника товариства з обмеженою та додатковою відповідальністю переходять до спадкоємців фізичних осіб (правонаступників юридичних осіб) незалежно від згоди інших учасників товариства. Спадкоємець (правонаступник) стає учасником товариства з обмеженою відповідальністю з моменту відкриття спадщини (завершення реорганізації), однак з цього моменту він ще не може безпосердньо здійснити свої права. Переважне право акціонера на придбання акцій приватного розміщення може поширюватися не лише на договори купівлі-продажу.
In comparison with current national legislation, EU legislation and legislation of its individual member states established a number of features of realization and protection of shareholders' rights to participate in the distribution of profits of the company.Unlike to the art. 31 of the Law of Ukraine «On Joint Stock Companies», in which a ban on dividends is set only if such conditions are encountered at the time of making decision to pay and its implementation, the Second Directive 77/91 / EEC foresees such ban even if some negative effects may occur in the future. In particular, in accordance with part 1 of art. 15 Second Directive dividend payment is not made if the net assets of the companydue to the such payment may become less than the authorized capital increased by the reserves that the law or statute prohibits to distribute.The second EU directive sets the maximum amount of dividends to shareholders: no more than the sum of the results of the last completed financial year increased by the amount of undistributed income, as well as the amount of deduction from available for this purpose reserves and reduced by the amount deferred (uncoated) losses, as well as amounts that are entered in the reserve fund in accordance with the law or statute. The legislation of Ukraine does not provide the upper limit of the size of the dividends that may be paid to shareholders.The right to distribution of assets the company under the laws of the EU, except the right to choose areas of using profit and the right to receive dividends, includes another subjective right - the right to receive the interest accrued on the shares. Ukrainian legislation does not establish the possibility of calculation and payment of interest on the shares.Unlike the law of our countryEU law provides for the payment of interim dividends. The Law of Ukraine «On Joint Stock Companies» does not establish a right to interim dividend.By the EU legislation established a special way to protect the right to receive dividend payments in case of violation of legal limits set for it. In particular, the shareholders who received dividends contrary to established legal limits, the court can be obliged to return the amount of dividends received improperly. The Law of Ukraine «On Joint Stock Companies» (art. 31) does not establish the legal consequences of dividend payment due to the failure limits that are set for it.At the national law systems of some EU countries (Greece, Germany, Portugal, Finland, Switzerland, Sweden, etc.) established the right of shareholders to mandatory payment of dividends regardless of whether the decision of the supreme governing body of the company. The legislation of Ukraine provides such right only to holders of preferred shares. Holders of ordinary shares may exercise the right to receive dividends only if the general meeting of shareholders make the decision on their payment. ; Порівняно із діючим вітчизняним законодавством, у законодавстві ЄС і окремих європейських держав встановлено низку особливостей здійснення та захисту права акціонерів на отримання дивідендів.Друга директива 77/91/ЄЕС передбачає заборону на виплату дивідендів навіть у тих випадках, коли певні негативні наслідки можуть настати в майбутньому (мають імовірність настання).Законодавство ЄС встановлює максимальний розмір дивідендів для акціонерів: не більше суми результатів останнього завершеного фінансового року, збільшеного на суму нерозподілених доходів, а також на суму відрахувань із доступних для цієї мети резервів, і зменшеної на суму відкладених (непокритих) збитків, а також на суми, які вносять у резервний фонд відповідно до закону або статуту.Право на розподіл активів акціонерного товариства за законодавством ЄС, окрім права на вибір напрямів використання прибутку та права на отримання дивідендів, охоплює ще одне суб'єктивне право – право на отримання процентів, нарахованих за акціями.Право ЄС визнає можливість виплати проміжних дивідендів.Законодавством ЄС встановлено спеціальний спосіб захисту права на отримання дивідендів у разі їх виплати із порушенням вимог, встановлених законом. Зокрема, на акціонерів судом може бути покладено обов'язок повернути розмір дивідендів, отриманих неправомірно.У національних законодавствах окремих країн Європи (Греція, Німеччина, Португалія, Фінляндія, Швейцарія, Швеція тощо) встановлено право акціонерів на обов'язкову виплату їм дивідендів, незалежно від факту прийняття відповідного рішення вищим органом управління товариства.
Analysis of legal acts of the European Union makes it possible to conclude that they have features of fulfilling by the shareholders the right to participate in comparison with current legislation of Ukrane. Taking into consideration these features is the condition of the Association Agreement between Ukraine, on the one hand, and the European Union, the European Atomic Energy Community and their Member States, on the other hand, ratified by the Law of Ukraine on 16 September 2014.EU legislation establishes several features of the right to full and timely notice of the shareholders general meeting:1) reduced period of notice (21, 14 or 10 days);2) a detailed message content (a list of requirements to be met by a shareholder, in order to participate in the general meeting);3) a ban on collection any costs of the shareholders associated with notification of the general meeting.In EU legislation are two features concerning quorum for decision-making by the general meeting of shareholders:‑ As a general rule, the presence of a quorum is not required;‑ In case of establishing the quorum is enough shareholders who own shares, which together constitute at least half of the authorized capital of the company.In contrast to the legislation of Ukraine, in legislation of EU is foreseen the possibility of conduсting the right of the personally participation in the general meeting of shareholders using electronic means: broadcast proceedings or two-way communication in real time.In comparison with the laws of Ukraine, the Directive of EU establishes two distinct legal possibilities of the shareholder in case of fulfilling the right to discuss the agenda: the right to ask questions and the right to get answers.In contradistinction to the Ukrainian legislation, the Directive of EU provides the simplified procedure for determining the results of voting at the general meeting of the company, for example, without writing appropriate protocols and without duty of their disclosure on the Internet and on the companies website. ; Аналіз правових актів Європейського Союзу дає можливість зробити висновок про наявність у них особливостей здійснення права участі акціонерів порівняно з чинним законодавством України. Урахування цих особливостей є умовою Угоди про асоціацію між Україною, з одного боку, та Європейським Союзом, Європейським співтовариством з атомної енергії та їхніми державами-членами, з іншого боку, ратифікованої Законом України від 16 вересня 2014 р.Законодавство Європейського Союзу встановлює кілька особливостей здійснення права на своєчасне та повне повідомлення про скликання загальних зборів акціонерів:1) скорочені строки повідомлення (21, 14 або 10 днів);2) деталізований зміст повідомлення (наприклад, перелік вимог, яким має відповідати акціонер для того, щоб взяти участь у засіданні загальних зборів);3) заборона на стягнення з акціонерів будь-яких витрат, пов'язаних із повідомленням про загальні збори.У законодавстві ЄС встановлено дві особливості щодо кворуму для прийняття рішень загальними зборами акціонерів:‑ за загальним правилом наявність кворуму не вимагається;‑ у тих випадках, коли він встановлений, достатньо акціонерів, які володіють акціями, що разом становлять не менше половини розміру статутного капіталу товариства.На відміну від законодавства України, законодавство ЄС передбачає можливість здійснення права на особисту участь у роботі загальних зборів акціонерів з використанням електронних засобів: трансляції засідання або двостороннього зв'язку у режимі реального часу.Порівняно із законодавством України Директива ЄС встановлює дві самостійні правові можливості акціонера у разі здійснення права на обговорення питань порядку денного, а саме: право ставити запитання та право отримати відповіді на них.На відміну від українського закону, Директива ЄС передбачає можливість спрощеного порядку встановлення результатів голосування на загальних зборах акціонерного товариства, зокрема, без складання відповідних протоколів, а також обов'язок їхнього оприлюднення в мережі інтернет на сайті товариства.
