European Union: an instrument for the provision of legal certainty to foreign investors ; La Unión Europea: un instrumento para garantizar la seguridad jurídica a los inversores extranjeros
The article argues that the European Union (EU) can play an important role inproviding legal certainty to foreign investors in the European continent. Inparticular, three elements of the Union's structure make this possible: 1) its legalorder, 2) its group of institutions, and 3) its Court of Justice. The article exploresthese elements in detail, analyzing their relevance to the foreign investmentclimate. La Ordenanza de Libre Competencia de Hong Kong proporciona un marco de legislación de competencia que es más propicio para los inversores extranjeros que China Continental. Esto es esencial porque el marco normativo de regulación de la competencia en Hong Kong tiene características más comunes con la legislación occidental. Lo anterior es complementado si se revisa la historia social, económica, jurídica y política de Hong Kong como consecuencia de la influencia del Reino Unido. En ese sentido, los inversores occidentales en el extranjero van a buscar un marco de regulación de Libre Competencia que le proporcione reglas claras, abiertas y generales. ; Hong Kong´s Competition Ordinance provides a framework of competition legislation that is more conducive to foreign investors than Mainland China. This is essential because HK´s regulatory framework of competition regulation has more common characteristics with western legislation, but also because of HK´s social, economic, legal and political history as a consequence of the United Kingdom influence. In that sense, western-foreign investors will look for a competition framework that provides clear, open and general rules.

Discussing the tension between states' right to regulate and foreign investment protection in recent Colombian cases
Investment Agreements are instruments used by states to attract foreign ventures within their borders and obtain favourable treatment to local investors in counterpart nations. States usually compromise a certain degree of sovereignty in this kind of agreements through the inclusion of legal stability agreements, stabilisation clauses, compensation for expropriation, and fair & equitable treatment provisions. Within the context of this kind of agreements, the legitimate exercise of regulatory powers by states enters in conflict with the protection of foreign investors property rights when it comes to sensitive areas that have a high impact in the public interest, politics and public perception (such as human rights, health, safety, labour standards and the environment). Based on the discussion of two recent paramount cases that involve regulatory actions of the Colombian state and property rights of foreign investors (pharmaceutical ip rights vs public health interests in the first case, consolidated mining titles vs environmental protection in the second case), we identify and criticize the difficulties of defining if a governmental regulatory action is legitimate and non-compensable or if it is subject to compensation as an indirect expropriation, and the high dependence of this matter on the interpretation of arbitral tribunals.

Legal certainty and foreign investment in Africa: let's call the African union ; Certeza legal e inversión extranjera en África: llamemos la unión africana
This article studies the role of the African Union (AU) as an instrument for providing legal certainty to foreign investors in the African continent. Africa has failed to attract foreign investment since the business environment and market conditions do not even appeal to national investors. One of the biggest problems contributing to this situation is a low level of legal certainty which makes it too risky for foreign investors to invest in the region. Therefore, the development and adoption of policies and actions aimed at the provision of a higher level of legal certainty is necessary. This article precisely proposes the usage of the AU as an instrument to achieve this goal. This regional integrationist experience groups several elements that can positively contribute to the provision of legal certainty to foreign investors. For instance, it has an institutional structure that allows its institutions to work coordinately in the adoption of policies and laws, which makes possible the development and adoption of coherent and stable laws and policies. Likewise, the AU's structure allows the exchange of opinions, ideas, and experiences between African governments and foreign investors during the decision-making process by means of an institution such as ECOSOCC and the private sector Forum. This communication promotes transparency and predictability to foreign investors for the development of their economic activities. In addition, AU also has the power to create legal instruments that serve to regulate the activity of foreign investors, limiting the power of the host country to interfere in the investment, and promote the progress and respect of matters such as the rule of law, transparency and good governance in the continent. Uno de los problemas más grandes que contribuyen a esta situación es un bajo nivel de certeza legal que hace muy riesgoso para los inversionistas extranjeros el invertir en la región. Por ende, el desarrollo y la adopción de políticas y acciones apuntando a la provisión de un nivel más alto de certeza legal es necesario. Este artículo propone precisamente el uso de la UA como un instrumento para conseguir este objetivo. Esta experiencia integracionista regional agrupa varios elementos que pueden contribuir posiblemente a la provisión de certeza legal a los inversionistas extranjeros. Por ejemplo, tiene una estructura institucional que permite a sus instituciones trabajar coordinadamente en la adopción de políticas y leyes, que hacen posible el desarrollo y la adopción de leyes y políticas coherentes y estables. Del mismo modo, la estructura de la UA permite el intercambio de opiniones, ideas y experiencias entre los gobiernos africanos e inversionistas extranjeros durante el foro de decisión. Esta comunicación promueve la transparencia y previsibilidad a los inversionistas extranjeros para el desarrollo de sus actividades económicas. En adición, la UA también tiene el poder de crea instrumentos legales que sirvan para regular la actividad de los inversionistas extranjeros, limitando el poder del país huésped para interferir en la inversión, y promover el progreso y respeto de aspectos como la ley, la transparencia y la buena gobernanza en el continente. Aún más, la UA tiene su propia institución judicial que trabaja para hacer disponibles los instrumentos legales de la UA y garantizar su cumplimiento por los países miembros.Este artículo estudia el papel de la Unión Africana (UA) como un instrumento para proveer certeza legal a los inversionistas extranjeros en la región. África es una región caracterizada por un bajo nivel de inversión extranjera. El continente ha fallado en atraer inversionistas extranjeros ya que el ambiente de negocios y las condiciones del mercado no atraen ni siquiera a los inversionistas nacionales. Esta situación es una consecuencia de múltiples razones como la baja defensa de los derechos de propiedad, bajos niveles de capacidad técnica y de habilidad de administración y empleados, la existencia de varias barreras afectando el acceso de los inversionistas extranjeros y costos de transacción crecientes, infraestructura insuficiente (en áreas como el transporte, las comunicaciones, suministro eléctrico), corrupción y políticas inefectivas para promover la inversión extranjera en el continente. De todas maneras, uno de los problemas más grandes que afectan la inversión extranjera en la región es un bajo nivel de certeza legal que hace muy riesgoso para los inversionistas extranjeros el invertir en la región. La certeza legal es un principio que "expresa la premisa fundamental que aquellos sujetos a la ley deben saber lo que la ley establece para ser capaces de planear sus acciones de acuerdo con ello". Consecuentemente, la certeza legal existe cuando la ley es pública, clara, no-retroactiva, estable y respetada por la gente y las autoridades nacionales.Esta situación hace el desarrollo y la adopción de las políticas y acciones apuntando al mejoramiento del ambiente legal necesario en la región, particularmente la provisión de un nivel más alto de certeza legal para los inversionistas extranjeros. Como los mecanismos tradicionales para implementar este objetivo, es posible identificar varios mecanismos como los Tratados de Inversión Bilateral o acuerdos de estabilidad legal. Sin embargo, este artículo quiere proponer una alternativa diferente, que es el uso de la UA. Esta experiencia integracionista regional agrupa varios elementos que pueden contribuir posiblemente a la provisión de certeza legal a los inversionistas extranjeros. Por ende, los partidos miembros de la UA pueden usarla como un mecanismo para la atracción de inversión extranjera en sus territorios.Bajo estas consideraciones, este artículo se divide en dos partes principales. La primera estudia el papel que la ley de la UA tiene en la provisión de certeza legal a los inversionistas extranjeros. La segunda, con el mismo objetivo que la primera, estudia el papel de la estructura institucional de la UA. A través del análisis de estos elementos, el artículo identifica los elementos principales de la UA que contribuyen y hacen posible el mejorar los niveles de certeza legal para los inversionistas extranjeros en el continente africano.

Foreign perception of sovereign risk : an event study of the colombian armed conflict
Este paper estudia la relación entre algunos de los eventos más importantes del conflicto colombiano con la percepción extranjera de riesgo soberano, medido por los Credit Default Swaps (CDS) de los bonos del Gobierno Colombiano. Usando dos metodologías relativamente recientes, yo estimo el efecto causal de los eventos de conflicto ampliamente cubierto por los medios internacionales. En primer lugar construyo un grupo de control sintético que funciona como contra factual de la serie real de los CDS colombianos pero en ausencia de eventos de conflicto. Segundo, estimo el efecto acumulado del evento bajo la metodología de retornos anormales acumulados. Los resultados sugieren que los efectos de los eventos de conflicto sobre la percepción extranjera de riesgo soberano dependen de las especificaciones de cada evento. ; This paper studies the relationship between some of the most important recent events of the Colombian armed conflict and the foreign perception of risk of investment, as measured by the Credit Default Swap (CDS) for the Colombian government. Combining two recent methodologies I estimate the causal effect of conflict events widely publicized by the international media on the CDS. I construct a synthetic control group to use as the non-conflict counterfactual of the actual Colombian CDS and compare its behavior around conflict-event days with that of the actual (conflict-affected) Colombian CDS. Results suggest that the impact of conflict on the foreign perception of risk depend on on the specifics of each event: Some events are perceived as good and some other as bad investment signals by foreign investors.

A neoschumpeterian review of the impact of corruption on competitiveness and foreign direct investment
En los países donde los gobiernos fomentan las "donaciones" o "regalos" por parte de las empresas privadas, éstas tienen más posibilidades de verse implicadas en algún tráfico de influencias, conocido como Capturas Estatales. Es el caso de inversores extranjeros que se ven envueltos en actos de corrupción, dependiendo del coste de oportunidad que tengan que asumir. Si bien es cierto que las empresas multinacionales más potentes son menos proclives a incurrir en la Captura Estatal, éstas son más propensas a caer en la corrupción política y en la compra de favores en sus tratos con los gobiernos anfitriones. Ha habido casos en los inversores extranjeros han hecho público su malestar por chantajes de los que han sido objeto por parte de los gobiernos regionales o locales de los países anfitriones. Por otro lado, muy difícilmente se puede demostrar que las empresas extranjeras pagan "comisiones" (en términos coloquiales se refiere a las mordidas) más elevadas que sus homólogas locales, si bien éstas han mostrado una mayor tendencia a aceptar diversas formas específicas de corrupción. ; In countries where the government encourages "donations" and "gifts" from private companies, FDI firms are more likely than their domestic counterparts to engage in corrupt forms of political influence, known as State Captures. Different types of foreign investors engage in particular types of corruption, depending on what competitive advantage they will get out of it. FDI firms with local partners are more likely to engage in State Capture. Larger multinational firms with headquarters overseas rely much less on State Capture, yet are more likely to resort to political corruption and bribery, Kickbacks, in their dealing with foreign governments. Though quite often, foreign direct investors might claim that they are specifically targeted for bribes by local governments, it has been found that there is no evidence that FDI firms pay higher overall bribes than domestic firms, even though they are more likely to engage in specific forms of corruption.

Inversores extranjeros tanto privados como estatales están interesados en la producción agrícola, ya sea por el beneficio esperado o para asegurarse el abastecimiento de alimentos. Este aumento de la inversión puede ser positivo para los países de la región. No obstante, para realizar esta determinación, es necesario comprender, entre otros, los efectos legales de estos flujos de inversión. Este trabajo sostiene que los derechos de propiedad que adquieren los inversores extranjeros sobre la tierra y los emprendimientos agrícolas pueden ser diferentes de los derechos de los inversores nacionales Esto se debe a los tratados para la protección de inversión extranjera. El fortalecimiento de losderechos de los inversores extranjeros afecta la relación de estos inversorescon los Estados receptores. This article analyzes the effects of the rights of foreign investors in relation to five categories of state initiatives. Specifically, they are 1) the right to export production or the cost of exportation in the face of commercial and taxation measures; the right to continue a project in the face of changes within the regulatory paradigm; 3) the right to continue a project in the face of political change or new social preferences; 4) the right to receive better compensation in the face of agricultural reforms or programmes of historical reparation; 5) the right to maintain the business plan in the face of a food crisis. ; Nos últimos dez anos, o investimento estrangeiro em agricultura tem incrementado notavelmente na América Latina. Dans cet article on montre que les droits de propriété qu'acquièrent les investisseurs étrangers sur la terre et les entreprises agricoles peuvent être différents de ceux des investisseurs nationaux. Le renforcement des droits des investisseurs étrangers affecte la relation de ces derniers avec les États récepteurs. In the last ten years foreign investment in agriculture has increased notably in Latin America. Foreign investors, as much private as state, are interested in agricultural production, either for an expected benefit, or to assure the food supply. This increase in investment can be positive for the countries of the region. Nevertheless, in order to carry out this determination it is necessary to understand, among other things, the legal effects of these investment flows. This work maintains that the property rights acquired by foreign investors over the land and their agricultural undertakings may be different from the rights of national investors. This is because of foreign investment protection treaties. The strengthening of the rights of foreign investors affects the relationship between these investors and the receiving state. This article analyzes the effects of the rights of foreign investors in relation to five categories of state initiatives. Foreign Direct Investment and Multinationals in Brazil (1860-1913)

Foreign direct investment (FDI) in Brazil, started in the 19th century, a transition period between the Empire and the beginning of the Republic (1860-1913), when fdi theories had not yet been formulated. The British were the main investors worldwide, also in Brazil, responsible for developing essential sectors. In addition to the Europeans, the Americans also saw opportunities in the country, contributing later to the industries' installation. To better understand foreign investments in Brazil, as well as the installation of multinationals in the transition from the Empire to the Republic, we highlight the foreign investment process and the country's industrialization. The main contribution of this work is research pointing out the historical landmark of foreign investment in Brazil in the analyzed period, allowing to understand the country's urban and social development.

Factores como la riqueza de una nación y su nivel de inversión extranjera se han convertido en indicadores cotidianos para analizar un mercado. Sin embargo, factores como el tipo de cambio, los costos de la mano de obra, la calidad y el costo de los servicios, las actitudes del gobierno frente a la inversión privada, entre otros, se consideran hoy día claves para la toma de decisiones de los inversionistas. En este sentido, un análisis comparativo que describe las realidades económicas, sociales y de gobernabilidad de Colombia y Venezuela, evidencia que la situación actual del país petrolero no es ideal para los inversionistas extranjeros. La investigación concluye que los inversionistas extranjeros encontrarán mayores niveles de rentabilidad dentro del escenario colombiano, bajo un entorno con mejor seguridad y estabilidad para su capital. ; International capital mobility leads to a constant search for investment to ensure the return of invested capitals. Factors such as wealth of a nation and its level of foreign investment have become everyday indicators to analyze a market. However, factors such as the exchange rate, the cost of labor, the quality and cost of services, the attitudes of the government towards private investment, among others, are now considered key to decision making investors. Thus, a comparative analysis that describes the economy, social aspects and governance of Colombia and Venezuela, shows that the country's current oil situation is not the best for foreign investors. The Constitutional Review of International Investment Agreements and the Protection of the Right to Equal Treatment of Domestic Investors ; La revisión constitucional de los acuerdos internacionales de inversión y la protección del derecho a la igualdad de los inversionistas locales
The present article assesses the role of the Colombian constitutional judge in the protection of the right to equal treatment of domestic investors against the International Investment Agreements (IIA) concluded by Colombia. Globally, IIA have been accused of creating discriminatory treatments against domestic investors by providing foreign investors with more favorable procedural and substantial rights. Even though the Colombian Constitutional Court has always been in charge of conducting the constitutional review of the IIA concluded by Colombia, only recently, in the context of the review of the IIA concluded with France and Israel, the Court used its constitutional powers to address the alleged violation of the right to equal treatment of the local investors as a consequence of the conclusion of IIA. The article analyzes the manner in which the Constitutional Court conducted the constitutional review of the IIA with France and Israel, particularly regarding its decisions to protect the right to equal treatment of domestic investors. The author concludes that the constitutional judge, prompted by the willingness to take part in the modern debate about IIA, may have overlooked the nature and historical context of these treaties and its own case law on the protection of the right to equal treatment. Furthermore, the article shows that the Constitutional Court did not apply its standard of review in a uniform and consist manner with regard to all the provisions of the IIA, and that its decisions create new issues that may become in obstacles for the negotiation and conclusion of IIA by the Colombian government in the future. ; El presente artículo discute el rol del juez constitucional colombiano en la protección del derecho a la igualdad de los inversionistas locales frente a los acuerdos internacionales de inversión (AII) suscritos por Colombia. Among the market-oriented reforms implemented in Russia since Jan 1992, economic liberalization policy ranks high, including the invitation made to foreign entrepreneurs to invest in the country. However, based on an analysis of various economic, political, & legal aspects of this Euro-Asian country, the author concludes that a lack of implementation of market structures & mechanisms, & the exclusion of foreign businessmen from state firms' massive privatization resulted in an unfavorable environment for foreign investments. Accordingly, Russian prospects of attracting huge investment flows did not materialize. The sectoral structure of foreign direct investments does not favor national industry's restructuring & upgrading. This is mainly due to an excessive concentration of industries in the energy sector, which results in an even greater reliance of the country on oil & gas production. Russia's political stabilization, after the Mar 2000 presidential elections, & the measures implemented by President Putin to advance market-oriented reforms, seem to suggest that this postcommunist country will continue offering good opportunities to foreign investors. 1 Appendix.
