The paper takes into account a feature of Hans Kelsen's juridical thinking that has been so far rather underestimated: the weight of normativism on his theory of private law. The author closely connects Kelsen's critical approach to the notion of subjective right and further relates the legal norms to the institutions of the market economy. The interepretative assumptions of Kelsen are constantly confronted with the theoretical background that propelled the development of the modern constitutional state based on the rule of law.
Il saggio concerne il ruolo che la responsabilità da prodotto difettoso è suscettibile di svolgere nel governo dei nuovi rischi insiti nello sviluppo delle tecnologie digitali, tenuto conto di alcuni profili problematici, tra cui il concetto di prodotto (e di produttore), nonché quello di difetto (con le connesse questioni relative all'accertamento dello stesso). L'analisi dei suddetti profili viene svolta, oltre che sulla base della interpretazione della pertinente disciplina, anche alla luce di alcuni recenti esperimenti di soft law. The essay deals with the role that liability for defective product is likely to play in the governance of new risks inherent in the development of digital technologies, taking into account some debated aspects, including the concept of product (and producer), as well as the concept of defect (and its assessment). The analysis of these issues is carried out not only on the basis of the interpretation of the relevant legislation, but also in the light of recent forms of soft law regulations.

Soft law, as law not legally binding in the traditional sense, can be approached in a systematic perspective. Particularly, soft law raises two central issues: the mechanisms of compliance to soft law and its relationship with the law, or, better, with hard law, that is law legally binding. In European Union order the systematic perspective emerges with greater clarity: European soft law regulates relations between the European institutions; it is halfway between the sources of law and institutional gover nance. In the European dimension, soft law is a particular tool that removes an original "vice of competence" of the Union. In this way soft law recalls the implied powers of the European institutions, as it erodes in the same way the spheres of competence of the Member States. But even at national level, the lack of binding force in the traditional sense hides the political force of soft law: soft law represents a typical source for legal order which asks for instruments other than the formal procedures of constitutional institutions.

From Kant's cosmopolitan proposal, over and above its placing w it h in t he more specif ic space of doctrine of right, important elements emerge in connection with the project of a "critiue of reason", considered in all its architectural extension, and therefore, ultimately, in relation to what Kant really means by "human reason". And indeed - this is the hypothesis that guides the present work - precisely starting from what the treatment of cosmopolitan law reveals about the complexity of the concept of reason it becomes possible to understand in a theoretically informed way the meaning of the political-legal proposal that pervades Kant's late maturity. In order to verify this hypothesis, the present paper aims, first of all, to highlight the elements of tension in Kant's text which, if they do not always justify, certainly encourage the proliferation of various, of ten no t reconcilable readings of cosmopolitan law and the theme of hospitality; secondly, it aims to reconsider cosmopolitan law in a broader perspective, linked to the way in which Kant conceives the relationship between humanity and rationality; and finally, in the light of this perspective, to re-examine the antagonistic tension that, within the Kantian concept of hospitality, runs through the relations between visitor and visited, host and guest.

L'indagine è dedicata all'esame della disciplina delle società a partecipazione pubblica ed, in particolare, delle società c.d. "legali", muovendo in prima battuta dall'interrogativo relativo alla rilevanza, a fini "qualificatori", dell'interesse pubblico quale profilo ordinante dell'azionariato pubblico da un punto di vista "politico-economico" – e dunque quale dato di rilevanza meta-postiva – ovvero quale elemento di qualificazione della fattispecie, in senso proprio, delle società medesime. Le riflessioni che ne seguono si sviluppano, in primo luogo, tenendo conto del progressivo affievolimento, nel nostro ordinamento, della distinzione tra "pubblico" e "privato" quali "insiemi regole" il cui presupposto di applicazione è da ravvisare nella "qualità" e nella natura del soggetto agente nei rapporti di diritto privato. Previa analisi diacronica della traiettoria seguita dal legislatore in materia di società pubbliche e previa illustrazione del panorama normativo odierno delle società a statuto singolare, l'indagine si sofferma (i) dapprima, sulla esposizione, in chiave critica, dell'orientamento caratteristico della giurisprudenza e della dottrina amministrativa, nelle quali è invalsa – ai fini dell'individuazione della disciplina applicabile – la tendenza a riqualificare le società di che trattasi, con assimilazione di esse agli enti pubblici; e (ii) in un secondo momento, ferma la ritenuta non omologabilità delle richiamate tesi "riqualificatorie", si è ritenuto di poter individuare il proprium delle c.d. società legali, a fattispecie esclusiva, negli effetti determinati dalla costituzione legale, da intendere quale sottrazione alla disponibilità delle parti della libera attuazione del programma associativo, nella quale sottrazione è dato ravvisare - anche per effetto dell'interpretazione analogica dell'art. 2451 cod. civ. - l'interesse pubblico sotteso alla costituzione della società medesima. Interesse, questo, al quale deve conformarsi, in termini di coerenza e congruità, in concreto, l'attività sociale e, dunque, l'interpretazione della disciplina di diritto comune societario. ; This PhD thesis deals with the examination of rules regarding State-owned companies, especially the so-called "società legali", i.e. companies which specific statute is entirely (or in part) codified and regulated (for that company) by the Legislator or the Government. The starting point of the enquire is the question about the legal nature of these companies, since their qualification from a politic and economic point of view is important to understand if they have to follow or not special laws. In this framework, the identification of public interest for public shareholders is a decisive element. Reflections follow on the gradual fading of the distinction between "public law" and "private law" as rules whose application does depends on the "quality" and legal nature of the agent. After a diachronic analysis both of the historical evolution of State-owned companies which statute has been regulated by laws, and of legislative and regulatory framework of nowadays State-owned companies, the enquire focuses on jurisprudence and doctrine, underlining the difference between the thought of public and commercial law scholars. In particular, while public law scholars developed the tendency to re-qualify companies assimilating them to public authorities/public bodies, from the private law point of view there is the awareness that this assimilation is not approvable, since the core of the problem lies in the effects produced by the legal set of norms regulating the statute of the State-owned companies, to be understood as a subtraction to shareholders (both public and private ones) of free implementation of the company "programmed activity" as the result of the predominance of public interest, with which the company has to comply. ; Dottorato di ricerca in Diritto ed economia: interessi rilevanti e tutele (XXIV ciclo)

Dottorato di ricerca in Diritto dei mercati: crisi, diritti e regolazione ; La presente ricerca ha ad oggetto la eventuale configurabilità nell'ordinamento giuridico italiano di risarcimenti con funzione anche sanzionatoria e/o deterrente nelle ipotesi in cui la tradizionale funzione compensativa della responsabilità civile rischia di non assicurare un adeguato livello di tutela effettiva alle situazioni giuridiche soggettive lese (illeciti senza danno, microviolazioni, reati bagatellari, danni non patrimoniali). Il tema in esame si inscrive nel dibattito dottrinale e giurisprudenziale concernente la natura mono o polifunzionale dell'istituto aquiliano. Per procedere allo svolgimento di necessarie riflessioni sul punto, si è preliminarmente focalizzata l'attenzione sugli ordinamenti giuridici che per primi hanno concepito rimedi ultracompensativi nell'alveo della responsabilità civile (Paesi di common law capitolo I, parte I), sull'evoluzione registratasi nel tempo con riferimento alle problematiche e agli inconvenienti che hanno occasionato. Altrettanto indispensabile si è rivelata l'indagine sugli argomenti di segno contrario alla configurabilità dei risarcimenti punitivi e/o deterrenti adottati nelle esperienze giuridiche dei principali Paesi di civil law e le aperture, più o meno significative, che si possono riscontrare in tali sistemi giuridici (capitolo I, parte II). Dato atto delle aperture in chiave punitiva del risarcimento presenti in giurisprudenza alla luce del diritto europeo al fine di garantire l'effettività della disciplina sovranazionale, degli orientamenti della Corte di Giustizia e della Corte di Strasburgo rilevanti per il tema in esame, delle problematiche poste dal diritto unionale e convenzionale, nonché dei tentativi di armonizzazione del diritto della responsabilità civile (v. capitolo II), si è ricostruita la evoluzione storica dell'istituto aquiliano – dal diritto romano ad oggi (capitolo III, parte I) – e notato che le regole della responsabilità civile sono state concepite per riparare un "danno" e quindi il deterioramento o la distruzione di un bene sia esso materiale o spirituale - a differenza di altre forme di tutela civile o pubblicistica - con la conseguenza che la introduzione di sanzioni civili punitive e/o deterrenti richiede necessariamente una espressa previsione legislativa (nazionale o europea) e l'osservanza dei principi di prevedibilità e di proporzionalità (tra risarcimento riparatorio-compensativo e risarcimento punitivo e/o deterrente e tra quest'ultimo e la condotta censurata). Di qui l'analisi delle ipotesi tipiche previste all'interno dell'ordinamento giuridico italiano che rispondono a tale finalità sanzionatoria e/o deterrente (capitolo III, parte I e II) e i relativi corollari sostanziali e processuali muovendo, alla luce della disciplina della fattispecie e della conformazione dell'effetto giuridico, dalla necessaria differenziazione tra risarcimenti con funzione anche punitiva e/o deterrente (capitolo III, parte II) e altre obbligazioni pecuniarie non risarcitorie, misure di coercizione indiretta o istituti sui generis riconducibili alla disciplina dell'arricchimento ingiustificato ovvero di altre obbligazioni indennitarie (capitolo III, parte I). Conclusa l'opera di inquadramento giuridico degli istituti implicati nell'attività di ricerca, sono state esaminate le controverse ipotesi di risarcimenti con funzione anche punitiva e/o deterrente e i profili problematici derivanti dal potenziamento della prevenzione e/o sanzione dell'illecito civile esaminando le aperture de jure condito e de jure condendo prospettabili nell'ordinamento giuridico italiano. ; This thesis is focused on punitive damages in Italian private law in the light of main Common law and Civil law perspectives. The latter object, particularly controversial, is widely discussed in doctrine and recent case law incresased interest in the subject manner. Although Italian private law knows different civil sanctions, there are no specific legislative (formal) provisions on "punitive damages". Neverthless some authors underline that traditional compensatory function of tort law (aquilian liability) could not ensure adeguate and effective protection in many problematic situations concerning infringments of rights. For example, mere compensation is not an effective method to deal with personality right infringements; undercompensation situations could take place in mass tort litigations, lucrative breach of contract or calculative torts; moreover, public enforcement does not produce satisfactory results in all situations of wrongdoing. In this sense, punitive damages could improve private enforcement of tort law, deterring and punishing wrongful conducts in society. In order to find out whether this civil remedy is avaible in Italy, it is firstly necessary to understand the meaning of punitive damages, the main characteristics and issues that it has dued in American and English common law (Cap I, par. II). Secondly it is necessary to focus on the reasons for the non-existence of punitive damages in continental Europe, the debate and possible developments in European civil law systems (Cap. I, part. II). The discussion addresses the positions of the European Court of Human Rights, the legislator of the European Union and the Court of Justice of the European Union on punitive damages, the increased attention and need for effective preventive, dissuasive and proportionate sanctions related to European law and the contribute to the enhancement and harmonization of tort law in Europe (PETL and DFCR) with particular reference to this subject matter (Cap. II). The research diffusely focuses on Italian tort law – from ancient Roman law tradiction to nowdays – and the so called multy-functionality conception that – according to some authors and case law – belongs to the system of tort liability. (Cap. III, part I and II). Under this point of view, it is noticed that in Italian tort law, punitive damages are not ontologically inconsistent with the legal system, but a series of fundamental limits have to be observed. In contrast of common law systems, Italian Courts cannot increase the amount of damages pursuing the aims of deterrence and punishment by introducing punitive damages without a typical legislative provision. It is central to ensure the predictability of decisions (cases and condictions in which such award applies and its amount) and punitive damages must comply with the principle of proportionality (among compensatory damages and non compensatory damages and among these one and the wrongful conduct sanctioned or the seriousness of tort). Consequently the research examinates Italian legislative provisions characterized by punishment and/or deterrence in private law. It is important to underline that not all these provisions concern with tort liability. Some special provisions deal with others civil remedies or others civil punitive and/or deterrent sanctions (Cap. III, part I) with relevant corollaries in order to the substantial and processual discipline. In specific cases the amount of damages (or indemnities) is determined having regard to some profiles referred to the wrongdoer (such as seriousness of the offence, the reiteration of the wrong, the enrichment of the wrongdoer, his economic wealth etc.) and, at the same time, to the victim (economic and non economic losses he/she has suffered) (Cap. III, part II). In these hypothesis tort law, specially with regard to immaterial and non economical damages, could have a deterrent and/or punitive function in addition to the traditional compensatory aim. The research, after reviewing the state of art, ends with the possible future developments.

Co-operative Law has a long tradition in European countries, like the Industrial and Provident Act in the United Kingdom in1852 or the Prussian Co-operatives Act in 1867. The European Union was no born to create a common law but to remove restrictions on the freedom of establishment. In 2003 the Statute for a European Co-operative Society was approved, but harmonization of European co-operative legislation was never carried out, not even for its most importante distinctive elements. In 2012 the European Commission presented a report about the application of the SCE Statute showing that the SCE Regulation has had relatively little success. The differences between the different legal systems are considerable, both in forma and in content. European Commission expressed its intention not to carry out the harmonization of the European co-operative legislation directly, but to support the harmonization proposals that the co-operative sector presented to it. El derecho cooperativo tiene una larga tradición en los países europeos, desde la Industrial and Provident Act de 1952 en Reino Unido o la Ley prusiana de cooperativas de 1867. La Unión Europea no nació para crear un derecho común sino para surprimir las restricciones a la libertad de establecimiento. In 2003 se aprobó el Estatuto de la Sociedad Cooperativa Europea, pero nunca se ha llevado a cabo una armonización de la legislación cooperativa en Europa, ni siquiera en relación con sus elementos más característicos. En 2012, la Comisión Europea presentó un informe sobre la aplicación del Estatuto de la SCE que mostraba que esta regulación había tenido relativamente poco éxito. Las diferencias entre los diferentes sistemas legales son considerables, tanto formalmente como por su contenido. Il principio di legalità in materia penale è circondato, oggi, da un'aura di paradosso. Per un verso, esso è considerato l'ovvio architrave di un sistema penale che, come quello italiano, si voglia ispirato ai principi della garanzia delle libertà individuali e della separazione dei poteri: pertanto, esso campeggia nei testi costituzionali e nei documenti internazionali sui diritti umani, e nei capitoli iniziali (quelli dedicati ai "principi fondamentali" della materia) di tutti i manuali di diritto penale. Per altro verso, invece, il destino del principio di legalità appare segnato. Il profluvio caotico delle leggi, il disordine delle fonti, la presenza di organismi sovranazionali (in particolar modo l'Unione europea) che riescono a determinare in maniera anche alquanto esigente la produzione di norme penali a livello interno, la crisi della democrazia rappresentativa e la virata verso la democrazia maggioritaria, le incrinature nella separazione dei poteri, l'esplosione del diritto giurisprudenziale anche in paesi di civil law, il diffuso disincanto verso qualche pretesa di oggettività o di razionalità dell'interpretazione giuridica, sono tutti fenomeni che mettono sotto tensione il principio di legalità in materia penale , e che rischiano di confinarlo nel novero dei relitti ideologici, delle mitologie ormai sfatate, delle pretese irrealizzabili. Scopo di questo saggio è provare a riaffermare l'importanza, e la possibilità stessa, del principio di legalità in materia penale. L'assunto di partenza è che, nonostante tutte le circostanze (come quelle sopra esemplificate) che ostacolano il pieno dispiegarsi delle potenzialità garantistiche del principio di legalità penale, la legalità penale sia un valore che non solo merita di essere perseguito, ma che è anche possibile perseguire. Non è un ideale irrealizzabile. E ciò che può essere realisticamente realizzato dell'ideale della legalità penale è, come cercherò di mostrare, strettamente imparentato con alcuni requisiti solitamente associati all'ideale del Rule of Law. Il mio discorso sarà dunque per un verso analitico e ricostruttivo sul concetto di legalità penale, e per altro verso normativo. I due piani di discorso saranno compresenti ma distinti: il lettore li individuerà e distinguerà facilmente.

This handbook is the result of three years of teaching European Union Transport Law to the law students of the University of Roma Tre.The course falls within the "Studying Law at Roma Tre" programme, which includes 14 classes entirely taught in English.Following these lines the handbook is divided into three modules, reflecting areas where the intervention of EU law has been most significant: air transport, rail transport, and passengers' rights. To each module we have annexed the most relevant judgments and decisions by the EU Courts and Commission which we found particularly useful to illustrate, from a practical point of view, the policies underlying EU transport law and the conflicting interests of the various stakeholders.Obviously there are other aspects which are touched by EU law, especially in the field of movement of goods, port infrastructures, and road safety, but we have preferred to focus, at least in this first edition, on the three aforementioned aspects.We hope that this primer – which is made available by Roma TrE-press to the whole European academic community on a freely accessible basis – will contribute to the development of the subject as a course offered to students who are and increasingly will be the main beneficiaries of the growing transport networks in the EU.

The aim of this article is to offer a general overview about how the Globalization is changing the evolution of the National Public Financial Systems. In fact, Financial Law - either for expenditures or for revenues - is not more a domestic topic. According with the globalization of the economic and social relationships, the classical expending and taxing powers, nowadays, are not possible to be exercised under the sole sovereignty of National Parliaments and Governments. A lot of financial rules, finally adopted by the States, arrive to their legal systems through soft law instruments produced on international, public and even private, institutions. The analysis of this phenomenon is here tackled with three practical examples: the so-called cooperative compliance approach to the tax relationships between States and taxpayers, particularly multinational enterprises (sec. 2); the Transfer Pricing regulations (sec. 3); and the Public Debt Measurement in European Union (sec. 4).

Il presente lavoro è dedicato alla soft law, che dobbiamo anzitutto cercare di definire o almeno di circoscrivere, non essendo riscontrabile un suo espresso riferimento in alcuna fonte del diritto. Per anni sono stati gli ordinamenti statali quelli su cui ha poggiato tutta la normazione. Più di recente, la globalizzazione ha interessato anche l'ambito giuridico, con uno sviluppo dell'ambito internazionale ed europeo, che spesso richiedono strumenti sufficientemente elastici, anche per potersi porre adeguatamente in rapporto con le diverse realtà dei vari Paesi e per poter provvedere a un'apprezzabile mediazione di interessi talvolta configgenti, creando un assetto unitario pur nel rispetto della diversità. La seguente tesi intende offrire un esame concernente gli strumenti di soft law che, con il passare del tempo, hanno fortemente permeato il nostro sistema delle fonti del diritto, andandosi ad affiancare o in certi casi a sostituire alle nostre fonti del diritto e il motivo della loro sempre maggiore diffusione. Verranno delineate le origini, il significato e le funzioni del termine e, a seguire, verrà presentata, senza alcuna presunzione di completezza, un'analisi delle diverse forme di manifestazione concernenti i molteplici "livelli", di questo fenomeno di produzione normativa. Un fenomeno che addirittura si delinea come alternativo a quello istituzionale per l'impossibilità di essere inserito nelle fonti di produzione di natura autoritativa, ma che, come verrà constato in seguito, ha la capacità di apportare ad esse un contributo non poco rilevante. Infine, verrà, con maggior dettaglio, analizzato il tema dell'Autorità nazionale anticorruzione e dell'accostabilità delle sue linee guida (contemplate dal d.lgs. 18 aprile 2016, n. 50) agli strumenti di soft law, poiché seppur di nuovo conio sono state già oggetto di numerosi saggi, studi ed interventi, dimostrando per facta concludentia l'importanza sia teorica che pratica del problema. Da tutto questo percorso cercheremo di evincere come la soft law si presenti come un fenomeno biforme in grado, da una parte, di contribuire al miglioramento della regolazione e della qualità democratica degli ordinamenti; ma dall'altra rischia di essere sul punto un fattore degenerativo.
