This study deals with the status of corporate governance in public shareholding companies in Jordan against the international standards of governance manifested in the five principles adopted by the Organization for Economic Co-operation and Development (OECD) and the extent to which the provisions of the Companies Act No 22 for the year 1997 contribute to promoting understanding of the concept of the Jordanian institutional good governance of companies. The study also tackles the environmental audit dedicated to apply the law, amend it or add to it for the purpose of promoting the concept of corporate governance to increase the companies' profits, avert stumbling and bankruptcy, and enhance their competitiveness in this world where international performance indicators have taken the level of corporate governance as a criterion for the effectiveness of a company's market in a given country. The findings of the study show that the level of governance in public shareholding companies in Jordan is above the middle and could be better by amending some legal provisions pertaining company management and protection of shareholders' rights by further openness and transparency. This study can be consider as module to research many similar Arab - legislation- and the companies sector in general.

Regarding the consumption of cultivated area by urbanization, the regional service of Agriculture, Food and Forestry (DRAAF) commanded the research unit TETIS to achieve a study. This study aims to quantify and qualify this consumption in order to raise awareness of the importance of this phenomenon and to make it curb. TETIS is also involved in the project Gouv.Innov, which studies the taking into account of the rural interests in governance process. From April to September 2011, TETIS commissioned me, during my internship, to analyze the impact of the diffusion of this new information in territorial governance. My task was to help the understanding of the context of this study and to meet professionals involved in this diffusion. These interviews were then analyzed by the means of a communication model, the sociotechnical information and communication system, also called Distic, to see how this system was formed, how the information content were produced and diffused and what are, in the Distic, the uses, the impacts and the trends of this data. ; Face à la consommation des espaces agricoles par l'urbanisation, la Direction Régionale de l'Agriculture, de l'Alimentation et de la Forêt (DRAAF) a mandaté, via le Cemagref, l'Unité Mixte de Recherche (UMR) « Territoire, Environnement, Télédétection et Information Spatiale » (TETIS) pour réaliser une étude. Cette étude vise à quantifier et qualifier cette consommation afin de faire prendre conscience de l'importance de ce phénomène et de l'enrayer. L'UMR TETIS est aussi impliquée dans le projet Gouv.Innov qui étudie la prise en compte du monde rural dans les processus de gouvernance territoriale. Dans le cadre de ce projet, l'UMR TETIS m'a missionnée, lors de ce stage de fin d'étude d'avril à septembre 2011, afin d'analyser l'impact de la diffusion de ces nouvelles informations dans la gouvernance territoriale. J'ai donc fait des recherches sur les contextes de l'étude et rencontré les acteurs impliqués par cette diffusion. Ces entretiens ont été par la suite analysés à travers un modèle de communication, le Dispositif Socio-Technique d'Information et de Communication (Distic), afin de voir comment s'est formé ce dispositif, comment ces contenus informationnels ont été réalisés et diffusés, et quels sont, dans le Distic, les utilisations, les impacts et les évolutions de ces données.

Dadas las características del entorno actual, en el que se ha producido un aumento de la sensibilidad hacia los problemas éticos, se ha globalizado la economía y estamos asistiendo a un aumento de la competencia, se ha producido un cambio en la concepción convencional de la organización. Como respuesta a la complejidad de la situación actual y para asegurar la supervivencia de la empresa aparece la teoría de los stakeholders. Dicha teoría trata de lograr un buen gobierno a través de la integración de los objetivos de todos los stakeholders de la organización. Por otra parte, en la cultura de la sociedad cooperativa se refleja como objetivo de este tipo de empresa, el conseguir el desarrollo sostenible de la comunidad en la que se implanta. Esto supone que la cohesión social con su entorno sea considerada como base de la ventaja competitiva de la fórmula cooperativa. Por ello, en este trabajo partiendo de la búsqueda de un gobierno en la sociedad cooperativa que integre a todos los grupos interesados en esta, vamos a intentar observar cómo se consigue el desarrollo y la cohesión social de la zona en la que se encuentra la organización, siendo esta realidad clave para lograr una ventaja competitiva. ; Considering the characteristics of the environment, in which an increase of the sensibility has taken place towards the ethical problems, the economy has been globalized and the competition has increased, a change has taken place in the conventional conception of the organization. To answer to the complexity of the situation and to assure the survival of the company appears the stakeholder's theory. This theory tries to achieve a good government thought the integration of the interest of all the stakeholders of the organization. On the other hand, in the culture of the cooperative it is reflected like target of this type of company, obtaining the sustainable development of the community in which it is implanted. This supposes that the social cohesion with his environment is considered to be a base of the competitive advantage of the cooperative. In this paper we search of a government in the cooperative which integrates the objectives of the interested groups, we will try to see how it manages the development and the social cohesion of the area in which the organization is. This could be the key to achieve a competitive advantage.

61 91 10 2 ; SWORD ; [EN] In recent decades, the New Institutional Economics has brought about the "return of institutions" to the economic mainstream, and institutional theory and analysis have been developed from Ronald Coase's notion of transaction costs and Douglass North's view on institutions. The Nobel Prize award in Economics to Oliver Williamson and Elinor Ostrom in 2009 has pointed out the relevance of the new institutional approach. Natural Resource Economics has included the institutional determinants of the management of natural resources into its research agenda. In this sense, the advances of the New Institutional Economics allows the development of institutional analysis in the field of the Economics of Natural Resources, such as Elinor Ostrom's work has shown. This paper presents an integral and updated perspective of the foundations of the New Institutional Economics that constitute a set of theoretical inputs for the analysis of institutions and governance in the management of natural resources.
