The notion of governance seems to cover themes close to the term "to govern", of the grip of decision and the evaluation.It represents all the organs and the rules of decision, information (transparency) and supervision allowing the legal successors and the partners of a company, to see their respected interests and their voices in the functioning of this one.The governance of company proposes a new conception of the process of decision, granting all its place to the dialogue between the stakeholders.The union representative intervenes in this sense, indeed, he has a mission of claiming (for example concerning the increase in salaries), he is the interlocutor of the labor union(syndicate) with the employer, he negotiates with the latter the standards of the company (agreements and collective labor agreements)Framed by laws assuring the essential transparency, the governance of company would be in theory the way to assure at best the multiple interests of the actors concerned (employees and employers).It is the reason why it seemed convenient to draw a parallel between the exercise of the governance of company by the concerned actors and the respect for private life of the employees.The governance of company can be limited by the respect for private life of the employees.It is about a fundamental law, proclaimed by the law, registered in the bill of rights of 1948 (article 12), the European Convention on Human Rights and fundamental liberties (article 8), on the article 9 of the Civil code and on the article 226-1 of the Penal code.The components of the private life were not the object of a definition or a restrictive enumeration to avoid limiting the protection to the only legal forecasts. The microfinance sector has attracted increasing attention particularly in literature and in political circles in recent years. Microfinance is seen as a key means for the poors to access to financial services. Nevertheless, one of the challenges of microfinance institutions lies in their governance. To study the governance of microfinance institutions, many authors recommend to consider not only their diversity related to their natures and their missions, but also the context of the country in which they operate. However, existing works have not fully taken into account the contextual factors in the study of the governance of MFIs. This thesis contributes to bridge these gaps. It is in this sense of a specific and suitable approach to microfinance institutions. It analyzes the impact of the uncertainty related to an internal armed conflict in Burundi cooperatives. This research shows that face of uncertainty, policymakers are faced with the decision-making problems in compliance with the rules. Conflicts of interest arise, the paradoxes in the roles of directors or in inter-organizational relationships are observed. The results of this research also show the limits of volunteer principle in cooperative organizations in times of uncertainty. To cope with uncertainty, cooperatives undertaking various coping strategies despite their organizational similarities. They further develop inter-organizational relationships in search of legitimacy and scope of expression. Belonging to the network and the pressures of supervisor push these organizations to adopt isomorphic structures and practices. This thesis is a first milestone in the studies on the governance of cooperatives under uncertainty. It goes beyond the Burundian context by formulating hypotheses to be tested in future studies and in other places. ; Le secteur de la microfinance a suscité une attention particulièrement croissante dans la littérature et dans les milieux politiques ces dernières années. La microfinance est considérée comme un moyen incontournable permettant aux pauvres d'accéder aux services financiers. Néanmoins, un des défis des institutions de microfinance réside dans leur gouvernance. Pour étudier la gouvernance des institutions de microfinance, plusieurs auteurs conseillent de tenir compte non seulement de leur diversité liée à leurs natures et à leurs missions, mais également du contexte du pays dans lequel elles évoluent. Pourtant, les travaux existants n'ont pas totalement pris en compte les facteurs contextuels dans l'étude de la gouvernance des IMF. La présente thèse contribue à combler ces lacunes. Elle s'inscrit dans cette logique d'une approche spécifique et adaptée aux institutions de microfinance. Elle analyse l'impact de l'incertitude liée à un conflit armé interne dans les coopératives burundaises. Cette recherche montre que face à l'incertitude, les décideurs sont confrontés aux problèmes de prise de décisions dans le respect des règles en vigueur. Des conflits d'intérêts apparaissent, des paradoxes dans les rôles des administrateurs ou dans les relations inter-organisationnelles sont observés. Les résultats de cette recherche montrent également les limites du principe de bénévolat dans les organisations coopératives en période d'incertitude. Pour faire face à l'incertitude, les coopératives entreprennent des stratégies de résilience différentes malgré leurs ressemblances organisationnelles. Elles développent davantage les relations inter-organisationnelles dans la recherche de la légitimité et de cadre d'expression. Le fait d'appartenir au réseau et la pression du superviseur poussent ces organisations à adopter des structures et des pratiques isomorphiques. Cette thèse constitue un premier jalon dans les études sur la gouvernance des coopératives en situation d'incertitude. Elle va au-delà du contexte burundais en formulant des hypothèses à vérifier dans les études futures et dans d'autres lieux.
The consumption of agricultural areas through urbanisation has been one of the challenges that have led the State to establish a sustainable spatial planning policy since the 2000s. This policy refines the legislative framework governing the management of agricultural buildings, in particular revising the right of farmers to build their dwellings in agricultural areas. While national priorities are aimed at protecting agricultural areas, their implementation by local and regional authorities, within the framework of territorial governance, gives rise to varying interpretations of the law and incorporates new challenges. Local policies are leading to a variety of innovative forms of farm management, such as the 'agricultural hoals' developed in Hérault. The implementation of the principles of sustainable development thus raises unprecedented problems in the spatial and social management of agricultural buildings. ; La consommation des espaces agricoles par l'urbanisation est l'un des enjeux qui ont conduit l'État à instaurer une politique d'aménagement territorial durable depuis les années 2000. Cette politique remanie le cadre législatif qui préside à la gestion du bâti agricole, révisant notamment le droit pour les agriculteurs de construire leurs logements en zone agricole. Alors que les priorités nationales visent la protection des espaces agricoles, leur mise en oeuvre par les collectivités, dans le cadre de la gouvernance territoriale, engendre des interprétations variées de la loi et intègre de nouveaux enjeux. Les politiques locales donnent le jour à des formes diverses et innovantes de gestion du bâti agricole, telles les "hameaux agricoles" développés dans l'Hérault. La mise en oeuvre des principes d'aménagement durable soulève ainsi des problématiques inédites de gestion spatiale et sociale du bâti agricole.
The purpose of this thesis is to study the internal mechanisms of banks' governance and their impact on the risk-taking behavior. We show that Adam Smith had already highlighted the inadequacy of the governance' mechanisms in "Ayr" Bank as the primary factor leading to an excessive risk-taking and, consequently, to its bankruptcy. We develop a model that aims to evaluate the extent to which governance mechanisms play a moderating role on the compensation policy and the level of risk taken by the CEO. We illustrate that a remuneration indexed on risky assets does not imply a greater risk taking. We also conclude that in order to induce the CEO to achieve the best combination of assets, the board of directors (BD) is required to pay the highest compensation. The thesis also focuses on the study of standard BD attributes as well as those related to risk' governance in EU banks from 2005 to 2015. The empirical investigation showed that certain BD features affect the level of non-performing loan and the insolvency of EU banks. The results of the fixed-effect quantile regression reveal that the effect of the standard BD and risk' governance attributes on risk-taking is heterogeneous. More specifically, we can note that the positive effect of the independence and frequency of board meetings on bank' risk management is more significant in the riskier banks. In addition to this, our empirical results suggests that the prevention of excessive risk taking by EU banks requires the improvement of the effectiveness of BD through the establishment of risk an audit committees. ; L'objectif de cette thèse consiste à étudier les liens entre les mécanismes internes de gouvernance des banques et le comportement de prise de risque. Sea level rise accelerated by climate change is of major concern at international scale since the 1990's. From now on, climate change adaptation is institutionalized from global to local scales. I analyze policy making processes related to climate change adaptation in French coastal areas. Two qualitative case studies are at the heart of the thesis: Aquitaine coastline and Martinique Island (French West Indies). They are contrasted in their history, their coastal planning policy and their social dynamics, though they share common processes of attractiveness and vulnerability to submersion and coastal erosion. I analyze discourses, actors and policy instruments in the legitimization of anticipation and preparation as guiding principles to cope with coastal risks and threats. The theoretical framework builds on political sociology of science and policy, as well as insights from pragmatic sociology. Direct observation of local, regional and national consultation and steering committees, semi-structured interviews and documentation analysis are the key methodological approaches. A questionnaire survey has been conducted in the coastal town of Lacanau, on Aquitaine coastline, in order to analyze the way in which residents and users experiment coastal retreat. The main line of argumentation advanced in this thesis is that coastal adaptation to climate change proceeds with performative governance, by which policy devices and narratives are geared towards building adaptation policies upon their interpretive effects. The purpose of this thesis is to study the internal mechanisms of banks' governance and their impact on the risk-taking behavior. We show that Adam Smith had already highlighted the inadequacy of the governance' mechanisms in "Ayr" Bank as the primary factor leading to an excessive risk-taking and, consequently, to its bankruptcy. We develop a model that aims to evaluate the extent to which governance mechanisms play a moderating role on the compensation policy and the level of risk taken by the CEO. We illustrate that a remuneration indexed on risky assets does not imply a greater risk taking. We also conclude that in order to induce the CEO to achieve the best combination of assets, the board of directors (BD) is required to pay the highest compensation. The thesis also focuses on the study of standard BD attributes as well as those related to risk' governance in EU banks from 2005 to 2015. The empirical investigation showed that certain BD features affect the level of non-performing loan and the insolvency of EU banks. The results of the fixed-effect quantile regression reveal that the effect of the standard BD and risk' governance attributes on risk-taking is heterogeneous. More specifically, we can note that the positive effect of the independence and frequency of board meetings on bank' risk management is more significant in the riskier banks. In addition to this, our empirical results suggests that the prevention of excessive risk taking by EU banks requires the improvement of the effectiveness of BD through the establishment of risk an audit committees. ; L'objectif de cette thèse consiste à étudier les liens entre les mécanismes internes de gouvernance des banques et le comportement de prise de risque.
