L'Unione Europea vive oggi una situazione di difficoltà che è frutto dell' impasse subìto negli anni post Maastricht 1992. Gli anni dei Trattati hanno permesso all'Unione di poter accrescere e consolidare il proprio ruolo, in quanto organizzazione sovranazionale di Stati, sia in termini economici che politici e sociali. Tuttavia, la battuta di arresto ha comportato una serie di conseguenze tuttora in atto: l'incapacità di mettere in pratica il progetto della buona governance per sanare i deficit democratico e comunicativo; la difficoltà di riavvicinare alle proprie istituzioni i cittadini europei che, mai prima di adesso, si erano sentiti così distanti dall'Unione Europea; l'inerzia che vivono le istituzioni di fronte alla carenza di rappresentatività democratica del Parlamento Europeo. L'Unione ha dovuto impegnarsi per riformulare se stessa: ha così predisposto numerosi piani e strumenti per dare un nuova impostazione all'Europa, per rispondere alla crisi di immagine e aprirsi alla società civile. Nonostante gli sforzi, l'Unione fatica oggi a riconfermarsi quale progetto iniziale recepito in una prospettiva ottimistica. L'euroscetticismo e le circostanze esogene come la crisi finanziaria del 2008 hanno intaccato il sistema di governance, rendendo quasi impossibile per l'Unione attuare i principi espressi all'interno del Libro sulla governance, orientati alla realizzazione di democrazia partecipativa enunciata dal Trattato di Lisbona del 2009. La governance è quindi oggi un progetto ancora in fieri: è necessario che l'Unione riveda i propri meccanismi, affinché realizzi un nuovo progetto di unione politica nel rispetto dei principi di dialogo, apertura e partecipazione e smentisca il sentimento di disaffezione ed estraneità avvertito dai cittadini europei.
Con la locuzione Governance economica dell'Unione europea si intende riferirsi all'attuale assetto di poteri in materia di Politica economica diviso tra Stati membri e Unione europea. Ci riferiamo, altresì, alla disciplina adottata dagli Stati membri e dalle istituzioni dell'Unione che regola l'attribuzione delle competenze in materia, nonché le loro modalità di esercizio. Tali fonti hanno diversa natura: internazionale, dell'Unione e nazionale. Per Politica economica si intende la disciplina che studia gli effetti dell'intervento dei poteri pubblici (Stato, Banca centrale, ed altre autorità) e dei soggetti privati (imprese, famiglie,.) sull'economia, allo scopo di elaborare interventi destinati a modificare l'andamento del sistema economico a livello macroeconomico per raggiungere obiettivi prefissati. Alla luce di questa considerazione, lo studio sulla Governance economica dell'Unione europea, oggetto della nostra indagine, deve necessariamente aprirsi con l'analisi delle teorie economiche che hanno informato le scelte istituzionali, in particolare dell'Unione, e degli strumenti di politica economica ad oggi ancora in possesso degli Stati membri e di quelli ormai attribuiti alle Istituzioni europee. In tale contesto, chi scrive si è avvalso di nozioni, concetti appartenenti alla Scienza economica, strumentali alle riflessioni di carattere giuridico e istituzionale che costituiscono il principale oggetto di studio del presente lavoro. A ben vedere la cessione di sovranità nei confronti dell'Unione non riguarda la sola politica monetaria, ma anche ulteriori strumenti di politica economica. Tale circostanza porterebbe a ritenere, almeno prima facie, che i margini di manovra dei governi nazionali nella predisposizione delle proprie politiche ne escano sensibilmente ridotti, sebbene una riflessione approfondita, come vedremo, conduce ad una valutazione almeno più bilanciata riguardo l'apprezzamento delle ultime riforme. Una volta analizzato in dettaglio ognuno di tali strumenti e rilevato lo stato dell'arte, anche alla luce della portata da riconoscere alla regola d'oro, inserita in Costituzione, del pareggio in bilancio, si passerà ad analizzare le prospettive della "comunitarizzazione" del Trattato sulla Stabilità, sul Coordinamento e sulla Governance nell'Unione Economica e Monetaria, prevista all'art. 16 del Trattato stesso. Sarà preso in considerazione l'impatto della comunitarizzazione sul funzionamento del sistema dei rapporti tra Europa e Stati membri, riservando una particolare attenzione alle conseguenze che da essa potrebbero derivare sulla qualificazione e sullo sviluppo del processo di integrazione europeo. Ciò anche alla luce delle recenti novelle legislative in materia di Unione bancaria, al cui studio sarà dedicata un'apposita sezione all'interno del lavoro.
L'obbiettivo della ricerca è l'analisi del riassetto istituzionale dovuto alla crisi economica. Il progetto di ricerca parte da un'analisi della formazione della moneta unica e dell'Unione economica e monetaria, per proseguire attraverso l'analisi dello stato di avanzamento delle politiche economiche e monetarie mediante la ridefinizione degli assetti giuridici ed istituzionali, come diretta conseguenza della crisi economica. Si prende infine in considerazione l'accelerazione di alcuni processi d'integrazione che hanno messo in discussione il ruolo di alcune Istituzioni partendo dalla natura stessa del metodo comunitario e del processo di legittimità democratica alla base del consolidamento e dello sviluppo dell'Unione economica e monetaria. Fino ad arrivare allo statuto speciale ottenuto dal Regno Unito che mette in discussione l'assetto stesso del progetto europeo, decretando un Europa a più velocità, frutto di una specifica visione di un Europa regolatori. ; The propose of this research is to analyze the future of the European project due to the changes of the economic crisis. The research is based on a deep analysis of European economic and monetary policies, starting from the creation of the single currency through the construction of the Economic and Monetary Union, until the impact of the debt crisis on the European Governance and institutions. The research project analyses the legal and political arrangements that have queries the Community method in favor of the intergovernmental method. It is analyzed the acceleration of certain processes of integration/desegregation of the European project that have questioned the role of some institutions, their accountability and legitimacy, until the UK special status that have create de facto a legal multi-speed Europe.

El artículo analiza las dificultades de la gobernabilidad y su carácter esquivo. Se trata de un estudio sobre cómo mejorar la gobernabilidad, partiendo de la base de que en muchas ocasiones lo que existe en la práctica, son condiciones de ingobernabilidad. El razonamiento central parte de que la ingobernabilidad puede en ocasiones imperar, sin que ello implique necesariamente una fractura en la democracia en su conjunto. Se continúa con un examen de la cohesión y la perdurabilidad de las sociedades, como ejes de la gobernabilidad. Luego se prosigue con consideraciones acerca de las redes de gobernabilidad a nivel local y regional, y con el tratamiento de la crisis de información en las sociedades fragmentadas, así como con las condiciones de inestabilidad crónica y los gobiernos locales. Se finaliza con algunas consideraciones sobre el vínculo existente entre lo local y lo global, y el posible rol de ese proceso en el manejo de crisis y la educación para la paz. ; The article analyzes the difficulties of governance and the elusive nature of governability. lts main purpose is to make suggestions as to how to increase governability. Central to the argument is the suggestion that, despite the occasional reign of ingovernability, this does not imply the fracture of democracy altogether. Cohesion and perdurability are the keys to governability. The article analyzes local and regional governability networks and the management of the information crisis in fragmented societies, as well as the conditions of chronic instability and local co-governments. The article ends with several considerations on the local-to-global links, and the potential role of this process in the management of crisis and education for peace.
La domanda di ricerca dello studio è la seguente: si sta verificando una convergenza verso un modello di corporate governance europeo?L'analisi delle risposte fornite al 'Green Paper' dell'Unione Europea in tema di governo societario evidenzia come i differenti approcci di governance, adottati dai vari stati membri, siano influenzati da fattori politici, socio-economici e legislativi di contesto.Con particolare riferimento ai codici di comportamento, si presenta un'indagine comparativa tra i seguenti codici: UK Corporate Governance Code del 2010, il Codice di Autodisciplina italiano del 2011, e il Kodex tedesco del 2010.In sintesi, dall'analisi congiunta dei codici e delle risposte fornite al 'Green Paper' dell'Unione Europea in tema di governo societario, emerge la volontà dei paesi membri di proseguire verso un processo di convergenza in modo 'spontaneo', senza ricorrere ad ulteriori regole o raccomandazioni emanate a livello comunitario. The research question of this study is as follows: is there convergence towards a European model of corporate governance?The analysis of the responses to the Green Paper of the EU on corporate governance shows that different approaches to governance, adopted by the member States, are influenced by political, socio-economic and legislative environmental factors.With particular reference to codes of conduct, a comparative survey of the following codes: UK Corporate Governance Code of 2010, the Italian Corporate Governance Code of 2011, and the German Kodex 2010 is presented.In summary, the combined findings show the will of the member States to pursue a process of convergence in a 'spontaneous way', without the need for additional rules or recommendations issued by the Community.

Per poter analizzare questo nuova paradigma, si prendono in esame alcuni fenomeni che caratterizzano, a nostro avviso, la società attuale: prima di tutto quello dell'anarchia nelle relazioni internazionali, e il successivo disordine che continua a generare; il processo della globalizzazione con le sue conseguenze non solo sulle economie ma anche nella società e sugli individui; la "crisi dello Stato" e i nuovi attori che emergono sia "dall'alto che "dal basso" ; infine il funzionamento delle istituzioni internazionale, in primis le Nazioni Unite, a livello globale. Lo scopo è di capire, soprattutto dopo la fase di disorientamento che si è creata dopo la caduta del muro di Berlino nel 1989, se al giorno d'oggi esiste un modello che può porsi come forma nuova di fare politica al fine di generare un "ordine nel disordine", soprattutto alla luce della crisi del sistema democratico tradizionale. The governance of complex education systems, characterized by numerousnodes in a multilevel structure, has become a political priority in many Europeanand non-European countries; these nations are increasingly lookingfor models and examples of governance, purposely designed for educationand training systems, in order to adapt them to their needs. This paper,building on the concepts of network system and complexity, summarizesthe results of an exploratory analysis of research projects carried out by researchinstitutions on topics like the governance foundations and the modernleadership of schools, and disseminated through official publicationsand reports. El objetivo de este trabajo fue hacer una genealogía sobre el concepto de gobernanza, presentar diferentes conceptualizaciones sobre el tema y discutirlos a la luz de algunos elementos de la gobernanza ambiental. La metodología está basada en revisión bibliográfica y documental. Desarrollos del concepto de gobernanza son abordados e implementados por organismos multilaterales, también por pensadores de las ciencias sociales, de los movimientos sociales y de organizaciones no gubernamentales. Sobre gobernanza se pueden diferenciar tres enfoques: uno que la entiende como sinónimo de gobierno; otro que la asume como un marco normativo o conjunto de criterios que deben satisfacer los sistemas políticos para el logro de los objetivos propuestos, y finalmente, la gobernanza puede ser entendida también como la coordinación que tiene lugar en espacios no jerárquicos (redes), que promueven la participación de la sociedad civil en la deliberación de los asuntos públicos y ambientales, mediante sistemas de gobierno gestados por las propias comunidades, que muestran una nueva visión de democracia que han ido edificando, con logros en la creación de nuevas normas para la gestión de los bienes comunes y de su territorio. CC BY-NC-SA Gestión y Ambiente (2016). ; The objective of this work was making a genealogy on the concept of governance, presenting several definitions and discussing them in the light of some elements of environmental governance. The methodology is based on a bibliographic and documentary revision. Developments of this concept are addressed and implemented by multilateral agencies, and also by thinkers of social sciences, social movements and non-governmental organizations. Three approaches of governance can be distinguished: one that understands it as a synonym of government; other that defines it as a framework policy or set of criteria that must be complied by the political systems for the achievement of the proposed objectives; and the third approach states that governance can be understood as the coordination that takes place in non-hierarchical spaces (networks), which promote the participation of civil society in the discussion of public and environmental affairs, through government systems used by communities themselves. This third approach of governance reveals the new vision of democracy that these communities have been building up, with achievements related to the creation of new standards for the management of common goods and their territory. El gobierno de las universidades americanas está profundamente enraizado en los ideales de la democracia americana y en el concepto de citizen board of trustees(personas ajenas a la institución que llevan a cabo una supervisión de la Universidad o el College sin llegar a llevar el trabajo cotidiano). Estos ciudadanos no son empleados de la institución o de alguno de los gobiernos de los cincuenta Estados del país. Su tarea consiste en representar a la vez a la institución y al conjunto de los intereses de los ciudadanos.Un governing board posee diferentes e importantes responsabilidades, como la supervisión de las finanzas de la institución financieras, los programas académicos y los estándares, y el conjunto de las directrices estratégicas. Una de las más importantes responsabilidades que asumen los governing board es la protección y preservación de la independencia y la autonomía de la institución. Para que el governing board lleve a cabo con éxito sus tareas hace falta una estrecha relación de trabajo con la administración de la institución de educación superior y, en particular, con el presidente/rector. El presidente/rector es contratado y evaluado por el órgano de gobierno y es el principal gestor y portavoz. Cuenta con un gabinete de vicepresidentes/vicerrectores, y preside la administración académica y tiene la facultad de dirigir los objetivos estratégicos establecidos y aprobados por el governing board. Aunque la máxima responsabilidad resida en el governing board, algunas decisiones se podrían delegar al presidente/rector, y a la autoridad académica como las decisiones curriculares.El sistema de estructuras de multicampus, donde un Consejo gobierna múltiples instituciones, son frecuentes en los Estados Unidos de América. AbstractAmerican higher education governance is deeply rooted in the ideals of American democracy and in the concept of a citizen board of trustees – persons outside the institution who oversee the university or college but do not run it on a day-to-day basis. These citizens are not employees of the institution or of any of the individual 50 state governments. Their duty it is to represent both the institution and the broad public interest of citizens.A governing board has several important responsibilities, including oversight of the institution's finances, academic programs and standards, and broad strategic direction. One of the most critical governing board responsibilities is protecting and preserving the independence and autonomy of the institution. For the board to successfully carry out its responsibilities requires an effective working relationship with the college or university administration, in particular, the president. The college president is hired and evaluated by the governing board and is the lead manager and lead spokesperson. With a cabinet of vice presidents, he or she leads the academic administration and the faculty toward the strategic goals established approved by the governing board. Although ultimate responsibility rests with the governing board, many decisions should be delegated to the president, and also to the faculty for academic and curriculum decisions.Multicampus system structures, where one board governs multiple institutions, are prevalent in the United States. Some systems govern all public colleges and universities in the state, some govern institutions of similar mission, and some are regionally based. Systems are led by a system executive with constituent campuses by campus presidents. Statewide coordinating boards and agencies exist in most states, and in just under half they play a significant role in state policy development and regulation.While citizen trusteeship generally reflects the decentralized approach to decision making that is part of American political culture, there are concerns about qualifications for board members selection, adequate orientation and education, and competing demands on their time and attention. Modern challenges facing U.S. higher education, such as preparing more and better teachers, increasing college degree production, and narrowing the education achievement gaps of minority populations, also lead many to question whether governance structures undergirded by citizen boards are adequate. Talk of reforms to strengthen governance and its ability to lead strategic responses to these challenges are increasing in frequency. Although subject to criticism about their selection, training, and commitment to either the broad public interest or the institution, and despite concerns about their effectiveness for the 21st Century, citizen governing boards remain one of American higher education's best features.
This Ph.D thesis entitled "Impairment of goodwill and corporate governance" explores the association between the impairment of goodwill according to the international and US accounting standards (IAS 36 and SFAS 142) and the corporate governance system. In brief, the research question aims at verifying if and how different corporate governance actors influence the impairment test choices. Indeed, the impairment of goodwill involves across-the-board most firm functions. The procedures needed to carry out the impairment test cannot be limited only to the accounting domain, being instead necessary merging the competences in the strategic and operational management, in organization and finance with the accounting-related ones. Underlying the impairment of goodwill there are indeed assumptions that are used for both the ordinary and the strategic decisions. The valuations underlying goodwill impairments are meaningful, revealing about internal politics and they are portentous of the management past (because goodwill originates from business combinations) and future (because goodwill is the expression of the expected benefits deriving from the synergies created or from the invisible intangibles of the acquired entity) strategy. The result of the periodic impairment test constitutes a signal of the future strategy of the firm or of the effectiveness of past strategies. Also, the assumptions underlying the impairment procedure derive from the forecasts, which are predicted at different levels within the firm. The development of my research takes into account a conceptual, historical and doctrinal analysis of the goodwill write-offs, mainly in the Italian accounting literature and with a brief overview on the International accounting literature. The reason to explore the evolution of the goodwill notion and treatment through the accounting history moves from the dense and puzzling debate that since the nineteenth century characterised the accounting panorama, leading the goodwill to be one of the most controversial assets. By common consent the process underlying the valuation of goodwill is associated to the entire process to determine the company economic value. From the introduction of Statement of Financial Accounting Standards No. 142 (SFAS 142) in the United States and of International Accounting Standard 36 (IAS 36) in the International Accounting Standards adopter countries, follows several critiques and reservations from academics, practitioners, standard setters and regulators. As far afield as that in recent years both the US Public Company Accounting Oversight Board and the European Financial Reporting Advisory Group questioned whether prior amortisation process was more relevant and reliable. The corporate governance system may moderate the use of discretionary accounting choices, enforcing the overall reliability of financial reporting. On the one hand I investigate the impact that the internal corporate governance mechanisms have on the impairment test. On the other hand I verify whether the external corporate governance mechanisms are able to affect the decision of impairment. Within the internal corporate governance mechanisms I explore the board of directors, the managerial incentives, the insider ownership and the chief financial officer perception on the impairment of goodwill. Within the external corporate governance mechanisms I explore the institutional ownership, state ownership, external auditor and the analysts forecasts likely associations with discretional impairment of goodwill. This study is mainly grounded on the positivist agency theory, supposing that the agent, whether is the management, or the external auditor or different types of shareholders acts in its own interests which usually may not correspond to the best interests of the principal (Jensen and Meckling, 1976; Fama and Jensen, 1983; Jensen, 1983; Eisenhardt, 1989). The empirical analysis comprises the use of diverse research methods such as archival and survey method. This thesis provides a threefold theoretical contribution, contributing to the studies on accounting history, on accounting and on corporate governance. First, it develops a path within the Italian accounting tradition that might be considered as trailblazing of the modern accounting standards. I retrace different approaches on the evaluation issues and on the concept of goodwill that some of the most influential Italian "Economisti Aziendali" emphasised in their writings. From the specific attention devoted to the long-lived assets financial evaluations one can appreciate the multidimensionality of our "Economia Aziendale", including operations, management and control. As a matter of fact, the impairment of assets constitutes the trait d'union between various functions within the firm, involving beyond accounting also strategy, finance, operation, internal and external control. I thus carefully explore the past accounting literature on the goodwill-related issues, employing a constructive and historical method that led me to build a personal interpretation. Second, as underlined by prior literature, the manipulation of goodwill write-offs makes allocating financial resources highly inefficient, both at the firm and at market levels, and compromises the role of financial reporting as an external control system (Beatty & Weber, 2006; Ramanna and Watts, 2012). Given the important economic and market implications, managers, directors, chief financial officers, shareholders and external auditors carefully assess the estimates underlying the goodwill write-offs (Gu and Lev, 2011; Ramanna and Watts, 2012). Despite this, prior research has not yet systematically investigated whether the corporate governance system influences the write-offs decisions. As a matter of fact, in literature there are conflicting findings on managerial incentives in manipulating the earnings through specific accruals and in detail through assets write-offs. Third, as far as I know there are still unexplored areas of corporate governance's influence on impairment of goodwill.
