We study the link between the choice of governance and political hazards using municipal school canteens. We provide evidence that in politically contested cities, mayors are more likely to choose to "make" rather than "buy" to avoid challenge of the contract with a private partner. A higher probability of losing office – proxied by close victory margins and political concentration – increases the probability to "make". We also provide evidence that in cities where the potential challenge on sustainable supply is high, mayors tend to "make" also to signal trustworthiness to the voter. A higher presence of ecologist's citizens and alternative supply organizations – proxied by the presence of Agenda 21 and the presence of alternative and organic food shops – increases the probability to "make".

The General States of 2010 were aimed at reforming the Health governance in Agriculture in France. One of the aims was, in particular to give a better definition of the notion of "health veterinarian" (habilitated or mandated). Since these, a new organization was set up. It affects in particular the settlement of new consultative committees for animal protection at the national level as well as at the regional level. In addition a project of a single "Welfare Law" is being setting up by the European institutions in the context of the other laws: Food Law and Health Law. This follows the New 2012- 2015 Animal Welfare Strategy of the European commission. This strategy would modernize and simplify the old European texts and would be inspired by the HACCP system. This new paradigm would give more responsibilities to operators. It would be based on auto controls which results would be checked at the end by official veterinarians in all Member states of the Union ; Depuis les États généraux du sanitaire de 2010, destinés à réformer la gouvernance sanitaire en France et en particulier à mieux redéfinir les missions du vétérinaire sanitaire (habilité ou mandaté), une nouvelle organisation s'est mise en place concernant notamment la construction et la consultation de comités dédiés à la protection animale au niveau national et régional. Le but de ce projet, affiché par les instances communautaires, est de moderniser et simplifier les textes communautaires actuels concernant la protection des animaux. Ce système octroie plus de responsabilités aux opérateurs ou professionnels. Between a claim of national sovereignty and management of a resource that touches on global issues, forest governance is complex for a state limited in technical and financial resources. Forest areas and people who depend on them become the battleground of various and diverse strategies, sometimes divergent, which do not always correspond to the local socio- cultural reality, but legitimized by the single label for sustainable management. Our thesis provides keys for the reading of this governance and the dynamics of forest policies in Gabon, with emphasis on the observation of certain players. While it is often assumed that southern states forest's are under the influence of powerful international NGOs, a symbol of a prescribed governance and environmental intervention, Our study shows that the presence of these players may also reflect a southern Governments strategy to regain their resources and their territories. From dominants to dominated relationship, we go to a win-win relationship, sometimes at the risk of a local population exploited and designated. Les politiques qui en découlent sont largement orientées par les engagements pris par le gouvernement pour répondre aux injonctions internationales, mais aussi à la pression des bailleurs de fonds et aux promoteurs du développement durable (ONG internationales, fondations, organismes de coopération…). Cette orientation vers une gestion durable des forêts a ainsi conduit le pays à des réformes considérables : nouveaux modes de gouvernance (avec l'implication de « nouveaux » acteurs aux ambitions diverses), nouveau code forestier, nouvelle organisation des institutions, nouveaux modes d'usages des forêts. Une rupture semble être marquée ici avec une gestion héritée des indépendances, voire de l'époque coloniale. Entre revendication d'une souveraineté nationale et gestion d'une ressource qui touche à des enjeux planétaires, la gouvernance des forêts s'avère complexe pour un État aux moyens techniques et financiers limités. Les espaces forestiers et les populations qui en dépendent deviennent ainsi le terrain d'affrontements de stratégies diverses, parfois divergentes, souvent calquées sur des modèles ne correspondant pas toujours à la réalité socio-culturelle locale, mais légitimées par le seul label de gestion durable. Notre thèse donne des clés de lecture sur cette gouvernance et sur les dynamiques des politiques forestières au Gabon, en mettant l'accent sur l'observation de certains acteurs. S'il est souvent admis que les États forestiers du sud sont sous l'emprise de puissantes ONG internationales, symboles d'une gouvernance prescrite et d'une ingérence écologique, notre étude montre que la présence de ces nouveaux acteurs peut aussi témoigner d'une stratégie des gouvernements du sud pour la reconquête de leurs ressources et de leurs territoires. De dominants à dominés, on passe à une relation de gagnants à gagnants, au péril parfois d'une population locale instrumentalisée et résignée. En abordant les jeux et le rôle des acteurs pour comprendre le territoire, cette thèse offre des perspectives pour porter un nouveau regard sur la gestion des ressources forestières au Gabon.

The issue of governance is not frozen in time. It remains current. The legislature of OHADA, was inspired by the debate born in Anglo-Saxon countries where a thorough reflection of the principles of corporate governance has developed with different approaches and sometimes even contradictory. This has thus led to lay down a number of rules governing commercial companies, the rules contained in the Revised Uniform Act relating to Commercial Companies and Economic Interest Group, effective May 5, 2014. even if the revised uniform Act does not specifically about corporate governance, it does not affect fewer mechanisms and rules. Thus, the objective of these rules is still well the establishment of an appropriate legal framework, conducive to development, investment and economic attractiveness of the area of OHADA. Otherwise considered in this light, the objectives of the OHADA founding fathers were they achieved?Given multiple issues, even as commercial companies hardly escape the globalization of trade, this study, which is a contribution to the debate on improving the state of economic law, the legal and judicial security economic activities, will try to clarify the question of the effectiveness and efficiency of the regulatory system of governance of corporations. Thus, this work is to contribute to the reflection of a uniform regulatory governance rules of commercial companies in the area of OHADA. In short, address the issue of governance of commercial companies in OHADA law is clear, finally, in this study, the issue of adaptability of the rules of this governance in the economic and social context of commercial companies OHADA space.From the analysis of the revised Uniform Act relating to commercial companies, the study deals in the first part, the question of whether the rules of governance of corporations. And, in a second part, I analyze the necessary changes in governance rules commercial companies. ; La question de la gouvernance n'est pas figée dans le temps. Elle demeure d'actualité. Aussi, le législateur de l'OHADA, s'est inspiré du débat né dans les pays anglo-saxons où une réflexion approfondie des principes de la corporate governance s'est développée avec des approches différentes voire parfois contradictoires. Cela l'a ainsi conduit, à édicter un certain nombre de règles de gouvernance des sociétés commerciales, règles contenues dans l'Acte Uniforme révisé relatif au droit des sociétés commerciales et du Groupement d'Intérêt Economique, en vigueur depuis le 5 mai 2014. En effet, même si l'Acte uniforme révisé n'a pas précisément parlé de gouvernance d'entreprise, il n'en touche pas moins les mécanismes et ses règles. Ainsi, l'objectif premier de ces règles demeure bien la mise en place d'un cadre juridique adapté, propice au développement, aux investissements et à l'attractivité économique de l'espace de l'OHADA. Autrement considéré, sous cet angle, les objectifs des pères fondateurs de l'OHADA ont-ils été atteints ?Au regard de multiples enjeux, alors même que les sociétés commerciales n'échappent guère à la mondialisation des échanges, la présente étude, qui se veut une contribution au débat sur l'amélioration de l'Etat de droit économique, la sécurité juridique et judiciaire des activités économiques, tentera d'éclairer la question de l'effectivité et de l'efficacité du dispositif réglementaire de gouvernance des sociétés commerciales. Ainsi, ce travail se propose de contribuer à la réflexion d'une régulation uniforme des règles de gouvernance des sociétés commerciales au sein de l'espace de l'OHADA. En somme, aborder le sujet de la gouvernance des sociétés commerciales en droit de l'OHADA, c'est préciser, finalement, dans cette étude, la problématique de l'adaptabilité des règles de cette gouvernance au contexte économique et social des sociétés commerciales de l'espace de l'OHADA. International audience ; Dans une économie de rente, les réformes économiques restent purement formelles et sont incapables de permettre à l'investissement national et international de se déployer. Elles ne permettent pas aux pays concernés de sortir de l'ordre social basé sur le gisement de la rente et la faible ouverture du système politico-économique à la compétition. Sans perspective de croissance économique durable et de création d'emplois autres que ceux subventionnés par l'Etat, ce système fermé à la compétition porte en lui les germes de son dépassement : il ne peut répondre durablement à la demande sociale de changement et ne peut faire face aux difficultés croissantes de financement de la stabilité sociale. Dans ce contexte, notre contribution se propose d'étudier les entreprises publiques évoluant dans une économie de rente et d'identifier les mécanismes permettant d'allouer les ressources de la rente au mieux de l'intérêt général. L'analyse amène dès lors à préciser comment repenser l'intérêt général national dans une économie de rente pour une meilleure prise en compte des besoins de développement durable. Comment reformuler les missions assignées aux entreprises publiques pour leur permettre d'internaliser au mieux cet intérêt général ? Quels nouveaux modes de gouvernance mettre en oeuvre pour contribuer à la réalisation de ces objectifs ?
