The intrusion of management as major referenceof the functioning of our societies, raises thequestion on the de-institutionalization of theinstitution and, as reflection, that of theinstitutionalization of the organization, in a dualevolutionary perspective and directed asunavoidable. The modalities of businessmanagement are placed in effect between theinstitutionalization (caused by the generalization of their practices in the "corporate purposes")and the institutional frame that surrounds them,and understood in their extension in terms ofgovernance. This ambiguity is tied to the vaguedefinition of the institution and the organizationand to their reciprocally problematic location. Thegeneral hypothesis of this text will be theorthogonality (and not the opposition) between"institution" and "organization". It will bereasoned generally from the point of differencesand not from the opposition of both terms basedon three arguments: a political argument, atheoretical argument and an epistemologicalargument. ; La intrusión de la Administración como referencia principal del funcionamiento de nuestras sociedades, plantea el interrogante sobre la desinstitucionalización de la institución y, como reflejo, aquella de la institucionalización de la organización, en una perspectiva evolucionista dual y direccionada como ineludible. Las modalidades de gestión empresarial se sitúan en efecto entre la institucionalización (causada por la generalización de sus prácticas en los «objetos sociales») y el marco institucional que las rodea, incluso en su extensión en términos de gobernanza. Esta ambigüedad está ligada a la vaga definición de la institución y de la organización y a su localización recíprocamente problemática. La hipótesis general de este texto será la ortogonalidad (y no la oposición) entre «institución» y «organización». Se razonará generalmente a partir de las diferencias y no por la oposición de los dos términos á partir de tres argumentos: un argumento político, un argumento teórico y un argumento epistemológico

Les attentes de la société en matière de performance des grandes entreprises est une question qu'il n'est possible de poser que maintenant. Dans le contexte politique du monde moderne, la société n'avait rien à attendre en matière de performance des entreprises qui étaient considérées comme une construction sociale parmi d'autres, les attentes s'adressant à la dimension politique de la société sur la base de l'exercice de la démocratie représentative comme mode d'expression des attentes de la société. C'est le contexte politique de ces dernières années (qualifié ici de « moment libéral »), contexte qui se développe depuis le début des années 80 qui change la perspective (1° argument). La conséquence majeure en est l'évolution de la représentation dominante de l'entreprise considérée aujourd'hui comme un vecteur de profit plus que comme un système socio-technique (2° argument). Rappelons que le flou de la notion de performance va permettre d'intégrer des attentes au-delà du profit (3° argument) mais que ces attentes doivent être évaluées aussi bien en matière d'espérances que de réalités (conclusion)

La décennie 90 a été la décennie reine de la référence à la valeur financière, mais à la fois en dualité et en complément sans doute, se sont développés les thèmes du développement durable et de la responsabilité sociale de l'entreprise, les trois éléments (éthique des affaires, développement durable et responsabilité sociale de l'entreprise) se situant en quelque sorte en filiation discursive alors que leur fondement théorique est différent. Ces thèmes ont été reliés par référence à des instruments identiques : codes d'éthique et chartes de valeurs, les politiques de développement durable et de responsabilité sociale, labels et certifications « éthiques », instruments de gestion environnementale « responsable », stakeholder's report, etc.

PurposeThe notion of "sustainable development" has had a short and tumultuous history, including a departure from economic reductionism by focusing on a multidimensional aspect and addressing the issues of its scope across many disciplines. It has become a project enabling a rethinking of capitalism based on the concept of a reformed type of capitalism. The purpose of this paper is to study this issue.Design/methodology/approachThe paper is based on the following arguments: the presentation of sustainable development as a "vague" theory, an empirical proof of this vagueness with regard to corporate actions whose justification is based around the notion of sustainable development, and finally the ambiguities of the notion.FindingsThe notion of sustainable development raises the question of an apparent consensus on its correlates: solidarity, responsibility, equity, etc. It tends to establish a protean sense of the firms' responsibility, particularly the larger ones. The largely political dimension of the notion has today consequences on its usage. Sustainable development as addressed in the firm tends to take on the dimension of a management issue, which is likely to persist due to its larger political dimension.Originality/valueThe paper provides insight on the catch‐all dimension of the notion and its appealing rhetorical character and bases the ambiguity related with references to an "in‐between." On the institutional level, it refers to a social and fair economy that stands arguably in between the state and the market. On the methodological level, it refers to heuristics of fear and hope.
