La disciplina dell'assistenza finanziaria nelle società di capitali ; Financial assistance to private companies
Il d.Lgs 4 agosto 2008 n. 142, pubblicato nella G.U. n. 216 del 15 settembre 2008 ed entrato in vigore, a seguito dell'ordinaria VacatioLegis, in data 30 novembre 2008, ha modificato in maniera profonda e significativa tutto il quadro normativo in materia di conferimenti di beni in natura o crediti nelle società per azioni, sia in fase di costituzione che in fase di aumento di capitale, ed inoltre ha ridisegnato la disciplina dell'assistenza finanziaria all'uopo disciplinata dall'art. 2358 c.c. La novella legislativa per la prima volta, consente alle società italiane di accordare prestiti o fornire garanzie per la sottoscrizione o l'acquisto delle proprie azioni da parte di un terzo o da parte degli stessi soci, purché vengano rispettate alcune condizioni e sia eseguita una speciale procedura (ispirata al modello anglosassone del c.d. "Whitewash"). Radicali, per non dire innovative sono state le novità introdotte in materia di assistenza finanziaria, oggetto della presente ricerca, infatti per effetto dell'entrata in vigore del nuovo art. 2358 c.c. in materia di s.p.a. (e parimenti con le modifiche dell'art. 2474 per le s.r.l.) non esiste più nel nostro Ordinamento giuridico un divieto di financialassistance, bensì una regolamentazione articolata, sia da un punto di vista sostanziale che procedimentale, delle operazioni descritte in tale norma. La direttiva comunitaria ridisegnando la disciplina in materia di assistenza finanziaria ha quindi previsto in luogo del divieto assoluto la facoltà per i singoli stati membri di autorizzare le società per azioni a concedere un'assistenza finanziaria per l'acquisizione di proprie azioni da parte di un terzo nei limiti (ed al ricorrere di determinati presupposti) delle riserve distribuibili, in modo da rafforzarne la flessibilità con riguardo ai cambiamenti nella struttura proprietaria. Infatti, il finanziamento reca un preciso scopo(predeterminato in sede di delibera), in cui le azioni possono essere acquistate, e dunque finanziate, solo per un importo corrispondente al loro valore equo di mercato mentre, nel caso in cui le azioni siano acquistate dalla società che le detiene, il valore del finanziamento si determina secondo i principi previsti per il recesso. L'assistenza finanziaria in materia di acquisto di azioni proprie non deve essere necessariamente prevista dallo statuto. La stessa deve essere tuttavia autorizzata, in ogni caso, dall'assemblea straordinaria (Cfr. art. 2358, 2° comma). A tal proposito è opportuno precisare, che la competenza assembleare non va letta ed interpretata nel senso che si tratti di una materia gestionale attribuita all'assemblea, né può essere spiegata con il fatto che (anche) l'assistenza finanziaria si risolva nell'impiego di utili distribuibili e di riserve disponibili. L'assistenza finanziaria pertantodeve risultare funzionale alla realizzazione dell'oggetto sociale, ma la stessa deve essere, altresì, giustificata da uno specifico, dichiarato interesse della società. In altre parole, la prescrizione legislativa va interpretata, nel senso che, a differenza degli altri prestiti ai soci, se l'interesse sociale non è espresso nella relazione o se si rivela insussistente, la delibera di autorizzazione risulta viziata e può essere impugnata. ; Financial assistance in law refers to assistance given by a company for the purchase of its own shares or the shares of its holding companies. The Italian Legislative Decree (d.Lgsn. 142, august6th, 2008) implementing the European Directive 2006/68/CE, has modified some articles of Italian code (Artt.2358 and 2474 c.c.), in wich was prohibited or restricted the financial assistance. In many jurisdictions such assistance is prohibited or restricted by law. For example all European member states are required to restrict financial assistance by public companies up to the limit of the company's distributable reserves, although some members go further, for example, Belgium, Bulgaria, France, and The Netherlands restrict financial assistance by all companies. Where such assistance is given in breach of applicable law it will render the relevant transaction void and may constitute a criminal offence. The assistance can be of a variety of different types. The most common type of assistance is a financial guaranteed for a loan and/or third party security to allow a borrower to borrow money to buy shares which is routinely given (to the extent legally possible) after a leveraged buyout in support of the new owner's acquisition debt. It would also normally include a gift or loan from the company or any other act which reduces the net assets of the company to a material extent where this is done for the purpose of the acquisition of shares in itself or its parent. The rationale for such laws is purely economic; it is based upon the premise that if a company supports the purchase of its own shares, it causes a de facto diminution in the company's value. Concerns have also been expressed that such financial assistance artificially inflates a share's price above its market level. Although the authorities are unclear, it seems that financial assistance may also have been a crime under the English common law prior to its codification by statute. If that is correct, then laws against financial assistance may be much more prevalent than is normally assumed, and would also apply in many of the English speaking Commonwealth Countries. Laws against financial assistance are sometimes controversial because of the difficulties they can cause in the context of a leveraged buyout, and some jurisdictions which have enacted them have later repealed them. Some jurisdictions provide for so-called "whitewash" procedures, whereby the shareholders can authorise transactions that would otherwise be void for financial assistance. Most jurisdictions which prohibit financial assistance permit the company to purchase its own shares and hold them in treasury and the company can then issue them again on terms that would have been prohibited if they had sought to provide financial assistance in an equivalent manner for a third party purchase. ; Dottorato di ricerca in Diritto ed economia: interessi rilevanti e tutele (XXIV ciclo)

Politiche e strategie istituzionali per la riqualificazione del patrimonio militare dismesso in Italia ; Military Landscapes. A future for military heritage/Military Landscapes. Scenari per il futuro del patrimonio militare
Producción Científica ; This article aims to highlight the longstanding issues concerning properties no longer useful to the institutional goals of Italian Ministry of Defense, to analyze the State dismissal and valorization policies and the related procedures (such as the 'Territorial Unitary Development' and 'federalism state property' programs). Specifically, it will focus the attention on role of the task force between the Ministry of Defense and State Property Agency for the elaboration of hypotheses and paths of rationalization and optimization projects of the use of military sites. Starting from some research already carried out by the two authors, it will update the ongoing procedures of refurbishment of abandoned military sites in Italy (among them, the art. 26 of Decree Law 'unlocked Italy' and the 'federal building') and it will analyze the role of 'new' actors in the procedures, as the Investment Management Companies 'Cassa Depositi e Prestiti' and 'Invimit'. Those actors, through their real estate investment trusts, are acting as private stakeholders in an attempt to unlock the planning, design, economic and sometimes social inertia related to urban regeneration projects of former military assets in several Italian cities (such as Bologna, Florence, Milan, Rome and Turin). Eventually, it will try to understand if nowadays it is faced with a season characterized by more efficient procedures. ; European Joint Doctorate "urbanHIST". European Union. Il coordinamento dell'aiuto pubblico allo sviluppo, evocato negli ultimi anni da più parti come la soluzione alla deludente efficacia degli aiuti è in realtà un argomento che nasce quasi contemporaneamente alle prime organizzazioni internazionali dedicate allo sviluppo . La funzione ambivalente delle Nazioni Unite, agente di mediazione diplomatica da un lato (mediazione tra stati e tra gruppi di potere all'interno dello stesso stato), e agente di sviluppo dall'altro, garantisce all'organizzazione un ruolo preminente nel coordinamento degli aiuti nei contesti di guerra e di post-conflitto. E' questa stessa ambivalenza che impone all'organizzazione un rapporto ufficiale con i territori sottosviluppati, incardinato nella relazione con i governi centrali degli stati. La critica radicale all'aiuto pubblico allo sviluppo individua tutte le distorsioni politiche ed economiche legate all'afflusso dei fondi, sottolineandone le aggravanti possibili laddove esista una discrasia tra gli obiettivi di sviluppo delle Nazioni Unite e quelli dell'élite che occupa le posizioni apicali dello stato. Questa ricerca attraverso un'analisi storica del contesto, mette in luce l'interazione tra il sistema degli aiuti e il sistema-paese in Tajikistan dall'ingresso delle organizzazioni ai giorni nostri. L'analisi dimostra infine che la struttura politico-economica radicata sul territorio, pur conservando i tratti di uno "stato predatorio" (tratti non alleviati bensì aggravati dalle distorsioni legate all'afflusso dei fondi per lo sviluppo), sfugge in realtà alla definizione stessa di "Stato". Questo dato rivela una debolezza insita nell'approccio metodologico del sistema degli aiuti che si fonda proprio sull'archetipo dello "Stato". ; The Official Development Assistance (ODA) coordination has been recently launched as a genuine mean to increase aid effectiveness. Actually, the "aid coordination" paradigm was born almost contemporaneously to the first international organizations dedicated to "development". The ambivalent function of the United Nation that acts both as an agent of diplomatic mediation (among states and among different lobbies within the borders of the same state), and as a development agent, guarantees to United Nations a preeminent role in the field of aid coordination in conflict and post-conflict contexts. It's this real ambivalence that compels the United Nations to deal with development countries through official relations with the central governments. The radical critique to development aid shows different political and economic distortions related to the incidence of foreign funds. At the same time, it underlines that wherever the goals of the official governments diverge from the development goals of the aid community these distortions might be even more burdensome for the country. This research, through an historical analysis, draws attention on the interaction among the development industry and the country-system in Tajikistan from the arrival of the international organizations to our days. The analysis demonstrates that the political and economic structure of the country, while maintaining the features of a "predatory state" (features which are not alleviated but worsened by the distortions brought about by the aid industry), simply do not comply with the definition of a "State". This result highlights an innate weakness of the aid industry methodological approach that is in fact, fully based on the political archetype of the "State".

Napoleonic military architectures on island of Elba
In 1810 Napoleon wrote: "Portoferraio is a very important place". That place on Island of Elba was a central node in the network of military arsenals of the Empire and an important piece on Italian military chessboard. Outside the Renaissance walls of the town, around a crumbling fort built in 1700, Napoleon planned a new military fortification's system inspired to the model of the "camp retranché", useful to protect the town against the landing of the enemy. Three forts were built. Two ones were only planned. A total of five fortresses constituted a crown around the town and are, also today, an unique example of the original and direct Napoleon personal architectural overview.
