The authors analyze the impact of corporate governance institutions, ownership structures and external capital market constraints on company returns on investment by using a sample of more than 19,000 companies from 61 countries across the world. They show that (1) of these three sets of institutions, the origin of a country's legal system proves to be the most important. Companies in countries with English-origin legal systems earn returns on investment that are at least as large as the cost of capital. (2) Differences in investment performance related to a country's legal system dominate differences related to ownership structure. The idea of "governance" expresses as much the requirement to take a fresh look at the force lines of authority & power as the need to make current the role of nongovernmental organizations in the mechanisms of political regulation with in international relations. However, it is argued that the issue of governance has been co-opted not only by international organizations seeking to legitimize their neoliberal predilections & projects, but also by writers whose theoretical approach has often lacked rigor & who have confused the expansion of the capitalist economy with the inexorable advance of history. Shortcomings should not discourage studies of governance that raise issue of institutions better suited for changes in the contemporary world. 14 References. Adapted from the source document.

Vor dem Hintergrund eines beobachtbaren forcierten Globalisierungsprozesses erörtert der Beitrag die politische Ausrichtung der Internationalen Arbeitsorganisation (IAO) hinsichtlich der länderübergreifenden Arbeitsregulierung. Im ersten Schritt werden die Hauptaufgabe sowie die Grundstruktur der IAO dargestellt. Die IAO, gegründet 1919 im Rahmen des Völkerbundes, ist seit 1946 eine Sonderorganisation der UNO mit der Aufgabe, die soziale Gerechtigkeit zu fördern und durch Verbesserung der Arbeitsbedingungen und des Lebensstandards in den Mitgliedsländern wirtschaftliche und soziale Stabilität zu erreichen. Der zweite Schritt widmet sich sodann den aktuellen Problemfeldern, die es seitens der IAO in Anbetracht der Globalisierung zu behandeln gilt. So haben 2000 von den 175 Mitgliedsstaaten erst 63 Länder alle Vereinbarungen zu den Arbeitsbedingungen ratifiziert. Um eine verbesserte Anerkennung der Arbeitsregulierungspolitik zu erreichen, werden folgende Ziele verfolgt: (1) eine zunehmende integrierende Annäherung zwischen den Mitgliedsländern, (2) eine Ausweitung der Zivilgesellschaft, (3) ein neues Anforderungsprofil für die internationale Handelsschifffahrt sowie (4) ein neuer Umgang mit transnationalen Unternehmen. In einem Resümee stellt die Autorin fest, dass die auftretenden Probleme hinsichtlich der Partizipation von sozialen Gruppen bei der internationalen Regulierung der Arbeitspolitik auf die Vielzahl und Diskrepanz von sozialen Formen der Produktion, der institutionellen Strukturen und der Staatsformen zurück geht. "Das Konzept der Good Governance bestimmt mittlerweile große Teile der bilateralen und multilateralen Entwicklungshilfe. Gelegentlich mutiert es zu einem reinen Machtinstrument einzelner Geberländer und -institutionen, wenn seine Inhalte und Maßstäbe nicht benannt und offen gelegt werden. Good Governance ist aber auch ein Konzept zur Effektivierung der nationalen Entwicklungsstrategie. Das UN-Committee for Development Policy (CDP) befasste sich auf seiner sechsten Sitzung vom 29. März bis 2. April 2004 unter anderem mit der Frage, welche Bedeutung diesem Konzept für die zukünftige Entwicklungspolitik und die Verwirklichung der Millenniumsziele zukommen kann. The Corporate Governance Committee of the Corporate Governance Forum of Japan, chaired by Mr. Tadao Suzuki, President of the Mercian Corporation, published their final report in May 1998. Their innovative work followed a long period of discussion and stemmed from the original foundation of the Corporate Governance Forum in 1994 by Mr. Kaneo Nakamura of the Industrial Bank of Japan, who invited top business leaders to discuss governance issues.The following extracts from the first two chapters of the report provide some valuable insights into corporate governance perspectives and practices in Japan. The report offers a set of principles which provide a two‐step formula for realizing effective corporate governance in Japan –"principles which should be adopted immediately (or as soon as possible after legal reform) are shown as step 'A' principles: step 'B' principles should be aimed for early in the 21st. century "to illuminate the path toward the global market, but require legal reform on a grand scale."
